Jones Day Wins Real Estate & Construction Deal of the Year 2005
International Law Firm Jones Day has won the Real Estate & Construction Deal of the Year Award at the Asian Legal Business Awards. Jones Day, along with other team members involved in the deal closing, has been recognized for its work on the US$110 million Shanghai Square project.

Jones Day represented Morgan Stanley Real Estate Fund in negotiating and drafting the commercial contracts for the acquisition and financing of Shanghai Square, a retail podium in the heart of Shanghai’s shopping district. Crossing four jurisdictions, the deal included both offshore and onshore financing.

Assessment for an awards nomination is based on the financial value of the deal and the quantity of work involved, as well as the degree of complexity and the level of advanced legal and financial techniques and structures that were applied. Deal teams are recognized for their innovative and groundbreaking work. The awards ceremony, which recognized China’s top deals in 2005, was held in Shanghai on March 10, 2006.

Beth Bunnell, who led the Shanghai Square Project for the Jones Day Shanghai Office, commented, “We are delighted at receiving this award. It is clear recognition for the hard work that went into the Shanghai Square Project. Attorneys across four of our offices worked together to successfully close this complex deal.”

Winston Zhao, Partner-in-Charge of the Jones Day Shanghai Office, added, “I am pleased that we have been recognized for our Real Estate & Construction work. As we continue to expand the offerings of our practice, receiving acknowledgment for our work is confirmation that we are providing quality services to our clients.”

Jones Day has also recently represented one of China’s leading developers, Forte Land, in a RMB 1 billion multi-phased residential joint venture project in Wuxi with one of Canada’s leading Canadian pension funds as investor and is also actively involved in many other real estate projects.

In China, Jones Day’s real estate experience dates back to the 1970s, when the firm’s lawyers were involved in the development of the Great Wall Hotel in Beijing, one of the first international standard hotels in the capital. With the only dedicated Real Estate & Construction Practice in China, Jones Day continues to gain momentum in advising developers, property managers and strategic investors in assessing and structuring real estate deals in China.

Baruch was also responsible for a variety of important terrorism cases. He prosecuted the extradition of the political head of Hamas, and, in his appellate capacity, handled appeals from the first 1993 World Trade Center bombing trial and the Manila airline bombing trial.

At Treasury, Baruch was the Assistant General Counsel for Enforcement, where he managed the legal work of more than 250 attorneys, including the chief counsels of Customs; Secret Service; Alcohol, Tobacco and Firearms; the Financial Crimes Enforcement Network; the Federal Law Enforcement Training Center; and the Asset Forfeiture Fund. He oversaw legal matters relating to enforcement, trade, criminal law and national security; supervised the drafting of USA PATRIOT Act regulations governing financial institutions; and worked extensively on issues of terrorist financing. He also worked closely with the office of Foreign Assets Control.

At the Department of Homeland Security, Baruch served as acting Deputy General Counsel during the formation of the Department of Homeland Security until the position was filled with a political appointee. In the department’s number two position, Baruch, along with the acting general counsel, oversaw all of the department’s legal issues and all of its 1,400 attorneys, managing many of the administrative tasks in forming the legal side of the new department. Thereafter, Baruch served as Associate General Counsel, managing 1,000 of the 1,400 attorneys and supervising the chief counsels of Immigration and Customs Enforcement; Customs and Border Protection; Transportation Security Administration; Citizenship and Immigration Services; and the Federal Law Enforcement Training Center.
