DLA Piper advises Exponent Private Equity on the £82 million acquisition of Durrants
DLA Piper Rudnick Gray Cary (""DLA Piper"") advised Exponent Private Equity on the Secondary Buyout ('SBO') of Discovery Group Limited, which trades as Durrants Media Monitoring (""Durrants""), from August Equity, an independent private equity firm investing in the UK lower mid-market, for £82 million.

The DLA Piper team was led by corporate partner Andrew Holt who handled the acquisition; corporate partner Tom Whelan advised on the equity side, and both were assisted by Jamie Nelson and Vinit Chandra. Other DLA Piper lawyers involved on the transaction included Matthew Swynnerton (pensions) and Tom Sharp (employment).

Durrants is the UK's leading media monitoring and evaluation agency. It provides services to public relations professional managers who need to follow coverage of their organisation in the media. Founded in 1880, Durrants has seen its revenue increase from £7 million to over £20 million since carrying out an MBI in 2000.

Paul Hastings Represents Tejon Ranch Company in Superior Court Victory
Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, won an Order, on behalf of client Tejon Ranch Company (TRC), discharging the Peremptory Writ of Mandate that the Court had issued to the County of Kern, which had ordered it to revise its air quality and biological resources analyses in the environmental impact report for the client’s project. This win permits the client to move ahead with its Tejon Industrial Complex – East project. Judge Kenneth Twisselman’s ruling on March 24, 2006, dismisses the last legal challenge to the start of the project. The Tejon Industrial Complex – East project, located on the east side of I-5, will provide approximately 15 million square feet of commercial/industrial property on approximately 11,000 acres.

Toxic Torts Column Continues with Look at Liability for Public Officials in Disasters
In the wake of recent hurricanes, the destruction of the World Trade Center and other catastrophes, the courts are now hearing cases questioning the responsibility of government officials in failing to respond adequately to a crisis. New York Partners Philip E. Karmel and Peter Paden continue their New York Law Journal column on toxic torts with an examination of the opinions of two judges from the U.S. District Court for the Southern District of New York who came to opposite conclusions as to the legal liability of government officials who oversaw the government response to the Sept. 11, 2001, terrorist attack in Lower Manhattan.

On February 2, 2006, in Benzman v. Whitman, Judge Deborah A. Batts ruled that the former Administrator of the U.S. Environmental Protections Agency Christine Todd Whitman knowingly lied to the people who live, work and go to school near ground zero about the risks associated with returning to the area, thereby exposing them to toxic substances. Batts stated that the plaintiffs have a valid legal claim against Whitman for damages in her personal capacity.

On the same day, Judge Alvin K. Hellerstein, in Lombardi v. Whitman, dismissed almost identical claims brought by emergency responders working at the scene of the wreckage, ruling that even if it could be proven that Administrator Whitman had lied about the safety conditions in Lower Manhattan, the lie did not violate the plaintiffs’ constitutional rights.

“Such suits on the one hand may deter unlawful conduct and provide a remedy for violation of a constitutional right,"" Karmel and Paden said in their column. ""On the other hand, such claims create a danger that fear of personal liability will not only deter competent individuals from public service but divert their attention while in office from actions required to protect the public weal to actions that might be undertaken to guard against potential personal liability.

The cases are now headed to the U.S. Court of Appeals for the Second Circuit.

Karmel and Paden are members of the Environmental, Product Liability and Commercial Litigation Client Service Groups. Their practice includes environmental and commercial litigation, the defense of toxic torts and related insurance matters.

Partner Discusses Moral Rights Under Artists Rights Act
Chicago Partner Scott Hodes will participate in a panel discussion related to the specific concerns of museums in connection with the Visual Artists Rights Act of 1990 in an upcoming ALI-ABA presentation on legal issues in museum administration.

Hodes will speak Friday, March 31, at the 34th Annual ALI-ABA program, ""Managing and Protecting Museum Intellectual Property,"" in Chicago at the Millennium Knickerbocker. He will be joined on the panel ""Is That a Sculpture? What Every Museum Needs To Know about the Visual Artists Rights Act"" by Roberta Rosenthall Kwall, a professor at DePaul University College of Law, and Adine K. Varah, deputy city attorney for San Francisco.

The panel will discuss the Visual Artists Rights Act and how it contains certain moral rights that artists may claim under U.S. federal law, as an amendment to the Copyright Act. Museum administrators frequently must evaluate artists’ rights relating to conservation, placement of art, site specifics and attribution when exhibiting and curating their collections. Hodes will interpret artists’ rights under the act and will discuss the case Martin v. City of Indianapolis (CCA-7, 1999), a landmark decision in which Hodes successfully represented an artist whose sculpture was bulldozed by the city.

Though his practice primarily focuses on corporate transactions, Hodes advises a number of prominent artists, dealers and collectors in all aspects of their business. He is the longtime legal representative of the internationally famous Christo and his wife, Jeanne-Claude.

""Managing and Protecting Museum Intellectual Property"" is co-sponsored by the Smithsonian Institution with the cooperation of the American Association of Museums. Firm\'s International Trade Group Hosts Indonesian Minister of Trade
Indonesia, said to have Southeast Asia’s most dynamic and market-oriented economy, will be the topic of conversation Wednesday, April 5, when Bryan Cave’s International Trade Group hosts a presentation by the Indonesian minister of trade in the New York offices.

Dr. Mari Pangestu was appointed by Indonesia’s first directly elected president to carry out a range of investment and trade reforms. She will discuss Indonesia’s recently announced major policy reform package, the status of U.S.-Indonesia trade relations and the World Trade Organization “Doha Round,” among other issues, at the event sponsored by the American Indonesian Chamber of Commerce.

Curt Dombek, head of Bryan Cave’s International Trade Client Services Group, Mark Nguyen and others from the International Trade Group organized the event and Bryan Cave’s participation. Partner and former New York City Mayor Ed Koch will provide introductory remarks.
