TA Associates Completes $200 Million Buyout of Global 360 Inc.
TA Associates, a leading private equity and buyout firm, today announced the completion of a $200 million buyout of Global 360 Inc., a global software and services company providing business process management and optimization solutions. TA led the investment along with Technology Crossover Ventures, a leading provider of growth capital to technology companies, and JMI Equity, a private equity firm exclusively focused on investments in the software and business services industries. The senior lender on the deal was Wells Fargo.

John LeClaire, Kathy Fields and Howard Cubell, all partners at Goodwin Procter, represented TA Associates in this transaction.

Syracuse Practice Group Chair Elected President Of ESF College Foundation, Inc.
Virginia C. Robbins has been elected President of the ESF College Foundation, Inc. The Foundation supports the mission of the State University of New York College of Environmental Science and Forestry. Ms. Robbins is Deputy Chair of Bond, Schoeneck & King, PLLC's Real Estate, Environmental and Finance Department and Chair of the firm's Environmental Law Practice Group. She is experienced in advising clients on state and federal regulatory compliance issues, particularly in the areas of air and water pollution control and waste management. She has developed expertise in the requirements promulgated under the federal Clean Air Act Amendments of 1990. Ms. Robbins has counseled clients involved in power generation and development projects on the management of the environmental impact review process. She has also advised clients extensively on real estate transactions involving "Brownfields" redevelopment. Ms. Robbins is listed in The Best Lawyers in America®.

Ms. Robbins received her B.A. degree, magna cum laude, from Rutgers University in 1971; her law degree, with honors, from Rutgers University in 1986; and her Master's Degree from Middlebury College in 1972. Phi Beta Kappa.

Ashurst advises Charterhouse and Chequers in relation to a €1.8 billion bid for Elior
Ashurst Paris is advising funds managed by Charterhouse Development Capital and Chequers Capital in relation to their investment in Holding Bercy Investissement (HBI) to support the tender offer launched by HBI on all the securities of Elior, a company listed on the Paris stock exchange. The bid values Elior's market capitalisation at approximately €1.8 billion.

Should the bid be successful, the funds managed by Charterhouse and Chequers will hold a majority stake in HBI upon settlement of the offer.

Elior is a listed company in compartment A (large caps) of Eurolist by Euronext. The group provides catering services to restaurants, businesses, airports, stadia and leisure facilities, and heritage sites in 12 countries worldwide.

The Ashurst team comprises corporate partner Guy Benda assisted by Yann Gozal and Nicolas Barberis, international finance partner Diane Sénéchal with Pierre Roux, and competition partner Chantal Momège with Nicolas von Lingen.

Wilkie Farr & Gallagher LLP is advising HBI.
HSBC acts as financial adviser to Charterhouse and Chequers. Philippe Villin Conseil and Morgan Stanley are providing financial advice to HBI.

Ashurst acted for Greenhills Real Estate Limited on the acquisition of a £220 million property portfolio
Ashurst acted for Greenhills Real Estate Limited on the acquisition of a portfolio of 30 office and industrial properties for £220 million from Scarborough Development Group. The portfolio generates a rent in excess of £16 million per annum and reflects an initial yield of seven per cent.

Key assets in the portfolio include Atlas House and Octagon House in London, Phase 1 Park One in Bracknell, as well as Victoria Road and Consort House in Horley.

Greenhills is a new £500 million joint venture company formed by the current management team of Hemingway Properties with Dutch Stichting Pensioenfonds ABP (ABP) and Danish Arbejdsmarkedets Tillægspension (ATP), to acquire and operate office, industrial and mixed-use properties with high value-added potential in the UK. Management is also co-investing in Greenhills.

The Ashurst real estate team was led by partners David Jones and Anthony Burnett-Scott with solicitor Chris Taylor. Partner Stephen Lloyd and solicitors Mark Withey and Karan Dinamani advised on corporate aspects of the acquisition, which was structured as the purchase of interests in a portfolio of special purpose entities. Solicitor Simon Swann advised on tax matters.

Ashurst Paris advised Morgan Grenfell and Tamago on the sale of a controlling interest in Orbus Group, owner and operator of Skyrock radio
Ashurst Paris advised Morgan Grenfell Private Equity and Tamago on the sale of 80 per cent of the capital of French media group Orbus to Axa Private Equity. Tamago is jointly owned by Morgan Grenfell and Goldman Sachs.

Orbus owns and operates French radio station Skyrock, as well as internet forum Skyblog. Founder and President of Skyrock, Pierre Bellanger, retains 20 per cent of the group's share capital.

The Ashurst team was led by corporate partner Frédéric Pinet, assisted by Franck Coudert.

Ashurst advised Hoare Govett on a placing by White Young Green plc to raise £7.4 million
Ashurst advised Hoare Govett on a placing of 2,000,000 ordinary shares in the capital of White Young Green plc, an international planning and engineering consultancy.

The placing raised £7.4 million and helped fund the acquisition of Tweeds Limited, a quantity surveying and project management company, and Farningham McCreadie Partnership Limited, a planning consultancy which operates in Scotland and Ireland.

The Ashurst team comprised corporate partner Nick Bryans, with solicitor Justin Atkinson and trainee Paul Rowlands.

Eversheds (Keith Froud) advised White Young Green.

WILLIAMS & McCARTHY ADDS EXPERIENCED ATTORNEY TO ITS WORKERS\' COMPENSATION DEFENSE TEAM.
ROCKFORD, IL-Williams & McCarthy announced today that Carol A. Hartline has joined the firm as an associate in its expanding Workers' Compensation Department, which represents Northern Illinois employers in the defense of workers' compensation claims. She will be based in the firm's Rockford office.

Carol brings to Williams & McCarthy a broad range of trial and appellate experience in the area of workers' compensation defense. During her career, Carol has concentrated her practice in counseling and litigating for insurance companies and employers in the defense of workers' compensation matters.

Ms. Hartline earned her BA from the University of Illinois and her law degree, magna cum laude, from Northern Illinois University College of Law. She was a member of the Northern Illinois University Law Review and Moot Court Board. She also studied international law in France through the University of Bordeaux. She is a member of the American, Illinois and Winnebago County Bar Associations. She has been active in the business community through work with the Rockford Chamber of Commerce and is on the Executive Board of the Rockford Dance Company.
