Cleary Gottlieb Ranks #1 in U.S. M&A for First Quarter; Firm Wins High Rankings Across the Board
Cleary Gottlieb's M&A practice showed its global heft in the recently released Thomson Financial league tables for the first quarter of 2006. The firm placed first for completed U.S. M&A deals, with $100.8 billion in transaction volume. For worldwide completed deals, Cleary ranked fourth with an impressive $110.2 billion in deals.

Cleary also demonstrated its prominence in both Europe and Canada. The firm was first among U.S.-based firms in both announced and completed M&A deals in Italy for the first quarter. (Cleary ranked fourth and third, respectively, among all firms.) For announced Benelux deals, Cleary placed second among all firms, with approximately $24 billion in M&A transactions during the first quarter. The firm even emerged as a major player in Scandinavia, ranking fifth for the first quarter in completed Nordic M&A deals. Cleary secured the number one spot, among U.S.-based firms, for announced Canadian M&A in the last quarter. (The firm ranked fifth overall, with all four higher-ranking firms based in Canada.)

Corporate and Securities Lawyer Thomas J. Friedmann Moves to Dechert LLP
Dechert LLP announced today that Thomas J. Friedmann has joined the firm as a partner in its corporate and securities practice. He is resident in the firm's Washington D.C. office. Previously, Friedmann was a partner at Shearman & Sterling LLP.

Friedmann represents issuers and investment banks in a full range of public and private securities transactions, including offerings of common stock, high-yield and investment grade debt, and convertible securities. He also represents issuers and underwriters in connection with securities offerings by companies registered under Investment Company Act of 1940, including closed end funds and special purpose acquisition companies (SPACs). In addition, he counsels clients in the financial services, technology, chemical, and manufacturing industries on corporate governance and general corporate matters.

""Tom brings a wealth of experience in all aspects of both public and private corporate finance transactions,"" said Barton J. Winokur, Dechert chairman. ""His experience representing issuers, investment banks and closed end funds in securities offerings, combined with his knowledge of the Investment Company Act of 1940 and overall securities law, are tremendous assets to the firm.""

In 2005, Dechert was ranked one of the top ten law firms as both issuer and manager counsel for debt, equity and equity-related offerings by Thomson Financial in its annual capital markets league table report. The firm was also recognized as a top M&A law firm in the year-end league tables of Corporate Control Alert, Thomson Financial, Bloomberg and Mergerstat, and one of the top law firms in private equity according to the annual league tables of Private Equity Analyst and Mergermarket.

MCDERMOTT RANKED AMONG LEADING TRADEMARK FIRMS
McDermott Will & Emery's Intellectual Property, Media & Technology Department was ranked among the leading U.S. firms for trademark prosecution and litigation in Managing Intellectual Property's World IP Survey (March 2006). The results of the survey are based on interviews of hundreds of companies and practitioners worldwide and reveals which firms are rated by their peers for the strength of their expertise and the depth of their ability to service clients.

The rankings were determined from research of more than 500 interviews that were conducted by phone, email and face-to-face of independent specialists covering at total of 64 jurisdictions. Only firms that were rated highly in the research were included in the rankings.

McDermott's Intellectual Property, Media & Technology Department has one of the largest groups of trademark lawyers who are dedicated full-time to practice issues related to the selection, protection and enforcement of trademarks. The Firm's trademark practice spans major U.S. cities and Europe and includes more than 30 trademark lawyers and other dedicated trademark professionals. PEROT SYSTEMS CORPORATION PREVAILS IN SECURITIES CLASS ACTION
On March 31, 2006, McDermott Will & Emery client, Perot Systems Corporation, prevailed in a securities class action seeking damages for the company's failure to disclose its alleged involvement in teaching Enron and other energy suppliers how to manipulate the California electricity market. Last week the trial court granted Perot Systems' motion to dismiss with prejudice. This litigation began in 2002 with a series of securities class action complaints filed in New York and Texas district courts. McDermott successfully consolidated all the actions in the Northern District of Texas. This recent victory for Perot Systems was McDermott's third consecutive successful representation of Perot arising out of these allegations.

In May 2005, Perot Systems won an important appeal in a California consumer class action seeking damages in excess of $10 billion based on the same allegations. In February 2004, McDermott successfully obtained dismissal of the lawsuit on the pleadings based both on federal preemption and state law grounds. The California Court of Appeal in Sacramento affirmed this judgment of dismissal, handing Perot Systems a complete victory.

In 2002, McDermott successfully defended Perot Systems against government investigations into allegations that it was involved in illegal manipulation of California's wholesale electricity markets in connection with the 2000-2001 California energy crisis. Following this result Perot Systems retained McDermott to defend it in several civil class actions that were filed upon the announcement of the government investigations.
