Craig Meurlin Named International Business Chair at Warner Norcross
Craig N. Meurlin has been named chair of the International Business Practice Group of Warner Norcross & Judd LLP.
Meurlin, who joined Warner Norcross in 2000, concentrates his practice on international business with a particular focus on foreign direct investment in greater China. The Firm's International Business Practice Group represents foreign corporations doing business in the United States, as well as West Michigan corporations with operations abroad, and handles issues such as acquisitions, exporting, foreign licensing, immigration, international tax and other matters.

Active both personally and professionally, Meurlin is a member of the American Bar Association, State Bar of Michigan, Grand Rapids Bar Association and Ohio Bar Association. He speaks widely on numerous international business topics, and was the 2002 World Trade Week keynote speaker on China. He also serves as an adjunct professor at the Michigan State University School of Law.

Meurlin received a bachelor's degree summa cum laude from the University of Vermont and his doctor of jurisprudence from the University of Virginia, where he was Order of the Coif and articles editor of Virginia Law Review. Prior to joining Warner Norcross, he served as senior vice president and general counsel at Alticor, Inc., formerly Amway Corp., in Ada, Mich.

GARDERE RAISES ASSOCIATE ATTORNEY SALARIES
The law firm of Gardere Wynne Sewell LLP is announcing that it is
increasing the base compensation for the firm’s associate attorneys effective April 1,
2006, the beginning of the firm’s fiscal year.

Under the firm’s new base compensation schedule, first year attorneys at Gardere will
earn $140,000 annually; second year - $145,000; third year - $150,000; fourth year -
$160,000; fifth year - $170,000; sixth year - $180,000; and seventh year - $185,000.

Bonuses will be based upon productivity and will equal or exceed market standards.
Gardere Managing Partner Stephen D. Good says the details of the bonus schedule are
still being formulated in light of the fact that the firm’s fiscal year just ended last Friday.

“We have always been an entrepreneurial firm,” says Mr. Good. “Our goal is to provide a
total compensation package that equals in all cases – and exceeds in some – what an
associate would receive at other large Texas firms. We will expect a specific level of
productivity, but we will not impose extremely high billable-hour requirements.”

Gardere will continue to encourage even its youngest lawyers to focus on other aspects
of their careers, such as business development and community service.

“In the long run,” says Mr. Good, “we believe that helping our lawyers to be well-rounded
is more satisfying and successful than simply focusing on maximizing billable hours.”

Mr. Good says that his firm believes the market compensation for first year lawyers has
leveled off at a total package of $140,000, creating no real competitive recruiting
advantage, but rather only a disadvantage for firms that do not match that compensation
level.

Gardere’s goal remains to competitively compensate associates while still encouraging
other valuable activities, and in particular to compensate more senior associates in a
way that reflects their additional experience and expertise.

“Our most productive associates have always been compensated at or above the levels
paid by other Texas firms, and with this change, that tradition will continue,” Mr. Good
says.

Chadbourne Represented Private Equity Company in Investment and Reorganization of Power-Plate, Company With Hot-Selling Exercise Machine
Chadbourne & Parke LLP represented a private equity company in an investment and three-country reorganization of Power-Plate International, an exercise machine company that counts Madonna among its customers.

The investment and reorganization, which involved the acquisition of three companies in the Netherlands, United Kingdom and United States, also included the creation of a unique tax structure due to peculiarities of Dutch law. To complete the deal, the parties used an unusual structure with a general partnership holding company.

The deal closed recently. The amount of the investment was not disclosed.

The Power-Plate is a vibrating platform for exercising; in the past year, more than 10,000 of the machines have been sold in Europe. According to press reports Madonna paid $3,500 for a personal Power-Plate intended to help her recover from fractures sustained in a fall from a horse.

Working on the deal for Chadbourne were New York office partners Thomas Meriam, William Cavanagh, Sey-Hyo Lee and Marjorie Glover as well as New York counsel Michael Graif and Barry Eisler, and associates James Alexander, Jillian Eng and Robin Schafer. Also working on the deal were London office partner Denis Petkovic and associate Zaur Baghirov.

Chadbourne Represents ArvinMeritor, Inc. in Tender Offer for $600 Million of the Company\'s Public Notes
Chadbourne & Parke LLP recently represented ArvinMeritor, Inc. in the cash waterfall tender offers by ArvinMeritor for $600 million aggregate principal amount of four series of its outstanding public notes.

The offer, originally for up to $450 million of ArvinMeritor's notes, commenced on February 28, 2006, was subsequently increased to $600 million of notes on March 13, 2006 and closed on March 28, 2006.

Working on the tender offers for Chadbourne were New York office partners Peter R. Kolyer, Marc A. Alpert, William G. Cavanagh and Lauren D. Kelly; associates Brad Berman and Dorothy Wisniowski; and paralegal Sarah Chan.

Cold Cleaners in Butler, Clark, Clermont, Greene, Hamilton, Miami, Montgomery, and Warren Counties
Ohio EPA has amended rule OAC 3745-21-09 to eliminate vehicle inspection programs (E-Check) in the Cincinnati and Dayton metro counties at the end of 2005. To offset the potential increase in VOC and NOx emissions resulting from the termination of the E-Check program, certain new VOC control strategies were developed. These new requirements became effective on March 12, 2006.


One such addition affects all cold cleaners located in Butler, Clark, Clermont, Greene, Hamilton, Miami, Montgomery and Warren counties. While these cold cleaners have been subject to certain requirements for some time, additional requirements have been added and codified at OAC 3745-21-09(O)(2)(e).


The new requirements state that the solvent material used in the cold cleaner must have a vapor pressure that does not exceed 1.0 mmHG (0.019 psi) at 20 degrees Celsius (68°F). Also, the owner or operator of the cold cleaner must keep the following records for a minimum of five years for each solvent purchase: the date of purchase, the name, company ID, and chemical composition of the solvent, and the vapor pressure of the solvent.


There are two activities that are exempt from these requirements: the cleaning of electrical components (as defined in OAC 3745-21-01(G)(3)) and the cleaning of paint gun parts (as defined in OAC 3745-21-01(G)(1)) for the removal of pain and coatings.
