Connie L. Lay Joins Firm as Director of Human Resources
Connie L. Lay, a human resources professional with more than 20 years of experience in the areas of employee relations and development, compensation, benefits and policy development, has been named Director of Human Resources with the law firm of McAfee & Taft. She joins the firm after an extensive 13-year career overseeing the human resources departments at CMI Corporation and CMI Terex – Roadbuilding Division.

Her current responsibilities include overseeing McAfee & Taft’s recruiting activities, employee staffing and development, payroll and employee benefits administration.

Lay is a member of the Society for Human Resource Management and a Certified Achieveglobal Trainer. She also holds a bachelor’s degree in business administration from Oklahoma City University.

C&H Works to Protect the Rights of Same-Sex Parents
C&H’s commitment to diversity includes working to make our society a better place for members of racial, social, ethnic, religious and sexual minorities. Recently attorneys in our firm volunteered their time to try to ensure that Washington State continues to protect the rights of parents, including parents from same sex relationships. In November, 2005, the Washington Supreme Court recognized that a parent can allow another parent to become a de facto parent to their child, by permitting the adult to foster a true parent-child relationship with the child over several years, a relationship where the adult assumes all the rights and responsibilities of any parent. The Washington Supreme Court ruled that a woman who argued that she had created such a relationship with the child she had helped her partner to conceive, and she had co-parented for 7 years, should be able to have the chance to establish her claims at trial. In re Parentage of L.B., 155 Wn.2d 679 (2005).

L.B.’s birth mother has asked the United States Supreme Court to accept this case, and overturn the ruling of the Washington State Supreme Court. On April 3, 2006, our attorneys filed a Brief in Opposition to Petitions Motion for Writ of Certiorari, arguing that Washington State should be left alone to develop its own family law. If Washington chooses to recognize such parent child relationships, and give parents rights and responsibilities equal to any other birth, adoptive or other type of parent, Washington State has every right to do so. Click here for Brief and Click here for Appendix. Such a result is fundamentally fair, and certainly constitutional.

Weil Gotshal Counseling GM Board in GMAC Sale
Weil, Gotshal & Manges LLP is advising the board of directors of General Motors regarding the company’s decision to sell its financing unit, GMAC. General Motors agreed to sell a majority stake in GMAC to an investor group led by Cerberus Capital Management for total proceeds of $14 billion over three years. The members of the Weil Gotshal team advising the General Motors board on this matter are partners Frederick Green, Malcolm Landau and Greg Danilow. Weil Gotshal also is advising General Motors and its board on a variety of other corporate and litigation matters. Stevens & Lee\'s Leonard P. Goldberger Presents to Environmental and Emerging Claims Managers Association
Leonard P. Goldberger presented to the Environmental and Emerging Claims Managers Association Conference held April 5-7 in Sanibel Island, FL.

In his presentation, ""Solvent Schemes of Arrangements,"" Mr. Goldberger discussed how the increasing use of solvent schemes of arrangement for run-off insurers in the global insurance markets effects the claims and rights of U.S.-based insurers, especially with respect to asbestos, environmental and other mass tort claims.

Mr. Goldberger, a shareholder, has nearly 30 years of experience in business bankruptcy law. He represents insurers in asbestos, mass tort and environmental bankruptcy cases and works with clients in the acquisition and financing of financially distressed businesses.

A former Vice President, Director and Executive Committee member of the American Bankruptcy Institute, Mr. Goldberger is the current Chair of the American Bar Association's Committee on Insurance Coverage Subcommittee on Insolvency and a member of the ABA's Litigation Section and its Tort Trial and Insurance Practice Section. Mr. Goldberger lectures and writes on bankruptcy law topics and serves on the editorial board of the ABI Journal. Mr. Goldberger received a J.D. from Villanova University School of Law (1976) and a B.A., summa cum laude, from Temple University (1973).

Corporate Attorney Drew G.L. Chapman Joins Sonnenschein

Chapman focuses his practice on mergers and acquisitions, corporate finance and securities, in both the cross-border and domestic arenas. Simpson Thacher Represents Sealy Corporation in IPO
Simpson Thacher represented Sealy Corporation in connection with its initial public offering of common stock, which closed on April 12, 2006. The transaction comprised of a $320 million primary offering and a $195.2 million secondary offering (including full exercise of the overallotment option). Its shares are now listed on the New York Stock Exchange under the symbol “ZZ”.

The firm also represented an affiliate of Kohlberg Kravis Roberts & Co. L.P. as a selling stockholder. KKR continues to own a majority equity interest in Sealy. The firm had previously represented KKR in its acquisition of Sealy in April 2004.

Citigroup Global Markets Inc., Goldman, Sachs & Co., J.P. Morgan Securities Inc. and Banc of America Securities Inc. acted as representatives of the underwriters.

Sealy is the largest bedding manufacturer in the world with sales of nearly $1.5 billion in 2005. It manufactures and markets a broad range of mattresses and foundations under the Sealy®, Sealy Posturepedic®, Stearns & Foster®, and Bassett® brands.

R&C Partner Serves as Panelist in American Bar Association Open Source Software Presentation
Jacqueline Scheib, a Partner in R&C's Intellectual Property and Technology practice, was one of four panelists at the American Bar Association Business Section's Spring Meeting in Tampa, Florida on April 6, 2006. The panel discussed "Another Technology Wrinkle in M&A Practice: Open Source and Free Software" and Ms. Scheib's presentation focused on appropriate representations and warranties for handling Open Source and Free Software in a purchase agreement.
