Goodwin Procter Establishes West Coast Presence
Goodwin Procter LLP, one of the nation’s leading law firms with 650 attorneys in Boston, New York and Washington, D.C., today announced the opening of offices in Los Angeles and San Francisco. Goodwin Procter’s California platform will feature two of its preeminent practices — real estate/real estate capital markets and complex litigation — and broaden the reach of its nationally recognized technology, life sciences, private equity and intellectual property practices.

In recent years, Goodwin Procter has structured and executed REIT and REIT M&A deals totaling more than $65 billion, has counseled clients on real estate investment transactions valued at more than $20 billion, and has provided advice on the formation of real estate and related funds with private equity capital in excess of $20 billion. The firm’s litigation practice includes nearly 300 attorneys focusing on the areas of commercial litigation, products liability and class actions, antitrust, intellectual property, securities litigation and SEC enforcement, and white collar crime and governmental investigations.

Lewis G. Feldman, formerly the Los Angeles real estate head and national public finance practice team leader for Pillsbury Winthrop Shaw Pittman LLP, will chair Goodwin Procter’s Los Angeles office. Feldman is widely considered to be one of the nation’s leading real estate capital markets and public finance attorneys. He has advised clients in both the public and private sectors on over $50 billion in capital markets transactions, including Anschutz Entertainment Group, AvalonBay Communities, Boeing Realty Corporation, Fountainglen Properties, KB Home, The Lennar Family of Builders, Los Angeles Department of Water and Power, Pulte Home Corporation, Stone & Youngberg, the State of California, and Tejon Ranch Corporation. Feldman will head the firm’s national public finance practice and be a leader in driving Goodwin Procter’s California expansion into markets where the firm will be making significant service-based investments.

“Lew Feldman brings 24 years of proven success in debt, equity, real estate finance and real estate capital transactions, including many of the largest, most successful public-private partnership, mixed-use, affordable housing and infrastructure transactions in California, Arizona and Nevada,” added Pisa.

Feldman will be joined by three additional real estate capital markets and public finance partners from Pillsbury Winthrop. Partners Bruce J. Graham, a veteran public finance and real estate lawyer, and Robert M. Haight, Jr., one of the leading land securities attorneys in California, will also be located in Goodwin Procter’s Los Angeles office at 10100 Santa Monica Boulevard in Century City.

Multifamily and affordable housing partner Tuan A. Pham, one of California’s distinguished “40 under 40 in Real Estate,” will split his time between Los Angeles and San Francisco. Pham will join Paul Churchill, one of the Bay Area’s most highly regarded real estate lawyers, in Goodwin Procter’s San Francisco office at 101 California Street, in the city’s Financial District. Churchill, the former head of Cooley Godward’s real estate practice, will lead the firm’s San Francisco real estate practice. He will be joined by former Cooley Godward real estate attorney, Mark Goldberg, who will also be a partner.

San Francisco-based litigation partners will include Forrest A. Hainline and Patrick S. Thompson, two prominent trial lawyers from Pillsbury Winthrop. Hainline is regarded as one of California’s most versatile trial attorneys and has handled cases for some of the country’s most visible companies in the areas of complex litigation and class actions, as well as patent infringement and trade secrets litigation. Hainline has recently represented Campbell Soup Company, Pepperidge Farm and the principal manufacturers of canned tuna, among others.

Patrick Thompson, a recipient of the Daily Journal’s “20 under 40” distinguished lawyer award, represents many high profile clients in antitrust, telecommunications and complex litigation matters.

Along with the eight partners joining the firm from Pillsbury and Cooley, partners from Goodwin Procter’s New York and Boston offices will be relocating to California. Products liability practice leader Edward S. Weltman and real estate capital markets tax partner Edward L. Glazer will lead the integration teams and help anchor the San Francisco and Los Angeles offices, respectively.

Goodwin Procter’s West Coast expansion follows several other milestones. In March of 2005, Goodwin Procter added nearly 100 attorneys to its Boston office from Testa Hurwitz & Thibeault and McDermott Will & Emery, adding significant depth and capabilities to its technology, life sciences, private equity and intellectual property practices. Private Equity Analyst recently ranked Goodwin Procter “6th Most Active Law Firm” nationally based on the number of private equity and venture deals negotiated and closed in 2005. Plans to open an office in Silicon Valley are currently being explored.

In October of 2004, Goodwin Procter combined with Shea & Gardner, the venerable Washington, D.C.-based law firm. Opened in 1997, the New York office of the firm has grown through strategic lateral hiring and growth from within the organization. Today, Goodwin Procter has 135 lawyers in New York and 85 lawyers in Washington, D.C.

Los Angeles

Lewis G. Feldman, formerly managing partner of Pillsbury Winthrop’s West LA office and head of its Public Finance Practice, graduated with highest honors from the University of California at Santa Cruz, with majors in business economics and environmental planning. Feldman earned his J.D. from the University of California at Davis, where he served as Executive Editor of the Law Review. He has experience with respect to more than $50 billion in debt and equity financings for a variety of projects, including apartments, single-family master-planned communities, industrial manufacturing facilities, urban entertainment centers, retail malls, hospitals, commercial and residential redevelopment projects, successful brownfield remediation efforts, and forms of public infrastructure. He is on the Board of Directors and Leadership Counsel of the University of Southern California Lusk Center for Real Estate, the Board of Directors of United Way of Greater Los Angeles, the Board of Trustees of the Carlthorp School, and the City of Hope Cancer Center’s Real Estate Industries Council. Feldman has been elected to Best Lawyers in America, Chambers, SuperLawyers, is AV rated by Martindale-Hubbell and frequently speaks and publishes on issues affecting the real estate, public finance and affordable housing industries.

Bruce J. Graham specializes in the financing and refinancing of a wide variety of public and private projects, including all forms of public infrastructure, utilities, multi-family housing projects, single-family master-planned communities, industrial, manufacturing, transportation and recreational facilities; hospitals and other non-profit facilities; and commercial and residential redevelopment projects. He earned his J.D. from the University of California at Los Angeles School of Law and his B.A. from Claremont McKenna College, where he graduated magna cum laude.

Robert M. Haight, Jr. specializes in municipal and public finance matters. He has extensive experience in providing counsel services to developers, bondholders, underwriters, financial advisors, municipalities, special districts and other governmental agencies in the State of California. He earned his J.D. from the University of California at Davis, King Hall School of Law and his B.S. from the University of Santa Clara with honors as a Beta Gamma Sigma.

San Francisco

Paul Churchill was chair of Cooley Godward’s Real Estate Group, and specializes in a variety of real estate matters including acquisition, development, leasing, disposition, secured financing and restructuring work. He has also represented financial institutions, pension fund advisors and developers in connection with origination as well as restructuring of loans secured by real estate. He earned his J.D. from the University of California, Berkeley School of Law and his B.S. from the University of California, Berkeley where he graduated with highest honors, was elected to Phi Beta Kappa, and was a member of Beta Gamma Sigma and Beta Alpha Psi. Paul was recognized as a Northern California “Super Lawyer” in 2004 and 2005.

Mark R. Goldberg maintains a general transactional real estate practice, including purchase and sales, leasing and financing transactions. He also has experience in commercial litigation, specializing in creditor’s rights and general real estate matters. He earned his J.D. from the University of California, Hastings College of the Law and his B.S. from the University of Arizona.

Forrest A. Hainline III is one of the country’s most experienced and successful trial lawyers. He has tried approximately 100 cases in more than 40 states and has appeared before the Supreme Court of the United States. Hainline has tried cases in wide-ranging areas of the law, including: toxic torts, environment, antitrust, securities, employment issues, false advertising, construction, patent, trademark and media defense. Hainline has recently represented Campbell Soup, Chevron, Pepperidge Farm and the principal manufacturers of canned tuna, among others. He earned his J.D. from the University of Michigan, his M.A. from the State University of New York at Buffalo, and his B.A. from the University of Notre Dame.

Tuan A. Pham is an industry-recognized specialist in the overlap between real estate and public finance. He has particular expertise in the area of tax-exempt multifamily affordable housing, and real estate acquisitions and sales subject to bond financing. He was selected by Real Estate Southern California magazine as one of the top “40 Under 40” most successful and youngest stars of the Southern California real estate industry. He earned his J.D. from the University of California at Berkeley and his B.A. from the University of California at Los Angeles, where he graduated magna cum laude.

Patrick S. Thompson is one of the country’s most versatile trial lawyers, specializing in antitrust, telecommunications and complex litigation matters. He has represented various clients in price-fixing and monopolization cases involving federal and state law. In addition, he has represented clients in a number of evidentiary hearings involving competition law issues before the California Public Utilities Commission, including the SBC/AT&T merger, the proposed WorldCom/Spring merger, the SBC Communications/Pacific Telesis merger and the rulemaking proceedings concerning the unbundling of incumbent telecommunications networks. Thompson has been recognized as one of America’s Top Black Lawyers and was recognized as a Northern California “Super Lawyer” in 2004 and 2005. He was also named one of the top 20 lawyers under the age of 40 in California by the Daily Journal. He earned his B.A. from the University of Michigan with high honors and his J.D. from Harvard Law School.

Louis Vlahos Honored by Touro Law Center
Louis Vlahos, a Partner at Farrell Fritz, was honored recently by the Touro College Jacob D. Fuchsberg Law Center for his dedication to providing pro bono legal services to a number of charities on Long Island and Queens, New York.

Mr. Vlahos has done extensive pro bono work throughout his career and oversees the pro bono program at Farrell Fritz. In addition, he serves on the Board of Directors of the Queens Theatre in the Park and as counsel to the Board of Directors of the Nassau County Museum of Art.

Mr. Vlahos heads the tax practice at Farrell Fritz and has broad experience in corporate and partnership taxation, mergers and acquisitions, real estate transactions, not-for-profit corporations, and estate and gift taxation, including tax planning, ruling requests and tax controversies.

Mr. Vlahos received his LL.M. in Taxation from New York University, after receiving his J.D. from Harvard Law School. He graduated with an A.B. magna cum laude, Phi Beta Kappa from Columbia College. Mr. Vlahos has lectured on subjects ranging from corporate transactions to family limited partnerships, and has written for various publications.

The pro bono award was presented during the school’s 9th Annual Goods and Services Auction. The proceeds of the auction benefit Touro’s Summer Interest Fellowship Program. This year, $40,000 was raised, enough money for 13 public-interest awards for students who help the area’s neediest individuals.

Ashurst advises Hikma Pharmaceuticals on Dubai listing
Ashurst is advising Hikma Pharmaceuticals PLC in relation to the secondary listing of Global Depository Receipts (GDRs) on the Dubai International Financial Exchange (DIFX).

Hikma is a FTSE 250 generic pharmaceutical company which develops, manufactures and markets a broad range of both branded and non-branded generic and in-licensed pharmaceutical products. It is the first pharmaceutical company to list securities on the DIFX.

Ashurst previously advised Hikma on its initial public offering on the London Stock Exchange in November 2005.

The Ashurst team was led by US corporate partner Daniel Bushner, with associates Britta Jacobson and Kate Edey, as well as Paul de Cordova, head of the firm's Dubai office, with associate Mhairi Garcia.

Commenting on the transaction, Daniel Bushner said: "We were pleased to advise our client Hikma on one of the first listings on this new exchange. Our Dubai and London offices have been working closely with DIFX on a number of promising listings.

Bracewell & Giuliani Adds Prominent Global M&A and Private Investment Fund Group in New York
Bracewell & Giuliani LLP announced today that Mark Palmer, Jonathan Gill and Robb Tretter will join Bracewell as partners in the firm's New York office, effective May 1, 2006. Palmer started his legal career in the mergers & acquisitions group at Sullivan & Cromwell. Palmer, who will lead Bracewell's New York Corporate practice, previously led the Linklaters’ corporate/M&A practice in New York, where he represented clients on domestic and cross-border mergers & acquisitions, and on matters involving restructurings, corporate governance, financings and tender/exchange offers. Additionally, his group advised private funds on investments and acquisitions involving distressed and insolvent companies.

Government and Land Use Attorney Joins JMBM
Jeffer, Mangels, Butler & Marmaro LLP (JMBM), one of California's foremost full-service law firms, today announced that Ellia Thompson has joined the firm as an associate in its Government, Land Use & Zoning, Environment and Energy Group.

McLane Attorney Claudia Damon Receives Athena Award from Greater Concord Chamber of Commerce

Making it her mission to help other women find their own individual balance of career demands and family, she has also mentored women in their commitment to community service, career goals, and communication skills.

""Claudia takes on roles that make a difference at many critical points in the lives of women, advocating for their success while showing tremendous respect for others,"" said Tim Sink, President of the Greater Concord Chamber of Commerce. Claudia has worked tirelessly to further the provision of childcare services to working women. For years, she served on the Board of Directors of the Merrimack Valley Day Care Services, Inc. in Concord, eventually becoming President. During that time, she was also part of an ad hoc group whose members assisted professional women in obtaining information about child care resources. Claudia later chaired a committee for the Greater Manchester YMCA that analyzed the need for, and obtained the Boardճ support of, child care services located at the organization's facility.

Not limiting her influence to helping working mothers, Claudia also served on the Board of Directors of the Girls Club of Manchester, Inc, from 1975 to 1980, as Board member and Vice President. Serving girls from preschool through their high school years, the mission of the GirlsՠClub was to help girls be mentally and physically well-prepared for all the challenges of their lives, and to take charge of conditions in their lives and communities.

In perhaps her most fulfilling civic role, at the end of 2005, Claudia completed her third three-year term elected by the public on the Concord Board of Education and her fourth year as President, elected by her fellow Board members.

In addition to being recognized as Lawyer of the Year in 1997 by the Manchester Bar Association, Claudia has actively served the business and legal community throughout her career. She is an incorporator of the New Hampshire Women's Bar Association, and is a founding member of the Hillsborough County Women's Bar Association, among many other positions in service to her community.

Claudia graduated from Wellesley College in 1967, received her M.A. from Boston University in 1968, and received her J.D. from Boston University in 1974.
