Two King & Spalding Lawyers Contribute Chapter on U.S. Regulations to New Book on International Joint Venture Law
Two partners of the Corporate practice of King & Spalding, a leading international law firm, are contributing authors of a new book on the ins and outs of joint-venture transactions around the world.

The co-authors are C. William Baxley and Mark E. Thompson, whose chapter on U.S. laws and regulations affecting international joint ventures is included in International Joint Venture Law: A County-by-Country Look at Joint Venture Regulations and Best Practices in Major Markets around the Globe. The book was published this month.

Baxley, whose practice focuses on mergers and acquisitions and joint ventures, says the book provides insight on the regulations and procedures that govern joint ventures and other types of cross-border transactions in 15 countries. ""From practical information on court proceedings and document disclosure to larger strategies for negotiating and successfully closing a deal, the book discusses the most important elements of joint ventures,"" he said.

Thompson, who specializes in international and cross-border transactions, believes the book will be useful to any company pursuing a global business strategy. ""The information in the book goes beyond the laws that exist on paper and provides practical information on the current legal environment, relevant case law and standard business practices,"" he said.

International Joint Venture Law is published by Aspatore Books (www.aspatore.com) as part of the publisher's ""In Side the Minds"" series. The book is available for purchase online from the publisher and at bookstores nationwide.

Baxley has represented clients in numerous M&A and joint venture transactions, including The Coca-Cola Company, SunTrust Banks, Sprint Nextel Corporation, Jefferson Pilot Corporation, and GE Commercial Finance. In addition to U.S. domestic transactions, he has extensive experience in executing global and cross-border transactions. He is resident in the firm's Atlanta office.

Thompson has significant experience in mergers and acquisitions, leveraged buy-outs, contested proxy solicitations, joint ventures and corporate finance transactions. His clients include The Coca-Cola Company, General Electric Company, Golfsmith International, Global Payments, Sprint Corporation and United Parcel Service, Inc. He is resident in the firm's London office.

The American Lawyer’s Corporate Scorecard Highlights Cooley’s Public Offering and Follow-On Offering Strength
Cooley Godward LLP ranked third in issuer-side follow-on offerings and ranked fifth among IPO issuers’ counsel among U.S. law firms in 2005, according to The American Lawyer magazine in its annual review of high-level corporate practices. The rankings are compiled using data from Thomson Financial.

Butzel Long honors three attorneys for ongoing pro bono initiatives
Butzel Long recently recognized three of its attorneys for their pro bono initiatives. Associate attorney Evanne L. Dietz received the Most Valuable Volunteer Award while associate attorney Paula A. Hall and shareholder Thomas L. Sparks both received Honorable Mention Awards.

Ms. Dietz focuses her practice on family law. She is a recipient of the Pro Bono Award from the Michigan Coalition Against Domestic and Sexual Violence. She serves on the Board of Commissioners and Open Justice Commission of the State Bar as well as the Board of the Wayne County Council Against Family Violence. She is a member of Butzel Long’s Pro Bono Committee and is based in the firm’s Bloomfield Hills office.

Ms. Hall concentrates her practice on business bankruptcy. She provides pro bono services for Alternatives for Girls, which helps homeless and high-risk girls and young women avoid violence, teen pregnancy and exploitation. She also serves on the Board for the organization. Ms. Hall is based in Butzel Long’s Detroit office.

Mr. Sparks provides pro bono services to Safe House, Washtenaw County’s only domestic violence shelter. His practice includes health professional licensing, administrative litigation, regulatory compliance, medical staff and third party credentialing, Medicare Medicaid fraud and abuse, matters pending before the Michigan Health Professionals Recovery Program, professional peer review, pharmacy and institutional licensing, and DEA compliance. Prominent International Tax Attorney Joins Bell, Boyd
Prominent international tax attorney Bobbe Hirsh has joined Bell, Boyd & Lloyd LLC's Tax and International groups as a member of the firm. As counsel to numerous U.S. and foreign-based multinational companies, she is recognized for her skill in advising on domestic and international mergers and acquisitions, structuring cross border operations, designing tax efficient financing structures and defending clients' transfer pricing policies.
