Ashurst is advising CVC Capital Partners on its offer to acquire the share capital of Tele Pizza S.A.

Tele Pizza is a Spanish-based company whose principal activity is the production, sale and home delivery of pizzas and other food products. The company has outlets in Spain, Portugal, Poland, Chile, Mexico, France, the United Kingdom and Morocco.

The Ashurst international finance team comprises partners Nigel Ward, Helen Burton and Jane Fissenden, with associates Beatriz Sainz and Navdeep Benning.

William N. Gerson Joins Townsend’s Palo Alto Office
Townsend and Townsend and Crew LLP, a 170-attorney law firm specializing in intellectual property, antitrust and complex litigation, announced today that William N. Gerson has joined the firm's Palo Alto office as Of Counsel.

Gerson joins Townsend as a member of the firm's Technology Licensing Practice Group and brings with him a wide range of experience in patent and copyright licensing transactions, as well as technology development, hardware sales, professional services and manufacturing agreements. He has particular expertise advising management teams with regard to technology-driven mergers and acquisitions at every stage of the process, from early business discussions and due diligence efforts, all the way to board approval and operational integration.

Prior to joining Townsend, Gerson was in private practice in Menlo Park, and held senior in-house legal assignments and corporate officer roles at several public and private technology companies including: General Counsel and Assistant Corporate Secretary at Procket Networks (acquired by Cisco Systems in 2004); Associate General Counsel at JDS Uniphase; General Counsel and Secretary of E-TEK Dynamics (acquired by JDSU in 2000); and Senior Corporate Counsel and Assistant Secretary at Bay Networks (acquired by Nortel Networks in 1998). Gerson has served clients globally, and has negotiated with counterparts located across the US and in Japan, Israel, Canada, China and the Netherlands, among others. He is admitted to practice law in California, New York and Massachusetts.

Gerson is a graduate of New York University School of Law and received his undergraduate degree from Princeton University.

MR. ROEGGE RECEIVES HIGHEST HONOR FROM THE GR BAR ASSOC.
The Grand Rapids Bar Association has presented L. Roland ""Bud"" Roegge of the law firm Smith Haughey Rice & Roegge with the ""Donald R. Worsfold Distinguished Service Award"" for his service to the Grand Rapids Bar Association, the legal profession, and his community.

""This is the most significant award the Bar can give,"" extolled the Honorable Paul J. Sullivan, president of the Grand Rapids Bar Association. ""The community, his peers, and his profession have benefited from Bud's legal service.""

Mr. Roegge's practice includes business litigation and the representation of health care providers and attorneys in professional liability matters. Among the significant accomplishments contributing to his professional prominence was his successful defense of Michigan Chemical Company in hundreds of lawsuits brought as a result of the P.B.B. disaster in the 1970s. The PBB matter confirmed him as one of the premier trial lawyers in the state and also it accounted for the considerable acceleration of Smith Haughey's growth.

""Bud has practiced law, as well as lived his life, with grace, dignity, courage, wit, and wisdom. He is a rich part of the fabric of our lives,"" said William W. Jack, Jr. a shareholder with Smith Haughey Rice & Roegge.

Mr. Roegge is a member and past president of the Grand Rapids Bar Association, a member of the American Bar Association, and a member of the Michigan Bar Association. He is a member of the Michigan Defense Trial Counsel and served on its Board of Directors from 1988-1994. He serves on the Character and Fitness Committee of the Michigan State Bar and on the State Bar Grievance Commission.

In 1997, Mr. Roegge received the Fifth Annual Excellence in Defense Award from Michigan Defense Trial Counsel. He has been listed for the past 10 years in the publication ""Best Lawyers in America."" Mr. Roegge was elected as a Fellow in the American College of Trial Lawyers where he has served as a State Chair and on the Federal Rules of Civil Procedure Committee.

""This particular award is very special to me,"" said Mr. Roegge. ""First and foremost, I knew Don Worsfold personally. He was a good friend of mine, and it is a privilege to share an award with his name.""

Mr. Roegge has served as a lecturer and instructor for several continuing education organizations, including Inns of Court. He served as President of Smith Haughey Rice & Roegge since it became a professional corporation until 2002.

G. Robert Marcus Named Among New Jersey Super Lawyers

A resident of Basking Ridge, Marcus is Chairman of the firm’s Management Committee. He concentrates his practice on corporate transactions and tax matters. He has more than 30 years of experience counseling pharmaceutical, medical device and other technology-oriented clients on a broad range of corporate and tax issues including corporate reorganizations, license agreements, and distribution and supply arrangements.

Marcus has played a leading role in numerous mergers and acquisitions, as well as in a variety of corporate partnerships and joint ventures. He has also been involved in the organization and structuring of numerous start-up, mezzanine, and public financings. He has conducted due diligence, analyzed, structured and negotiated more than 300 transactions, including many venture capital and private equity investments, joint ventures, sales and mergers of companies and public offerings. Marcus has lectured extensively on many of these issues.

Marcus has served on the boards of numerous companies and is currently a principal with Conexus Financial Partners, L.P. which is a private equity partnership that invests in emerging, high-growth companies. Marcus received his LL.M. in Taxation from New York University in 1970, his J.D. from Dickinson School of Law in 1969 and his B.A. from Upsala College in 1966.

Michael J. Stanton Named Among New Jersey Super Lawyers

A resident of Belle Mead, Stanton devotes his practice exclusively to matrimonial and family law. Certified by the Supreme Court of New Jersey as a Matrimonial Law Attorney, Stanton has experience in all aspects of matrimonial and family law including divorce litigation, arbitration and mediation, custody and parenting rights, alimony, child support, equitable distribution of assets including complex valuation issues, pre-nuptial agreements, domestic violence and palimony.

Stanton recently served as Chair of the Family Law Section of the New Jersey State Bar Association (NJSBA). He has been a member of the Executive Committee of the Family Law Section of the NJSBA for more than ten years. He served as Chair of the Fee Arbitration Committee and as a member of the District XIII Ethics Committee.

Stanton is also a member of the prestigious Matrimonial Lawyers Alliance, the Somerset County and American Bar Associations, the American Academy of Matrimonial Lawyers, and the Central Jersey Family Law Inns of Court. Most recently, Stanton spoke at the 2006 NJ ICLE Family Law Symposium. He is listed in the Family Law section of the most current edition of The Best Lawyers In America.

A 1979 graduate of New York Law School and a 1976 graduate of Rutgers University, Stanton lectures for numerous family law programs and has authored frequent articles for the Institute for Continuing Legal Education, the Association of Trial Lawyers of America, and various other organizations.

Ira S. Novak Named Among New Jersey Super Lawyers
