Sidley Austin LLP Named #1 Issuer Counsel for U.S. Debt, Equity and Equity-Related Deals for 2005 by Thomson Financial
For the second year in a row, Sidley Austin LLP was ranked top issuer counsel for U.S. debt, equity and equity-related deals by Thomson Financial in its 2005 law firm league tables. Sidley maintained its number one position as issuer counsel in both the U.S. straight debt, including mortgage-backed and asset-backed securities, and U.S. investment grade corporate debt categories. Sidley was also ranked number one manager counsel for U.S. investment grade corporate debt.

As the number one issuer counsel for U.S. debt, equity and equity-related deals, Sidley advised on 482 transactions with over $320 billion in deal value, representing a market share of 11.4%. Sidley was ranked number three underwriter counsel in the same category with nearly $220 billion in deal value from 408 offerings, representing a 7.4% market share.

Sidley advised issuers of U.S. straight debt, including mortgage-backed and asset-backed securities, on more than $317 billion worth of transactions from 473 offerings, representing a 12% market share. In U.S. investment grade corporate debt, the firm served as issuer counsel on over $49 billion in proceeds from 72 issues, representing a 9% market share, and manager counsel on over $62 billion in deal value from 154 offerings, representing a market share of 9.2%.

Of 28 securities offerings measurements tracked in the Thomson survey, Sidley ranked in the top 10 in 21 categories. In 19 of those categories, Sidley ranked in the top 5. Notable rankings include:

• #1 issuer counsel and #3 manager counsel for U.S. debt, equity and equity-related securities

• #1 issuer counsel and #1 manager counsel for U.S. investment grade corporate debt

• #1 issuer counsel and #3 manager counsel for U.S. straight debt, including mortgage-backed securities and asset-backed securities

• #2 issuer counsel and #3 manager counsel for U.S. straight debt, excluding mortgage-backed securities and asset-backed securities

• #2 issuer counsel for U.S. mortgage-backed securities

Former U.S. Attorney For Eastern District Of Wisconsin Receives Lifetime Achievement Award
David J. Cannon, litigation partner in the Milwaukee office of Michael Best & Friedrich LLP, is the 2006 recipient of the Judge Myron L. Gordon Lifetime Achievement Award presented by the Eastern District of Wisconsin Bar Association . Mr. Cannon is recognized for his dedication to trial practice, his contributions to the legal profession via the many legal articles he has authored and the many continuing legal education topics he has presented, and for the various bar association leadership roles he has held over the years.

When asked what his one advice to young litigators would be, Mr. Cannon responded, “Listen, listen, listen to what the judge, opposing counsel or your senior partner is saying and then respond appropriately.”

Prior to joining the firm in 1973, Mr. Cannon served as the Assistant District Attorney and then as District Attorney for Milwaukee County and as the United States Attorney for the Eastern District of Wisconsin. He has extensive experience in all matters of litigation and is often called upon by our clients to conduct sensitive internal investigations involving corporate wrongdoing. Mr. Cannon has prosecuted and defended hundreds of criminal matters in both state and federal courts. Over the years, he has participated in a number of CLE presentations for the State Bar of Wisconsin on a variety of litigation issues. He was also named a Wisconsin Super Lawyer in the area of Litigation in the November 2005 issue of Milwaukee Magazine.

Luce Forward Strengthens Tenant-In-Common Specialization With Three Experienced Attorneys
Respected attorney Jason J. Belice has joined Luce, Forward, Hamilton & Scripps LLP as Partner, and highly regarded attorneys Carrie H. Darling and Adina Zerboni have joined the firm as associates. All three attorneys practice in Luce Forward's San Diego office.

Belice, whose experience includes work in mergers and acquisitions, venture capital financing, and complex real estate acquisitions, will focus on tenant-in-common (TIC) syndications as part of Luce Forward's Business / Corporate Practice Group. She earned a Juris Doctor degree from the University of California, Davis School of Law and a Bachelor of Arts degree from the University of California, Los Angeles. Zerboni has a California Real Estate Brokers' License and is an active member of the Performing Art League.

Philip diZerega Joins Lathrop & Gage
Philip diZerega joined the Boulder office of the Lathrop & Gage L.C. law firm as an associate in the intellectual property practice area. Prior to this, he was a patent attorney with Patent Law Offices of Rick Martin, P.C., in Longmont, Co.

Mr. diZerega focuses on intellectual property litigation as well as drafting and prosecuting U.S. and PCT patent applications. He was a law clerk for Katz, Look & Moison, P.C., in Denver in 2004. Mr. diZerega worked as an electrical engineer for Compaq Computer Corporation/Hewlett Packard Corporation in Houston from 1994 to 2002. He is licensed to practice before the United States Patent and Trademark Office and the Colorado Supreme Court.

Mr. diZerega earned his bachelor’s degree from The University of Texas in Electrical Engineering in 1992 and his M.S. from Texas A&M University in 1994. He earned his juris doctorate from the University of Kansas School of Law in 2004.

Bracewell & Giuliani Partner Mike Tankersley Receives Burton Legal Writing Award; Firm Honored for Third Time
Bracewell & Giuliani LLP is pleased to announce that Michael W. Tankersley, a corporate governance expert and partner in its Dallas office, has received a 2006 Burton Award for Legal Achievement. Tankersley and co-author Suzanne Hopgood received the award for Board Leadership for the Company in Crisis, a handbook for public company directors published by the National Association of Corporate Directors. Bracewell has also received a Record of Distinction Award for 2006 in recognition of its attorneys earning three Burton Awards in the seven years since the program's inception.

Board Leadership for the Company in Crisis guides corporate directors through the business, financial, legal and communications issues they must consider when their companies prepare for or respond to crisis situations such as natural disasters, investigations by government agencies, financial collapse and bankruptcy, or the loss of significant assets or key executives. ""It was surprising to us that there was so little guidance for corporate directors in the area of crisis planning and response,"" said Tankersley, who has more than two decades of experience advising officers and boards of public and private companies in responding to crisis situations and governance issues. Tankersley and other recipients of Burton Awards for 2006 will be honored at a dinner June 12 at the Library of Congress in Washington, D.C. Attorney William C. Burton (author of Burton's Legal Thesaurus) founded the Burton Awards program in 2000 ""to eliminate archaic legal writing"" and ""reward talented legal writers from across America and, therefore, set an example for all others to follow.""

Tankersley counsels corporate boards and committees regarding fiduciary duty issues, conflicts of interest, disclosure and securities law compliance issues, including special committee investigations of alleged fraudulent activity. He received his Bachelor of Arts and Master of Accounting degrees from Rice University. He graduated from The University of Texas School of Law with high honors in 1980. He is a past chair of the Business Law Section of the State Bar of Texas and was a founding director and is past chair of the Texas Business Law Foundation. He is a frequent writer and speaker on corporate governance and securities law issues, and he is a member of the teaching faculty of the National Association of Corporate Directors, speaking at their national institutes and providing certified educational programs for public company boards.

Suzanne Hopgood is president and CEO of the The Hopgood Group LLC, a business and workout consulting firm she founded in 1985. During the past 10 years she has assisted public and private companies in facing difficult business, financial and legal challenges and crises, serving at various times as a turnaround CEO, chairman of the board of directors of two troubled public companies and as chair of public company audit, nominating and governance committees.
