SAUL EWING WELCOMES NEW PARTNER TO BALTIMORE OFFICE
Saul Ewing LLP recently announced that attorney
George F. Ritchie has joined the firm as a Partner in the Litigation Department, resident in the
firm’s Baltimore office.
Mr. Ritchie is a Partner in the Litigation Department, and a member of the Firm’s Life
Sciences and Corporate Governance Practice Groups. He focuses his practice on complex
business litigation, including litigation arising out of mergers and acquisitions, corporate
governance, and contract matters. He also has extensive experience in the defense of product
liability cases for a wide variety of product manufacturers including prescription drug, medical
device and tobacco companies.
“George has universally impressed the Firm as an experienced ‘lawyer’s lawyer’,” David
S. Antzis, Saul Ewing’s Managing Partner, said. “It is an honor to have him at Saul Ewing.”
Mr. Ritchie represents clients in class action litigation and in individual cases in state and
federal courts across the country.
Immediately prior to joining Saul Ewing, Mr. Ritchie was a litigation partner for the law
firm of DLA Piper, resident in their Baltimore office.
Mr. Ritchie is admitted to practice in Maryland and is a member of the American and
Baltimore City bar associations. He is a member of the Maryland Defense Counsel, and a
member of the Business Litigation and Drug & Medical Device Committees for the Defense
Research Institute.
Mr. Ritchie graduated, cum laude, from Middlebury College in 1988. He received his law
degree from the Notre Dame Law School in 1992.

NEW LEADERSHIP ANNOUNCED FOR SAUL EWING’S BUSINESS DEPARTMENT
Partners Herbert D. Frerichs Jr.
and Christopher J. Pippett have been named Vice Chairs of the Business Department of Saul
Ewing LLP, Managing Partner David S. Antzis announced recently.
“With their combined legal skills in numerous aspects of corporate law, Herb and Chris
are ideally suited to help guide and grow our Business Department,” said Constance B. Foster,
Chair of the Business Department. “Herb brings to the Department extensive experience in
complex business transactions and mergers and acquisitions, while Chris brings significant
experience with financial institutions, lenders, and commercial real estate transactions.”
An experienced corporate attorney, Mr. Frerichs, resident in the Firm’s Baltimore office,
represents a wide range of companies and provides them with day-to-day legal counseling and
advice.. As part of his practice, he regularly represents his clients in negotiated transactions such
as mergers and acquisitions, joint ventures, and private equity and debt financings. In addition ,
Mr. Frerichs serves as general counsel of Maryland-based Perdue Farms Inc., an international
food and agricultural company.
Mr. Pippett is Chair of the Firm’s Financial Services Practice Group, resident in the
Firm’s Chesterbrook office. He practices in the areas of banking, finance, corporate and real
estate law. He represents financial institutions and secondary lenders in regulatory, lending and
workout issues. Mr. Pippett represents local and national commercial real estate owners in sales
and acquisitions as well as commercial leasing transactions. He also advises businesses and
owners in the start up, funding and continued financing, and expansion and sale of business
ventures.
Mr. Frerichs graduated, with merit, from the United States Naval Academy, received his
M.M.A. degree from the University of Rhode Island in 1985, and his law degree, with honors,
from the University of Maryland School of Law in 1988. Mr. Pippett graduated from Villanova
University in 1981, received his law degree from Widener University School of Law in 1985,
and an LL.M. degree from the Temple University James E. Beasley School of Law in 1987.

Top Employment & Class Action Litigation Lawyers Gregory Rasin & Elise Bloom Join Proskauer
Proskauer Rose LLP, an international law firm with over 660 lawyers in the United States and Europe, announced that Gregory I. Rasin and Elise M. Bloom, two of the country's top employment law and class action litigators, have joined the firm's Labor and Employment Law Department, which is one of the preeminent practices in the U.S. and abroad. They will be based in Proskauer's New York office. Also coming to Proskauer with Mr. Rasin and Ms. Bloom is Steven D. Hurd, an experienced employment class action litigator, who joins as senior counsel.

Mr. Rasin, Ms. Bloom and Mr. Hurd join Proskauer from Jackson Lewis, where Mr. Rasin managed the National Employment Law and Litigation Practice and was a member of the firm's Management Committee, and Ms. Bloom was a partner and head of the firm's Employment Class Action Practice. Widely recognized as preeminent lawyers in the areas of employment litigation and class actions, they have a tremendous range of trial experience and a list of clients that includes some of the world's most well-known companies, including McGraw Hill, The New York Times, Chevron, and Sprint/Nextel.

In Proskauer, Mr. Rasin, Ms. Bloom and Mr. Hurd join one of the deepest and most well-regarded employment law groups in the country. Proskauer is consistently ranked in the top tier of labor and employment practices by Chambers and Partners, the international guide to leading business lawyers, and its New York-based employment and national ERISA litigation practices are currently ranked the best by Chambers. In total, 12 Proskauer labor and employment attorneys throughout the U.S. and six practices are ranked in the top tiers of Chambers.

Both Mr. Rasin and Ms. Bloom have been widely recognized in the legal community, including being named to Best Lawyers in America and Who's Who Legal. Mr. Rasin has been a partner at Jackson Lewis since 1978 and is a graduate of St. John's University School of Law and Rutgers University. Ms. Bloom joined Jackson Lewis in 1984 and became a partner at the firm in 1990. She graduated from Emory University School of Law and the University of Chicago. Mr. Hurd graduated from Albany Law School and the University of Notre Dame, and was a partner at Jackson Lewis.

Perkins Coie Releases Third Edition of its Popular \"Public Company Handbook\": A Corporate Governance and Disclosure Guide for Directors and Executives
Perkins Coie today announced the release of the third edition of its popular guide to corporate governance issues, The Public Company Handbook: A Corporate Governance and Disclosure Guide for Directors and Executives.

The book provides an overview of important legal matters relevant to directors and executives at public companies. Easily accessible, even for those who do not have a legal background, it provides information and practical guidance on regulatory issues in plain language.

The new edition of the book amplifies many of the key issues facing company directors and executives, such as Sarbanes-Oxley compliance, that were addressed in 2003 when the second edition was published.

""The updated third edition conveys the most current information about corporate governance and disclosure requirements in a simple, direct format,"" said Stewart Landefeld, Chair of Perkins Coie's national business practice, who is the book's editor-in-chief and a co-author.

""The handbook is intended to provide useful, basic guidance, in a plain English style,"" Landefeld said. ""It's the kind of book that a director can pick up on the way to a board meeting, read on the airplane in order to prepare for specific issues that will come up and then tuck away.""

Attorneys Andrew B. Moore and Jens M. Fischer co-authored the book with Landefeld.

This 329-page soft-cover book includes graphics and highlighted tips throughout for easier reading. Some of the issues covered in the book include Sarbanes-Oxley, what it means to be a public company, reporting obligations, insider trading restrictions, annual reports and NYSE listing standards.

""It's a great tool for helping the directors and executives understand their legal obligations without having to wade through complicated documents or translate confusing legal-speak,"" Moore said.

Paul, Weiss Wins Best Brief Award From New York State Bar Association
At its annual spring meeting on Saturday, the Commercial and Federal Litigation Section of New York State Bar Association presented four Paul, Weiss lawyers with an award for excellence in commercial brief writing. Before a packed house of lawyers from throughout the city and state at Lincoln Center, of counsel Sidney Rosdeitcher, partners Les Fagen and Aidan Synnott and counsel Dan Crane and Bob Kravitz each received a "Best Brief" of the year plaque commemorating their brief on appeal to the Second Circuit in Information Resources, Inc. v. ACNielsen . Associates Allon Lifshitz and Beth Weinman also worked on the brief.

Three Corporate Partners Join Orrick in New York
Orrick, Herrington & Sutcliffe LLP announced today that three highly regarded corporate lawyers are joining the firm as partners in New York.

The three partners, who will bolster Orrick's corporate practice, include:

- Burton Haimes, who was vice chair of Thelen, Reid & Priest’s business department and chair of its European practice group;

- George Wang, a former partner at Thelen who, together with Haimes, focuses on providing U.S. legal counsel to French firms;

- King Milling, a former partner at Kirkpatrick & Lockhart Nicholson Graham in New York who advises clients on M&A and other corporate transactions, with a focus on the life sciences industry.

“New York is the center of international commerce, and lawyers of this caliber strengthen our ability to serve our global network of clients,"" said Peter Bicks, Orrick's New York office leader.

Orrick has significantly expanded its global corporate practice over the last year. On Jan. 1, the firm merged with French M&A firm Rambaud Martel, creating a 75-lawyer Paris office that is one of the top 20 firms in France and among the top five U.S. law firms in France, by size. In November 2005, Orrick opened its new Hong Kong office, following the arrival of a 20-lawyer team from Coudert Brothers. Nelson Mullins’ von Lehe Awarded Order of Palmetto
For his lifetime of exceptional, dedicated service to the Palmetto State, John C. von Lehe Jr., a Nelson Mullins Riley & Scarborough partner in the Charleston office, has received the Order of the Palmetto, South Carolina’s highest civilian honor.

“To me, the Order of the Palmetto is about a life not just of accomplishments, but one that transcends to a life of helping others, and you have done that. Thank you for a job well done,” Gov. Mark Sanford said in presenting the award to Mr. von Lehe.

The governor cited Mr. von Lehe’s service with honor and integrity as a former assistant attorney general assigned to the S.C. Tax Commission and also his service to Gov. Carroll Campbell as co-chair of his Economic Development Committee and to present his economic development package to the Legislature. Gov. Campbell appointed him to the Tax Study Commission, where he served until the commission’s termination.

Mr. von Lehe also has served on the University of South Carolina Board of Trustees since 1998. He is a former chairman of the board of the State Museum Commission (appointed by Gov. David Beasley) and is immediate past chairman of the Charleston Museum. He is a former president of the S.C. Bar Foundation.

He is a member of the S.C. Association of Certified Public Accountants, which in 2003 awarded him the distinction of its lifetime service to community award.

He has authored scholarly articles, course materials and books, including South Carolina Taxation and Economic Tax Incentives, which is widely used by attorneys and public accountants across the state. He is currently the ABA reporter for three publications (1) State and Local Tax Lawyer (2) Sales and Use Tax Deskbook and (3) Property Tax Deskbook.

His law practice focuses on taxation, estate planning and appellate law. He concentrates a significant portion of his practice in matters of property tax (including fee-in-lieu of property tax), sales tax, state income tax and economic and tax incentives for new and existing businesses. Mr. von Lehe is a Certified Specialist in Estate Planning and Probate Law and a Certified Specialist in Taxation Law, distinctions awarded by the Supreme Court of South Carolina. He has served as chair of the Estate Planning and Probate Law governing board and as president of the Taxation Law Section of the Bar.

He has been listed in The Best Lawyers in America from the date of the book’s inception to present.

Mr. von Lehe earned a Master of Laws in Taxation from Washington University in 1969. In 1968, he earned a Juris Doctor from the University of South Carolina School of Law where he was a member of South Carolina Law Review. In 1965, he earned a Bachelor of Science from the University of South Carolina where he was named to Beta Alpha Psi, the national accounting honor society.
