William F. Cassin Joins Stroock’s Financial Restructuring Practice Group
Stroock & Stroock & Lavan LLP, a national law firm with
offices in New York, Los Angeles and Miami, announced that William F. Cassin has joined the
firm’s Financial Restructuring Practice Group as a Special Counsel, effective today. His practice
will focus on corporate and securities law, mergers and acquisitions and investments in private and
public companies, including in the context of restructurings.
Mr. Cassin, (39), joins Stroock from White & Case, where he advised on a number of international
corporate transactions while based in the firm’s New York and Hong Kong offices. Mr. Cassin
possesses expertise in a variety of transaction types and structures, with a particular focus on 144A
offerings on behalf of international clients. Prior to White & Case, Mr. Cassin was an associate
director in UBS Warburg’s mergers and acquisitions group and a corporate attorney with Sullivan
& Cromwell, where he worked in that firm’s London and New York offices.

New York Magazine Names Barry Ostrager One of the \"Most Influential NY Lawyers\"
Litigation partner Barry Ostrager was named one of New York's ""Influentials"" in the May 15, 2006 issue, for his work advising Andersen Consulting. However, the article incorrectly states that Andersen received $1 billion in settlement. In fact, the Andersen case was arbitrated to completion, and the arbitrator determined that Arthur Andersen was entitled to no compensation as a result of the severing of the contractual relationships between the various Andersen entities.

Tax Attorney Michele Zinn Joins Miller Canfield
The law firm of Miller, Canfield, Paddock and Stone, P.L.C. announces that Michele R. Zinn has joined the firm as senior counsel in the Kalamazoo, Mich. office, bringing nearly 20 years’ experience in tax law to the Federal Tax Practice Group and Corporate and Securities Group. She has significant experience with the taxation of mergers and acquisitions (M&A), including tax-free reorganizations, cross-border transactions, corporation-shareholder issues, redemptions, spin-offs, liquidations and partnership issues.

Prior to joining Miller Canfield, she was a director in the M&A Tax Practice and was chief operating officer of the Global M&A Tax Practice at KPMG LLP in Washington D.C. and Baltimore, Md., as well as a member of KPMG's Washington National Tax practice's M&A Tax group. There she provided technical tax advise, implemented global initiatives, and served as an international liaison. She also developed a multidisciplinary tax practice to help entities engaged in international acquisitions, joint ventures or strategic dispositions meet their transaction objectives in a tax-efficient manner.

“Michele has a global perspective on tax law and is a nice complement to our federal tax practice,” said Thomas W. Linn, CEO of Miller Canfield. “She has handled every level of taxation – from complex tax consequences of multinational corporations to the tax issues of closely held businesses and individuals.”

She is a member of the Section of Taxation of both the State Bar of Michigan and American Bar Association, and District of Columbia Bar. She also is a member of the Chesapeake Bay Yacht Racing Association and American Paint Horse Association.

Zinn received her LL.M. in Taxation from Georgetown University Law Center and her J.D. from Vermont Law School. She also studied at the University of Exeter in England, focusing on international business transactions, French civil law, and European economic community law. She received her B.A. from Western Michigan University. Prior to attending law school, she worked as a marketing associate in yacht sales for several years.

She resides in Hickory Corners, Michigan.

Nationally Recognized ERISA Expert Robert Grossman Joins Lathrop & Gage
Robert D. (Bob) Grossman, former vice chair, 11-year member of the executive committee and former chair of the Business Law Division of Shook Hardy & Bacon, will leave that firm to join the Lathrop & Gage Corporate practice group effective May 8.

“In the Sarbanes-Oxley era of exacting scrutiny of corporate management and executive compensation, Bob Grossman has established himself as one of the preeminent ERISA, executive compensation and ESOP attorneys in the country,” said Tom Stewart, managing partner of Lathrop & Gage. “We are honored and delighted that an attorney of his stature elected to join our firm.”

Stewart added that Grossman shares the firm’s vision of building the most dominant corporate practice in the market. “Bob comes to Lathrop & Gage following the recent addition of Peter Brown and eight other Husch attorneys including Brian Johnston, another ERISA lawyer,” he said. “We are committed to building on an already vibrant corporate practice, and we will continue to pursue top corporate talent in this market and in all of our markets.”

Grossman has been involved in two public stock offerings in recent months, and is a nationally recognized employee stock ownership plan (ESOP) expert. He is a frequent writer and in-demand speaker, having made nearly 50 presentations throughout the U.S., on related topics.

About Bob Grossman
Bob Grossman is a former vice chair of Shook, Hardy. He served as a member of its Executive Committee for 11 years, chaired the Business Law Division and was former partner in charge of the firm’s Overland Park office. In his practice, Grossman also worked on ERISA litigation involving the ownership of company stock in qualified retirement plans.

He is a member of the Bar Associations of Missouri and Kansas, and the United States Tax Court. He is a past chairman of the Heart of America Tax Institute, an active member of the Legislative and Regulatory Committee of the ESOP Association, and a member of that committee’s Fiduciary Subcommittee.

He received his B.A., cum laude, from Tulane University in 1974, where he was selected as a Tulane Scholar and as a member of Phi Beta Kappa. He earned his J.D., with distinction, from the University of Missouri-Kansas City School of Law in 1977, where he was a member of the UMKC Law Review and also served on the editorial staff of The Urban Lawyer, and received an LL.M. in taxation from New York University School of Law in 1978.

AMERICAN RED CROSS PRESENTS HIGHEST AWARD TO KILPATRICK STOCKTON FOR HURRICANE RELIEF EFFORTS
Kilpatrick Stockton received the Circle of Humanitarians Award from the American Red Cross for raising more than $70,000 during the wake of Hurricane Katrina in August and September of 2005.
The Circle of Humanitarians award recognizes financial and in-kind supporters of the American Red Cross. It is given to the organization’s highest financial donors during times of disaster. Kilpatrick Stockton received this award, along with a plaque of recognition, from the local Metropolitan Atlanta Red Cross chapter.
The award was presented by Kathy Klatt, Director of Major Gifts for the Atlanta Chapter of the American Red Cross, and was accepted by Carol Black, a Kilpatrick Stockton legal secretary and the firm's Red Cross Blood Drive coordinator, and Hil Jordan, a Kilpatrick Stockton partner and member of the firm's Executive Committee.
In addition to donating to the Relief Fund, Kilpatrick Stockton is a member of the Red Cross Lifeboard and staff and attorneys donate more than 200 pints of blood each year. The firm has also become a part of the H.E.R.O. program to encourage employees to donate platelets, which has resulted this year in almost 70 units of platelets.
