H. Thomas Wells , Jr. Selected to be Fellow in the International Academy of Trial Lawyers
H. Thomas Wells, Jr., an attorney with Maynard, Cooper & Gale, P.C.,
was selected to be a Fellow in the International Academy of Trial Lawyers.
Membership in the Academy is limited to 500 Fellows from the United States. The
qualifications for membership are very high and the consideration of nominees is very extensive
and thorough. Outstanding skills and extensive experience as a trial lawyer, unimpeachable
personal and professional character, integrity and honesty, are but a few of the necessary
qualities of every nominee. Mr. Wells has been evaluated by his colleagues and the judges in his
jurisdiction and has been highly recommended as possessing outstanding qualifications and
characteristics.
The International Academy of Trial Lawyers was chartered in 1954. In general, its purpose is to
cultivate the science of jurisprudence, promote reforms in the law, facilitate the Administration
of Justice, promote the Rule of Law internationally, elevate the standards of integrity, honor and
courtesy in the legal profession.
Wells is a founding shareholder in the Birmingham office of Maynard, Cooper & Gale, P.C. and
a member of the Product Liability, Environmental and Toxic Tort, and Litigation practice
groups. He has served as the Alabama State Delegate to the American Bar Association’s House
of Delegates and was elected as its Chair for 2002-2004, the second highest office in the ABA.
Wells is also listed in Best Lawyers in America® for Environmental Law. He graduated from
the University of Alabama in 1972 and the University of Alabama School of Law in 1975.

Microsoft Acquires In-Game Advertising Pioneer Massive Inc.
Microsoft Corp. recently announced it has acquired Massive Inc., the New York-based creator of a world-leading network for video game advertising, in a move that will help deliver dynamic, relevant ads across Microsoft's online services, starting with Xbox Live® and MSN Games. Massive's solution depicts brands in various forms within the game — on soft-drink cans and pizza boxes, on billboards and posters, and in images on TV screens — where gamers would expect to see them in real life, adding realism to the overall gaming experience.

Two new Partners for Allen & Overy Paris
Carine Chassol and Fabrice Faure-Dauphin have been appointed partners of Allen & Overy LLP Paris with effect from 1 May 2006, within the banking and finance department. These are two of 33 promotions announced by Allen & Overy worldwide.

Carine Chassol

Carine Chassol, 32, holds a B.A. in Business and Tax Law, Pais II - Assas, as well as a Master Degree (D.E.A.) in Business Law, Paris I - La Sorbonne obtained in 1996. She was admitted to the Paris Bar in 1998.

Carine Chassol began her career at Meyrier Rentmeesters Fayout Lacoste in 1993, first as a trainee, than as an associate, prior to joining Allen & Overy LLP Paris office in 1998. She joined the banking and finance department, in order to develop, together with Luc Rentmeesters, French law activities.

Carine Chassol's experience covers several areas of banking and finance law with an emphasis on asset and structured finance. She has advised on numerous leasing transactions both on a cross border and on a domestic basis and is also experienced in ECA and acquisition financings. Carine has much experience in aircraft financing transactions.

Recent transactions in which Carine has been involved include:

the financing of the construction of eight container ships for CMA-CGM through an export credit loan financing coupled with a French tax lease for an amount of US$676 million for K-Exim
a $500 million French tax lease financing (for Inco Ltd, the second largest nickel producer worldwide), and its French subsidiary Goro Nickel SA (the project company for the Goro nickel-cobalt project in New-Caledonia).
Fabrice Faure-Dauphin

Fabrice Faure-Dauphin, 35, holds a B.A. in Business Law, Paris II-Assas, a Master Degree (D.E.A.) in Contract Law, Paris XI Jean Monnet as well as a Master Degree (D.E.S.S.) in International Business Law, Paris IX-Dauphine.

Fabrice Faure-Dauphin joined an important international law firm in 1997 as a banking department associate, prior to joining Allen & Overy LLP Paris office in 2000. In 2002, he spent several months at Allen & Overy's London office.

His experience in structured finance allows him to advise both arrangers or originators of these transactions. He is especially involved in the securitisation area and covers a large category of assets. Thus, he advised the implementation of a large range of structures in Europe.

Some transactions in which Fabrice has been recently involved include:

the first securitised A/B notes structure for mortgage loans in France. The deal was lead by Morgan Stanley and involved loans relating to commercial properties in the Paris area, which were securitised as part of the Odysseus (Eloc 21) transaction
The "Cars Alliance Funding 2005-1" deal, recently named "Most innovative Asset Backed Deal of the Year 2005" by "Structured Finance International" Magazine, an important securitisation transaction for RCI Banque.
Luc Rentmeesters, banking and finance department partner, said: "For the banking and finance department, these promotions represent the dynamism of our activity and, more particularly, our will to increase the Paris office's intervention on asset finance and securitisation practices.

Shearman & Sterling Advises Allianz Capital Partners on Acquisition of Majority Stake in MAN Roland Druckmaschinen AG
Shearman & Sterling advised Allianz Capital Partners Management GmbH (ACP), a wholly owned subsidiary of Allianz AG and responsible for private equity investments within the Allianz group, on the acquisition of a 65 percent stake in MAN Roland Druckmaschinen AG (MAN Roland) from MAN AG (MAN).

Upon closing ACP and MAN will establish a joint-venture acquisition vehicle, which will be held by an affiliate of ACP (65 percent) and MAN (35 percent). Closing of the transaction is - inter alia - subject to clearance by certain competent merger control authorities.

ACP and MAN intend to further develop MAN Roland, the world´s second largest manufacturer of printing units and service provider in this area, and to consummate an IPO in several years.

ACP was advised by partners Georg F. SAUL EWING ATTORNEY ELECTED TO BOARD OF MANAGERS OF THE SPRING GARDEN SOUP SOCIETY
Robert H. Louis, Partner and Co-Chair of
the Personal Wealth, Estates and Trusts Department, and Chair of the Business Succession
Planning Practice Group in the Philadelphia office of Saul Ewing LLP, was recently elected to
the Board of Managers of the Spring Garden Soup Society.
For over 150 years the Spring Garden Soup Society has been dedicated to feeding the
hungry in Philadelphia by providing financial aid to selected Philadelphia institutions that
provide food for those in need.
In his practice, Mr. Louis works on various aspects of the process of acquiring,
preserving, and passing on the wealth of individual clients and their businesses. He specializes in
areas such as executive compensation, retirement plans, employee benefits, and tax and estate
planning for these kinds of benefits. As an adjunct to this work, Mr. Louis assists clients in
developing family business succession plans, often involving benefit planning, and he also
assists them in a wide range of estate planning, including the preparation of wills, trusts, and
other estate planning documents to further the process of wealth preservation and transmission.
Mr. Louis is a frequent speaker and writer through his involvement with the Philadelphia,
Pennsylvania, and American Bar Associations. He has been a member of the Employee Benefits
Committee of the American Bar Association Tax Section for almost 30 years and is Co-Chair of
the Employee Benefits Committee of the Pennsylvania Bar Association Tax Section.
Mr. Louis is also a frequent lecturer and writer on topics relating to employee benefits,
estate planning, asset protection planning, and business succession planning. He has spoken at
Pennsylvania Bar Association and Pennsylvania Bar Institute programs and is often quoted in
national publications on various tax- and benefits-related topics. He was designated a
""Pennsylvania Super Lawyer"" by Philadelphia Magazine and Law and Politics magazine in
2005.
He graduated summa cum laude, from The Wharton School, University of Pennsylvania
in 1969, earned a J.D. degree, cum laude, from Harvard University Law School in 1972 and a
Masters of Law in Taxation degree from Temple University in 1976.

Team of Pillsbury Litigators Represent New York City in Lawsuit to Curtail Illegal Gun Trade
"Mayor Michael R. Bloomberg has announced that New York City has filed a lawsuit in federal district court against 15 out-of-state gun dealers identified as selling guns illegally. A team of Pillsbury Winthrop Shaw Pittman lawyers, led by New York partners Ken Taber and John Pritchard, will represent the City pro bono, as co-counsel with the New York City Corporation Counsel's office.




The lawsuit seeks injunctive relief to stop the dealers' illegal practices and to recover money damages. The dealers were identified in a sting operation conducted by investigators from the James Mintz Group, and are located in five states: Georgia, Ohio, Pennsylvania, South Carolina and Virginia. The dealers were targeted because a large number of guns have been traced back to them following crimes in New York City. Altogether, more than 500 crime guns recovered by the New York City Police Department have been traced to these 15 dealers between 1994 and 2001. In his January State of the City address, Mayor Bloomberg pledged to target dealers who sell guns illegally and hold them accountable for their actions.

""This litigation has the potential to improve the safety and security of every New Yorker, by helping staunch the flow of illegal arms into the City,"" said Taber, the leader of Pillsbury's New York litigation group and one of two leaders of the firm's national litigation group.
