Erik J. Gaines
Erik Gaines has completed his second year at St. John’s University School of Law. He received his B.A. from New York University, The Steinhardt School of Education, in 2003. Mr. Gaines was our 2005 City Bar Fellow.

Richard Kistnen
Richard Kistnen has completed his first year at City University of New York (CUNY) School of Law. He received his B.A. from State University of New York (SUNY), University at Albany in 2005. Mr. Kistnen is our 2006 City Bar Fellow.

Evangelo G. Kramvis
Evangelo Kramvis has completed his second year at Columbia University School of Law. He received his B.A. from Concordia University in 2004.

Matt Nelson Joins Steptoe & Johnson PLLC
Matthew H. Nelson has joined the Labor Department of Steptoe & Johnson PLLC practicing in the firm’s Wheeling office as an associate. Nelson will focus his practice in the areas of labor law and employment law. He received his legal education from the Ohio State University Moritz College of Law, where he was a member of the Appellate Advocacy Advisory Counsel and a recipient of the Dean’s Award for excellence. Mr. Nelson is licensed to practice in both Ohio and West Virginia.

Marc Reysen from Freshfields to join Brussels fastest growing competition practice
Just days after Howrey LLP announced that Götz Drauz, until recently Deputy Director-General of DG Competition was joining the firm, Trevor Soames, Managing Partner in Brussels, announced that Dr. Marc Reysen, a well known and respected competition partner of Freshfields Bruckhaus Deringer in Brussels, would join effective June 1st.

“Marc joins Howrey at an exciting time for both him and the firm,” Soames commented, adding, “Howrey is now one of the leading competition practices in Brussels. We have established ourselves in less than four years with a substantial number of lawyers and, affiliated economists working on some of the most significant cases in Brussels. Given the client demand we are experiencing, in part due to our very different business and operational model, we expect to grow further at both the partner and associate levels.”

Marc Reysen’s practice has focused on representing clients in complex merger control proceedings before the European Commission and in coordinating multi-jurisdictional merger control filings. His most important recent case has been the UniCredit / HVB transaction, one of the largest and most controversial recent cross border transactions dealt with by the European Commission. Dr. Reysen’s challenge was to guide the transaction through parallel proceedings in a number of countries and to ensure that all potential concerns would be addressed in a consistent fashion before the various authorities. The UniCredit / HVB transaction should have a major impact on the way that banking services are delivered in the European Union and neighboring countries.

Dr. Reysen has also provided strategic advice in cases under Article 81 EC, in particular regarding R&D cooperation and production joint ventures, defending clients against the allegations of abusive behavior, structuring distribution systems and assisting clients in cartel cases. He has advised on a number of state aid issues, in particular in relation to the state’s role as a shareholder of a business as well as with regard to the compatibility of long term agreements with state owned entities in the energy sector.

Dr. Reysen has experience in a broad range of sectors, from transport and logistics to film financing including industry sectors such as engineering, defense, chemicals and fuels, automotive, beverages, packaging materials, shipping, advertising and media, medical appliances as well as animal breeding. In the recent past, a particular focus of his practice has been on Financial Services where he worked on major merger control matters as well as providing behavioral advice, compliance training and guidance in relation to the European Commission’s sectoral inquiry.

Dr. Reysen, 39, is actively involved with the International Bar Association (IBA), and recently co-chaired the IBA’s working group dealing with the development of antitrust rules in the People’s Republic of China – an area that has held a particular fascination for him for cultural as well as legal reasons. He has also advised clients on the competition law implications of joint ventures with Chinese counterparts on a number of occasions.

Marc Reysen took a degree in law with honors after having studied in Frankfurt and Bonn. He subsequently obtained a master of European law from the University of Edinburgh with distinction and a Dr. jur. from the University of Bonn with a thesis on procedural issues in European competition law. He has published various articles on competition law related topics.

Commenting on his decision, Dr. Reysen said, “I am very excited to join such a dynamic group and to develop my practice together with such great colleagues.

Sheppard Mullin Lands Leading Health Care Attorney, Maureen E. Corcoran
Maureen E. Corcoran has joined the San Francisco office of Sheppard, Mullin, Richter & Hampton LLP as a partner. Corcoran, most recently with Pillsbury Winthrop Shaw Pittman in San Francisco and former chair of the firm's Health Care practice group, joins the Healthcare team as a member of the Corporate practice group.


Corcoran focuses in the practice of health care law. She advises on the full range of legal issues arising in the health care industry. Corcoran's transactional and regulatory practice includes developing and implementing corporate compliance programs; counseling on fraud and abuse, and physician self-referrals (Stark law).

Additionally, Corcoran provides general corporate and transactional advice to health care companies, including non-profits. She has represented a wide range of health industry clients, including managed care plans, hospitals, pharmacies, pharmacy benefit managers, physician organizations, ambulatory surgical centers, medical device companies, management services organizations, imaging facilities and community clinics, among others. Corcoran also advises health plans on issues related to fiduciary duty and ERISA regulatory matters.

Corcoran has previously served as General Counsel of the U.S. Department of Education prior to joining the firm. She also served as Special Assistant to the General Counsel of the U.S. Department of Health and Human Services.

Bob Dremluk and Carlos Bellido Published in The Bankruptcy Strategist
The May 2006 issue of The Bankruptcy Strategist includes an article entitled ""First and Second Liens - Don't Lien on Me (Too Much)"" authored by Bob and Carlos. The article discusses the recent decision in Contrarian Funds, LLC v. Westpoint Stevens, Inc. concerning the tension between first and second lienholders in bankruptcy cases in the context of an asset sale---this case highlights an important issue facing bankruptcy attorneys today.

In Westpoint the first and second lienholders held perfected liens in company's assets. An auction sale of these assets was authorized by the bankruptcy court. Upon conclusion of the auction, an order approving the sale was entered that provided (i) that the assets were to be sold free and clear of all liens and (ii) that first and second lienholders were to receive cash and a distribution of equity interests in the purchaser in exchange for their secured claims. The cash and securities to be distributed to the lienholders were intended to fully satisfy their claims, thus terminating their liens.

The first lienholders challenged the claim satisfaction and lien termination provisions on the grounds that their secured claims were effectively converted into an illiquid minority interest in the purchaser without their consent. On appeal, the district court agreed and held (i) that the in-kind distribution to first lienholders impaired their contractual right to receive cash consideration and (ii) that such a distribution was not sanctioned by various provisions of the Bankruptcy Code relating to asset sales by debtors.

Westpoint augurs well for a secured creditor to have its claim satisfied in the manner contemplated by its credit agreement. The holding assures a secured creditor that any alteration or modification of its contractual rights may be sought only through a much more rigorous process under the Chapter 11 plan confirmation provisions of the Bankruptcy Code. Lastly, Westpoint confirms that Sections 105(a) and 363(b) of the Bankruptcy Code, which relate to the exercise of equitable powers by the bankruptcy court and authorization of debtors to conduct asset sales, do not give bankruptcy courts carte blanche to fashion relief that impairs the contractual rights of secured parties---- even when such relief could arguably be economically or equitably justified.

SCHIFF HARDIN LLP WELCOMES CARL W. OBERDIER AS A PARTNER IN THE NEW YORK CITY OFFICE
chiff Hardin LLP has added Carl W. Oberdier as a partner in the Litigation Group of the New York City office. He joins the firm from Debevoise & Plimpton LLP, where he was a Partner.

Mr. Oberdier focuses on complex commercial litigation and arbitration. He has represented companies in several large patent cases, including disputes involving complex organic polymers, cellular phone location technology, and automotive components. He also has represented companies in several domestic and international arbitrations and in a wide range of civil litigation, including trademark, contract, reinsurance, shareholder derivative, accountant liability, and franchise suits.

Mr. Oberdier has been the lead attorney in four major trials or arbitration hearings and has substantially participated in several others. He won a verdict in a patent case worth several hundred million dollars that upheld a foreign manufacturer's right to import its flagship product into the U.S. He also won an arbitration award on behalf of a reinsurer claiming a violation of the duty of utmost good faith. Mr. Oberdier has also won numerous dispositive motions on behalf of his clients and has negotiated favorable settlements on behalf of many others.

Mr. Oberdier has received awards for outstanding pro bono service from the Legal Aid Society.

He received his undergraduate degree (B.A., magna cum laude, 1987) from Texas Tech University and his law degree (J.D., 1990) from Columbia University Law School, where he was a Harlan Fiske Stone Scholar and a member of the Journal of Transnational Law.

Gregory E. Young Elected to Firm\'s Executive Committee
The 500-attorney national law firm of Edwards Angell Palmer & Dodge has elected Gregory E. Young, Partner-in-Charge of the Firm’s Florida offices, to serve on the Firm’s 15-member Executive Committee.

As a member of the Executive Committee of Edwards Angell Palmer & Dodge, Young will be partially responsible for, among other things, directing the Firm’s strategic and long-range planning, admitting new partners and setting partner compensation.

In addition to his role as member of the Executive Committee and Partner-in-Charge of the Firm’s Florida offices in West Palm Beach and Ft. Lauderdale, Young practices law full time as a member of the Real Estate Department. Greg has guided clients in numerous real estate transactions throughout Florida and through complex zoning and development issues, appearing before Palm Beach County, the Town of Palm Beach and other local municipalities. In recent years Greg facilitated, for a large acreage development project, the first private transfer of development density in Palm Beach County since 1986 and was successful in negotiating and obtaining a CRALLS (Constrained Roadway At Lower Levels of Service) designation, achieving compliance with traffic concurrency requirements for Palm Beach County.

Young is a member of the Economic Council for Palm Beach County and is very active in the Palm Beach County community. He presently serves as a Trustee for the Palm Beach United Way and as a Trustee for the Gulf Stream School. He received his Juris Doctor and undergraduate degrees from University of Kentucky and is admitted to practice in Florida and Kentucky.
