Partner Keith Gercken Joins Sheppard Mullin San Francisco
Keith R. Gercken has joined the San Francisco office of Sheppard, Mullin, Richter & Hampton LLP as a partner. Gercken, most recently with Pillsbury Winthrop Shaw Pittman in San Francisco, is a member of the firm's Tax, Employee Benefits, Trusts and Estate Planning practice group.


Gercken's practice includes all areas of business income taxation, with emphasis on corporate and partnership taxation and international transactions. He advises corporate and individual clients on the U.S. federal and international tax consequences on a wide range of transactions, including taxable and tax-free mergers and acquisitions; partnerships and joint ventures; the formation and operation of equity funds; finance transactions; tax-free exchanges; international licensing; foreign operations (including cross-border joint ventures between U.S. and non-U.S. partners); and inbound investment into the United States by non-U.S. investors.

Gercken's recent representative matters include (i) representing Zions Bancorporation in connection with its $1.7 billion acquisition of Amegy Bancorporation, (ii) representing Bank of the West in connection with its $1.4 billion acquisition of Commercial Federal Bank, (iii) representing SICOR Inc. in connection with its $3.4 billion acquisition by Teva Pharmaceutical Industries Ltd., (iv) representing Applied Molecular Evolution, Inc. in connection with its $400 million acquisition by Eli Lilly and Company, (v) representing a large public pension fund in connection with the establishment and restructuring of numerous U.S. domestic and international real estate investment funds, (vi) advising a multinational telecommunications company in connection with several significant stock and asset acquisitions and dispositions in Latin America and Asia, (vii) representing a Hong Kong-based restaurant developer in connection with the formation of a worldwide joint venture, and (viii) representing a U.S.-based financial services company in connection with the partial sale and restructuring of its investment in a Puerto Rico electric generation facility.

Gercken graduated, magna cum laude, from University of California, Hastings College of the Law in 1987 and earned a B.A. from University of California at Berkeley in 1983.

Potter Anderson & Corroon Recognized as Firm with Most Attorneys Contributing at Highest Level to United Way of Delaware
Potter Anderson & Corroon LLP is pleased to announce the firm is the recipient of this year’s United Way of Delaware’s Tocqueville Award. The firm received the award at a ceremony on May 15.

The honor is given to the Delaware law firm that has the greatest number of attorneys qualifying for membership in the Alexis de Tocqueville Society, meaning they individually contributed at the $10,000 annual level or higher. Ten attorneys from Potter Anderson were in the Alexis de Tocqueville Society this year. Potter Anderson attorneys comprise 20 percent of all of the attorneys in Delaware who contribute at the de Tocqueville level.

Tannon Joins DLA Piper\'s Corporate and Securities Practice in Washington
DLA Piper Rudnick Gray Cary US LLP has announced that Jay Tannon has joined the firm’s Washington D.C. office as a partner in the Corporate and Securities practice group. Tannon will co-chair the firm’s U.S. Private Equity practice, sharing that role with Tony Rickert, who is also a Corporate and Securities partner based in Washington. Tannon joins DLA Piper from Pillsbury Winthrop Shaw Pittman LLP where he served as co-chair of that firm’s private equity and China practices.

Tannon focuses his practice on private equity investments and mergers and acquisitions, in both domestic and international transactions, and has counseled U.S., Canadian, Asian and European businesses, both public and private, on acquisitions, joint ventures, direct investments, capital formation, and other commercial arrangements. Tannon has served as lead outside counsel on significant projects for such companies as Onex Corporation and UPS.

“One of our top strategic goals since our merger has been to enhance our private equity capabilities and, although we made significant progress in 2005, this area remains a top lateral recruiting priority,” said Jay Rains, partner and co-chair of DLA Piper’s Corporate and Securities practice. “Jay Tannon has a national practice that will help us accelerate our growth in this important area.""

The Secretary of Commerce and the U.S. Trade Representative recently reappointed Tannon as a member of the Advisory Committee on Services. The Governor of Virginia also appointed Tannon to represent the Commonwealth on the Southern Technology Council and to assist with the Venture South initiative.

Additionally, Tannon helped the China Council for Promotion of International Trade and the CPR Institute of Dispute Resolution create the U.S.- China Business Mediation Center operating in Beijing and New York. Tannon has also led or participated in trade missions to a number of nations, including China, Singapore, Malaysia, Mexico, the United Kingdom, France, Germany and the Czech Republic.

Tannon is often a speaker on the subject of cross-border acquisitions and direct investments. Within the past six months, he has addressed business audiences in Beijing, Montreal and Washington. He also has published several articles on international business, including 2006 articles directed to European acquirers of U.S. companies and the rise of private equity in China.

WilmerHale Named To IP Super League
WilmerHale is among an elite group of law firms featured in the first IP Super League feature, to appear in Practical Law Company’s PLC Cross-border Quarterly. The July issue will include the top 20 IP legal practices around the world and a review of developments in the IP legal market over the past year.

Saila Toropainen Smyly has joined Nelson Mullins Riley & Scarborough LLP in Myrtle Beach as an associate and practices in the areas of corporate and real estate law.

Before joining the Firm, Ms. Smyly served as a law clerk for the Center for Heirs’ Property Preservation and as a planner for the Department of Planning and Development in the Town of Mt. Pleasant.

She is admitted to practice in South Carolina. She is a member of the South Carolina Bar and the American Bar Association.

Five T&K Attorneys Included in H Texas Magazine\'s \"Top Lawyers\" List
Thompson & Knight is pleased to congratulate Rhett G. Campbell, Grant Cook, Barry Davis, Marc E. Grossberg, and Robert L. Paddock on their inclusion in H Texas Magazine's 2006 ""Top Lawyers"" list.

For the past four years, H Texas Magazine has published their list of the ""Houston Top Lawyers."" The magazine collected nominees for the award by mailing ballots to all Houston attorneys. In addition, the magazine also made ballots available to readers via their Web site. The editorial staff reviewed each nomination and verified background information and general facts. Attorneys receiving the most nominations were selected for the list. Although many of Houston's Top Lawyers of 2006 have previously appeared on the pages of H Texas, the list starts from scratch every year.

Justice Department Clears Intelsat-PanAmSat Merger

As announced today, the U.S. Department of Justice has closed its antitrust investigation of Paul, Weiss client Intelsat, Ltd.'s proposed merger with PanAmSat Holding Corporation, paving the way for the combination of the two companies. Intelsat and PanAmSat announced their merger agreement in August 2005. Under the agreement, Intelsat will acquire PanAmSat for $25 per share in cash or $3.2 billion. Intelsat and PanAmSat are two of the largest U.S. commercial satellite operators and some analysts viewed the merger as reducing the number of competitors in U.S. satellite video distribution from three to two, and predicted that antitrust issues would cause substantial divestitures, possibly large enough to prevent consummation of the transaction. The Paul, Weiss team developed a compelling efficiencies argument demonstrating that the transaction would enable the combined firm to dramatically increase the available supply of protected transponders -- the demand for such transponders is high and the supply is tight -- thus benefitting consumers with no risk of anticompetitive effects. The Paul, Weiss team included partners Joe Simons and Patrick Campbell, and associates Danielle Monnig, Jonathan Lave and Ludovic Ghesquiere.
