Ashurst advised eircom ESOP Trustee Limited on a €2.42 billion recommended joint cash offer
Ashurst advised eircom ESOP Trustee Limited (ESOT) on a recommended joint cash offer with Babcock and Brown Capital Limited (BCM) for the entire issued share capital of eircom Group plc totalling €2.42 billion. The offer was made via a bidding vehicle, BCM Ireland Equity Limited, in which ESOT holds a 35 percent stake, and is to be effected by means of a scheme of arrangement. Under the terms of the offer, eircom ordinary shareholders will receive a total of €2.252 per share.

The Ashurst team comprised corporate partners Michael Johns and Nick Williamson, solicitors Nicola Hardy and James Marsh and trainee solicitor Rosie Lord. International finance partner Gonzalo Fernandez also advised.

Irish legal advisers Mason Hayes+Curran (Justin McKenna and Paul Egan) and O'Donnell Sweeney (Peter Fahy), tax adviser KPMG (Donall Gannon), financial adviser Rothschild (Jeremy Boardman and Richard Murley) and Irish financial adviser Merrion Capital (John Sheridan) also acted on behalf of ESOT.

BCM advisers included Linklaters (Nick Rees), Irish legal adviser Matheson Ormsby Prentice and financial adviser JPMorgan Cazenove. eircom advisers included Freshfields Bruckhaus Deringer, Irish legal adviser A & L Goodbody, and financial adviser Morgan Stanley Dean Witter.

Ashurst advised Lehman Brothers on a US$390 million CLO
Ashurst advised Lehman Brothers International (Europe) in its capacity as underwriter to a US$390 million CLO issued by GSC European CDO III S.A.

The CLO was secured primarily on senior secured loans, mezzanine obligations and high yield securities.

The Ashurst international finance team was led by partners Erica Handling and Michael Smith, and comprised senior associate David Quirolo, solicitors Ee-May Lim and Adrian Elliott, trainee solicitor Maud Couget, and paralegal Corinna Heinz. Partners Ian Johnson and Klaus Herkenroth (Frankfurt), with Nicole Benzler (Frankfurt) advised on tax issues.

McKee Nelson (Larry Isaacson and Michele Moss) advised on US legal aspects.

Ashurst advised Candover on a £100 million cash return to shareholders 30 May 2006
Ashurst acted for Candover Investments plc on its recent return of cash to shareholders, amounting to approximately £100 million. The return was effected by means of a bonus issue of preference shares, which gave shareholders a choice between capital and income treatment on their proceeds. This was the first time that such a structure had been implemented by an investment trust.

The Ashurst team was led by corporate partner Bruce Hanton, assisted by corporate solicitors Phil Hagan and Dafydd Leighton. Partner John Watson and solicitor Alexander Cox advised on tax issues.

Macfarlanes (Robert Boyle and Nicholas Barclay) advised JPMorgan Cazenove.

Ashurst advised Apax Partners on the pre-let of a 60,000 sq ft office development
Ashurst advised Apax Partners Worldwide LLP on the pre-let of a 60,000 sq ft office space at 33 Jermyn Street, London SW1. The building is a new development by Standard Life and Bellhouse Joseph which is scheduled for completion in 2007 and will become Apax Partners' new UK headquarters.

The Ashurst real estate team was led by partner Adrian Dear, assisted by solicitors Louise Keane, Libby Cole Adams (construction) and Marianne Bate (planning). Partner Ian Johnson also advised on tax aspects of the transaction.

Ashurst Milan advised Credito Bergamasco S.p.A. in relation to a €16 million bridge financing granted to Sabo S.r.l. for the acquisition of Sabo S.p.A.

Sabo S.p.A. is a leading chemical manufacturer, operating in both domestic and international markets. It produces a wide range of surfactants, esters, amides, phosphoric esters, specialist and performance chemicals for several industries.

International finance partner Riccardo Agostinelli led the Ashurst team, assisted by Andrea Buti, Morena Bontorin and Lorenzo Vernetti.

With over 16 years of experience, Perkins is an active member of the Construction and Surety Law Group.
