Ashurst advised Goldman Sachs on the issue of notes with a total value of €257 million
Ashurst advised Goldman Sachs International in its capacity as initial purchaser of a series of notes issued by Euro EPICS I plc (EPICS). Each series of notes will be secured primarily by a portfolio of subordinated securities of various collateralised debt obligations (CDOs) and the notes have a total value of €257 million.

ZAIS Group Investment Advisors Limited will act as servicer for the EPICS programme.
The Ashurst team was led by international finance partner Erica Handling and comprised senior associate David Quirolo and solicitor Paul Murdoch. International finance partner Gonzalo Fernandez also advised JPMorgan Corporate Trustee Services Limited as trustee for the EPICS programme.

McKee Nelson (Barbara Klippert and William Gray) advised on US law aspects and Arthur Cox (Glenn Butt) advised the issuer on Irish law aspects. A&L Goodbody (Catherine Duffy) advised ZAIS Group Investment Advisors Limited.

Ashurst advised Motorola on a £103 million cash offer for TTP Communications
Ashurst advised Motorola, Inc on a £103 million recommended cash offer for TTP Communications plc (TTP). Under the terms of the offer Motorola, through its wholly-owned subsidiary, DP Acquisition 2006, LLC, will acquire the entire share capital of TTP for 45 pence per share.
TTP is a British company specialised in the development of software for 3G applications, as well as protocol stacks and semiconductor solutions.

Corporate partner Nigel Stacey led the Ashurst team, assisted by corporate partner Andrew McMillan, corporate solicitors Nicola Hardy and Dafydd Leighton and trainee solicitor Nick Ransley. Solicitors Hayley Miller, Martin Page, Dominic Batchelor, Christopher Bates and David Futter from Ashurst's technology group also advised.

Hawkpoint provided financial advice to Motorola. TTP instructed Taylor Wessing as legal adviser and JPMorgan Cazenove as financial adviser.

Ashurst advised Atlantic Energy Group on a US$35 million placing and the acquisition of a stake in Diall Alliance LLC
Ashurst advised Atlantic Energy Group on a private placing to raise funds of approximately US$35 million and its subsequent acquisition of 75 per cent of Diall Alliance LLC for an undisclosed consideration. The deal was a complex cross-border transaction, spanning seven countries in total.

Following the placing and acquisition, Atlantic Energy Group will own 70 per cent of Diall and 75 per cent of ZhaikInvest LLC, a Kazakhstan company. Diall holds two licences with rights to use the subsoil in the Bortovoy licensed area located in the Saratov region of Russia. ZhaikInvest has been granted exploration rights in the Akmola and Karagenda regions of Kazakhstan.

The Ashurst team was led by corporate partner Richard Gubbins and senior associate Sergei Ostrovsky, joint heads of Ashurst's Russian business group. Tax partner Richard Palmer, corporate solicitor David Ryan and trainee solicitor Robert Laurie also advised.

In the practice group rankings, WolfBlock's Real Estate practice in Pennsylvania received the top ranking. A number of other Pennsylvania practices were also recognized as leading in their field, including the Environment practice, Corporate/Mergers & Acquisitions, Bankruptcy/Restructuring and Banking and Finance.

Herman Fala, the chair of WolfBlock's Real Estate group, was ranked in the top 10 for individual lawyers. In the practice area of Banking and Finance, Bruce Lesser was recognized with a top ranking.

Warren Appointed to ABA Standing Committee on Environmental Law
Kenneth Warren, partner and chair of WolfBlock's Environmental & Land Use Practice Group, has been recently appointed to the American Bar Association Standing Committee on Environmental Law (SCEL).

The committee, appointed by the president of the ABA, currently consists of 11 members. SCEL will be sponsoring the 34th National Spring Conference on the Environment on June 9 at the University of Maryland School of Law, Baltimore, Maryland.

The conference, titled ""Ecosystems, Infrastructure and the Environment: Reconciling Law, Policy and Nature,"" will discuss such issues as the hurricane disasters of 2005 and the nation's enormous infrastructure needs. These issue will serve as the focal point of discussion of what the next generation of environmental law should look like. Also, the conference hopes to generate new ideas to integrate ecosystem and infrastructure policies and planning.

Warren has been practicing environmental law for 25 years. He is listed in Best Lawyers in America, Who's Who Legal and Chambers USA for environmental law. He served as chair of the American Bar Association's Section of Environment, Energy and Resources in the Bar Year 2003-2004.

Warren received his B.A., magna cum laude, with honors in history, from Brown University in 1975, and he graduated magna cum laude from the University of Pennsylvania School of Law in 1979, where he served on the law review.

Ruth Kahn Named Among Top Women Litigators in California
Ruth Kahn , a partner in the Los Angeles office of Steptoe & Johnson LLP , today was named one of the Top Women Litigators in California. Kahn is among an elite group of just 75 singled out for this honor from among more than 15,000 practicing women lawyers in California by the Los Angeles Daily Journal.

A 1985 graduate of Case Western Reserve School of Law, Ms. Kahn has substantial experience handling—and winning—toxic tort litigation, complex commercial litigation, and premises and products liability cases.

""Ruth is an exceptional lawyer and a consummate professional litigator,"" said Lawrence Riff, managing partner of Steptoe’s Los Angeles office. ""This is well-deserved recognition for her litigation success, including several recent victories she has achieved in high-profile cases for some of the nation’s largest corporations.""

Ms. Kahn represents manufacturers and distributors of chemical and petroleum-based products in personal injury and wrongful death litigation and trials. She has extensive litigation and trial experience involving both industrial and consumer products, with an emphasis on defending complex, multi-party cases involving cancer, epidemiological and toxicological issues, and difficult questions of causation.

In 2005, Ms. Kahn was one of two lawyers representing Chevron U.S.A. Inc. at trial in Hooper v. Chevron U.S.A., et al., a complex benzene/cancer case which she and her partner, Lawrence Riff, tried to verdict (and won) before a jury in Alameda County Superior Court, following settlements by the other defendants.

Previously, Ms. Kahn represented Texaco Refining and Marketing Inc. in the successful resolution of a personal injury action involving more than 350 residents of a downtown Los Angeles public housing project, which arose from lead and polycyclic aromatic hydrocarbon contamination, that allegedly occurred in the early 1920s from refining operations by Texaco’s predecessors and others. After more than 36 months of litigation, the residents dropped their claims against Texaco.

Ms. Kahn also represented Union Carbide Corporation and Honeywell International in a series of complex toxic tort cases brought by a large number of plaintiffs who alleged they developed a variety of cancers from exposure to chemicals used in ""clean rooms"" at National Semiconductor and/or IBM’s manufacturing facilities in Silicon Valley. After more than five years in litigation in Santa Clara County Superior Court, these cases were resolved in 2005.

Ms. Kahn is a member of the American Bar Association, Products Liability, and Litigation Sections, the California and Los Angeles County Bar Associations, Litigation Sections; and the Women Lawyers Association of Los Angeles. For approximately six years, she served on the Board of Directors of Los Angeles County Bar Association Foundation. She is admitted to the bar in California, Washington, DC, and Hawaii.
