Four Shareholders Recognized Among The Best Lawyers in America

Fogarty Elected to Litigation Section Council of North Carolina Bar Association
Patrick J. Fogarty, a Partner at Poyner & Spruill LLP has been elected to a three-year term on the Litigation Section Council of the North Carolina Bar Association, effective July 1, 2006. The Council consists of both plaintiff and defense attorneys who work together to analyze litigation from a neutral perspective.

“Our 28 Sections are dynamic and creative engines of service to the public and our profession, helping the NCBA to become widely recognized as one of the finest voluntary bar organizations in the country. It is leadership by attorneys such as Pat Fogarty on Section Councils which provide the energy and direction for us to continue and build on this tradition” stated Michael Colombo, President of the North Carolina Bar Association.

Fogarty has a wide range of experience representing clients in the fields of design and manufacturing, healthcare, construction, professional services and insurance in complex litigation matters in both federal and state courts. The attorneys receiving rankings in the new Chambers USA Guide are: Alan Levine in two categories -- Litigation – General Commercial, and Litigation – White Collar Crime & Government Investigations; William J. Jonathan M. Cohen Joins Winston & Strawn’s San Francisco Office; Three Litigation Associates Accompany the Move
Winston & Strawn LLP announced today that Jonathan M. Cohen has joined its San Francisco office as a partner in the firm’s commercial and employment litigation practice. Cohen relocated his practice from the San Francisco office of Kirkpatrick & Lockhart Nicholson Graham and brings litigation associates Daniel F. Bailey, Robyn T. Callahan and Laura J. Clark with him in the move to Winston & Strawn.

Cohen focuses on the defense of major corporations in complex disputes and class actions. He is presently lead counsel for FedEx Kinko’s Office and Print Services, Inc., as well as ADVO Inc. in the defense of two wage-and-hour class actions.

“Jonathan is a talented lawyer corporations engage when they are facing serious litigation and bet-the-company cases,” said Charles S. Birenbaum, head of Winston & Strawn’s San Francisco office. “His practice complements our renowned business litigation and employment groups and we are delighted to welcome him and his group to our expanding West Coast offices.”

In addition to employment litigation, Cohen handles complex commercial litigation, shareholder derivative and securities cases as well as a variety of intellectual property, products liability, insurance coverage and real estate matters. He has successfully defended clients in numerous arbitrations, trials and administrative proceedings before government agencies, including the U.S. Department of Labor, the California Department of Labor, Cal-OSHA, and the California Department of Fair Employment and Housing. Cohen also negotiates employment terms and contracts for C-level executives and provides pre-dispute employment counseling.

A frequent lecturer and writer, Cohen addresses trial practice, employment and loss-prevention matters. He earned his juris doctor from the University of California Hastings College of Law and a bachelor of arts from Washington University. He completed externships for California Court of Appeal Justice Ming W. Chin and at the San Francisco District Attorney’s Office.

Daniel Bailey focuses his practice on commercial litigation including breach of contract, insurance coverage, professional negligence and employment. He regularly advises corporations on risk management and insurance requirements. Bailey received his juris doctor from Golden Gate University School of Law after graduating from the University of California at Berkeley.

Robyn Callahan focuses her commercial litigation practice on securities, director and officer liability and employment litigation. She earned a juris doctor from Suffolk University Law School, cum laude, and an undergraduate degree from the University of California at Santa Barbara.

Laura Clark is experienced in employment litigation and counseling. She was awarded a juris doctor from the University of Iowa College of Law and an undergraduate degree from the University of Iowa.

Brookfield Properties and Blackstone to Acquire Trizec for $8.9 Billion
Brookfield Properties has signed a definitive agreement to acquire all of the shares of Trizec Properties, Inc., a publicly-traded U.S. office REIT, and Trizec Canada Inc., a Canadian company that holds, among other assets, an approximate 38 percent stake in Trizec Properties. The deal is valued at $8.9 billion, doubling Brookfield's portfolio in the United States.

The Trizec portfolio consists of 61 high-quality office properties totaling 36 million square feet in nine U.S. markets including the gateway cities of New York City, Washington, D.C. and Los Angeles. Brookfield is joined in this acquisition by The Blackstone Group, forming a joint venture which will be financed with property and corporate debt, contributions of equity of $1.3 billion by Brookfield Properties and institutional partners selected by it and the balance of the equity by Blackstone.

Goodwin Procter partners Gil Menna, Samuel Richardson, Suzanne Lecaroz and Robert Houser represented Brookfield Properties in this transaction.

National Law Journal Features BLB&G Partner Jerry Silk on Stock Options Backdating Litigation Initiatives
In an article entitled "’Backdate’ Suits are in Pipeline," The National Law Journal ("NLJ") highlights BLB&G’s recent filing of a shareholder derivative suit against UnitedHealth Group Inc. over stock-options backdating. “I imagine there will be other lawsuits in the near future on behalf of our institutional client base,” comments BLB&G Partner Jerry Silk, lead attorney in the case.

The article discusses the flurry of new cases being filed, similar to the UnitedHealth Group, Inc. Shareholder Derivative Litigation, where executive officers and members of the Boards of Directors of public companies are accused of obtaining, approving, or agreeing to the issuance of unlawfully backdated stocks to senior executives, thereby inflating the compensation of these executives.

On behalf of the five public pension funds it is representing in UnitedHealth, BLB&G is asking that $2 billion in unexercised stock options granted to two executives from 1997 to 2002 be returned to the company.
