Douglas J. Good Sworn In As 104th President of the Nassau County Bar Association
Ruskin Moscou Faltischek announced today that Douglas J. Good, a senior partner at the firm, was inducted Monday as president of the 6,000 member Nassau County Bar Association. The event was held at Domus, the Mineola home of the Nassau County Bar, on June 5, 2006. Friends, family and dignitaries attended the ceremony and reception. Good was sworn in by the Honorable Lea Ruskin, wife of Melvyn B. Ruskin, one of the founders of Ruskin Moscou Faltischek.

“I am both humbled and proud to assume the presidency of the Nassau County Bar,” noted Good. “I look forward to working with the Officers and Directors of the Nassau County Bar and Academy of Law to further the Association’s programs and goals.”

One of Good’s top priorities is to expand pro bono opportunities. Long involved in pro bono activities, Good served as Executive Director of the Legal Aid Society of Rockland County early in his career. Other initiatives include increasing the ethnic diversity of the association and attracting younger lawyers to the bar group’s ranks.

Good has extensive experience in trial and appellate advocacy in both state and federal courts, as well as substantial experience in alternative dispute resolution. He has been an Assistant Adjunct Professor at the NYU Institute of Paralegal Studies and has served as Chairperson of the Board of Directors of Nassau/Suffolk Law Services Committee for over a decade. He is a fellow of the American Bar Association and the New York Bar Association.

ADVENT INTERNATIONAL ANNOUNCES BUYOUT OF BondDesk GROUP
Advent International, a leading global private equity firm, today announced it has agreed to acquire a majority interest in BondDesk Group, the leading Alternative Trading System (ATS) focused on odd-lot fixed-income execution and provider of software solutions to the securities industry, in partnership with the company’s senior management team. The transaction is subject to routine regulatory approval. Financial details of the acquisition were not disclosed.

Founded in 1999, BondDesk was the first ATS to focus on odd-lot bond execution and today operates the leading retail fixed-income trading platform. Through its proprietary BondDesk ATS, clients access over 30,000 live taxable and tax-exempt security offerings and execute over 20,000 transactions per day. BondDesk's broker-dealer clients include bulge-bracket firms, regional firms, online broker-dealers, and correspondent networks.

The long-term prospects for retail bond trading are positive with the aging of the baby boomers and pending rotation of assets into the fixed-income market. In addition, as transparency and overall acceptance of retail fixed-income trading increases, Advent and BondDesk management are bullish about the prospects for double-digit market growth.

Additionally, the investment in BondDesk continues Advent’s successful financial technology and services investments in companies such as Datek Online/Ameritrade, The Island ECN/Instinet and more recently GFI Group (NASDAQ: GFIG), one of the world’s leading inter-dealer brokers of over-the-counter derivatives and related securities. With the pricing of GFI’s secondary offering on May 18, 2006, Advent has now disposed of 90% of its original position in GFI. During its four years on the board of GFI, Advent worked closely with management to grow its core business and execute its transition to the public equity markets, with revenue and EBITDA reaching $534 million and $103 million respectively in 2005. GFI completed its IPO in January 2005, at $21 per share, valuing the business at $560 million. By year end, the stock had risen 126% to more than $47; making it the ninth best-performing stock of 231 US new issues that year.1 These transactions illustrate Advent’s expertise and focus in the financial technology and services sector, as well as its ongoing commitment to add value to its portfolio companies.

In connection with the transaction, Advent will join the company’s board of directors. Pepper Hamilton served as legal counsel to Advent, PricewaterhouseCoopers LLP provided accounting services and UBS Investment Bank acted as Advent’s M&A adviser. American Capital (NASDAQ:ACAS) and Merrill Lynch Capital are leading the debt financing to support Advent’s buyout. Banc of America Securities LLC served as financial advisor to BondDesk and Wollmuth Maher & Deutsch served as legal counsel to the company and selling unit-holders.

Flaster/Greenberg Welcomes Two Summer Associates
Shannon L. Klecko and Ivo Becica, both entering their third year at Rutgers University School of Law - Camden, have joined Flaster/Greenberg as summer associates.

Klecko is a 2004 graduate of Monmouth University, where she attained a Bachelor of Arts in History. A resident of Pennsauken, NJ, she is a member of the Law Journal and a participant in the Women’s Law Caucus program.

Becica, a resident of Cherry Hill, NJ, is a graduate of Franklin and Marshall College where he earned a Bachelor of Arts in Business Administration in 2004. At Rutgers, he is member of the Law Journal and the Environmental Law Society.

Davis Brown Law Firm has been named the State of Iowa nominee for the Secretary of Defense Employee Support Freedom Award
The Support Freedom Award is the highest recognition given to employers for support of their employees who serve in the National Guard and Reserve.

Secretary of Defense William Perry instituted the Support Freedom Award in 1996 to recognize the military’s partnership between employers and the civilian military. The National Committee for Employer Support of the Guard and Reserve (ESGR), the lead Department of Defense agency for gaining employer support, is charged with planning, coordinating and executing this program. Nominations must come from a Guard or Reserve member who is employed by the organization they are nominating. Family members may also nominate employers.

Firm member William P. Kelly nominated Davis Brown. Bill is a captain in the Judge Advocate General Corps of the Iowa Army National Guard.

The Support Freedom Award is the highest in a series of ESGR awards that include the Patriot Award, the Above and Beyond Award, and the Pro Patria Award. A thorough selection process by the ESGR committee took into consideration specific support provided by Davis Brown, including pay policies, benefits and leave policies, supervisor training, ESGR advocacy, service member recognition, family support, deployed member support, hiring preferences, and general military support.

The Firm’s outreach to its clients in training, policy implementation and education regarding employer obligations towards military personnel were also a consideration.

In the current national and international environment, civilian employers play a critical role in the defense of the nation by complying with existing employment laws protecting the rights of workers who serve in the Guard and Reserve.

Employment Attorney Jo Whitney stated, “As a firm we were honored to receive the nomination from the ESGR as this is an organization that works consistently to assist both employers and the military. Our goals as an employer and a law firm are similar to those of the ESGR - we want to not just comply with the law, but to provide support and assistance - to our staff and to our clients. Amy Zipper has joined Gunster, Yoakley & Stewart, P.A. as an associate in the Private Wealth Services Department in both West Palm Beach and Ft. Lauderdale. Dara. J. Garel has also joined the firm as an associate in the Litigation Department in West Palm Beach.

Gunster Yoakley also congratulates Nicholas Robbins, a senior associate in the Corporate Department in West Palm Beach and Brad Sprayberry, the firm’s director of recruiting, on passing the Florida Bar.

Zipper concentrates her practice in estate planning, charitable giving and tax exempt organizations, and estate and gift tax. Prior to joining Gunster, she was an attorney with the prestigious New York City law firms of Sullivan & Cromwell, LLP and Schulte Roth & Zabel, LLP. She speaks French and Spanish, and is a member of Leadership Boca 2006 as well as other local organizations. She has received numerous accolades for her work in legal research and writing, including the Legal Research and Writing Book Award and the Mediation Book Award. She has also served as the articles editor for the Journal of Law and Public Policy. A member of the Florida Bar and the American Bar Association, she received her juris doctorate cum laude from the University of Florida Levin College of Law and her bachelor of science magna cum laude from Cornell University.

Nicholas Robbins concentrates his practice in private equity, venture capital, mergers and acquisitions, software and technology licensing, corporate finance and general business law. Prior to joining the firm, he was an attorney in the Business Practice Group of the law firm of Testa, Hurwitz & Thibeault, LLP in Boston, MA., an Am Law 100 firm.
