LATHAM & WATKINS NAMES TWO PARTNERS TO CO-CHAIR PRIVATE EQUITY FINANCE PRACTICE IN NEW YORK
Latham & Watkins LLP1 is pleased to announce that New York partners I. Scott Gottdiener and Dennis D. Lamont will serve as Co-Chairs of the New York office's highly regarded Private Equity Finance Practice Group. The team comprises attorneys from across practices, particularly corporate finance and leveraged finance, with a focus on providing sophisticated financing services to private equity clients and their portfolio companies at all stages of the investment cycle, from acquisition through exit.

Scott Gottdiener, a partner in the firm's Finance Department, will co-lead the Private Equity Finance Practice Group from the leveraged finance side, representing private equity sponsors and consortia, and their portfolio companies, in a range of financings for acquisitions, restructurings and recapitalizations. Gottdiener's broad practice experience includes leveraged and project financings, with specific emphasis on sponsor-side development telecommunications projects, commercial contracts, joint ventures and a diverse range of complex financing matters.

Dennis Lamont, a partner in the firm's Corporate Department, will co-lead the Private Equity Finance Practice Group from the corporate finance and capital markets side. Lamont has substantial experience in public and private debt and equity offerings of all kinds. He specializes in the firm's high yield practice, which includes convertible debt, mezzanine finance, acquisition financing commitments, bridge lending, second-lien financings, traditional private placements, recapitalizations and liability management.

In 2005, Latham & Watkins' private equity team advised on 60 completed private equity deals with a value of more than $45 billion. Latham's Private Equity Finance Practice Group regularly helps clients secure all varieties of committed financings for acquisitions. The team's broad experience also includes serving the complex financing needs of portfolio companies of private equity firms through their entire life cycle, including the eventual exit financing for the sponsor. The group also has experience representing troubled portfolio companies, with extensive expertise in restructuring debt and effecting financial reorganizations and recapitalizations.

Prominent Atlanta Lawyers Join Jones Day
Aldo L. LaFiandra, Ralph F. (Chip) MacDonald III and Timothy Mann Jr. have joined the Atlanta Office of the international law firm Jones Day as Partners.

Al LaFiandra, formerly a partner at Alston & Bird LLP, practices in the areas of lending and business reorganizations and leads the lending/structured finance practice in the Atlanta Office. He represents borrowers and lenders in various types of secured and unsecured credit arrangements, the proceeds of which are used to finance tender offers, going private transactions, and acquisitions. Many of these transactions include complex intercreditor arrangements and multiple tranches of debt. He also represents lenders and debtors in complex out-of-court workouts, debt restructurings, and chapter 11 bankruptcy cases and advises boards in connection with the unique issues presented in this context.

Chip MacDonald, formerly a partner at Alston & Bird LLP, is focused on the financial services industry. His practice includes securities, mergers and acquisitions, corporate governance and financial products for clients ranging from banks and savings institutions to REITs, investment managers and broker-dealers.

Tim Mann, formerly a partner at Kilpatrick Stockton LLP, practices mergers and acquisitions, securities, and corporate law. He was a general partner of venture capital fund Armada Venture Group, LLC and was a founder, chief executive officer, and board member of Acsys, a staffing and consulting services firm, which he grew through acquisitions and led in a successful IPO.

Gallopoulos Appointed to Managing Partner Magazine Editorial Board
Jenner & Block Managing Partner Gregory S. Gallopoulos was recently appointed to the editorial board for Managing Partner Magazine, a national periodical offering insight into strategic practice management in the modern law firm.

Published by Ark Group Ltd., Managing Partner Magazine features thought-provoking case studies and problem-solving articles authored by managing partners and senior lawyers, academics and consultants. The publication, which releases ten issues each year, regularly includes contributions from editorial board members, and will be featuring Mr. Gallopoulos and the Firm this summer.

In addition to serving on this editorial board, Mr. Gallopoulos has spoken at leadership conferences focusing on best practices for law firm management, including how to maintain strong capitalization and internal controls, how to actively manage credit and the budget process, and how professional values affect a law firm’s economic success.

General Motors Appoints Jenner & Block Partner Robert S. Osborne Group Vice President and General Counsel
General Motors Corporation today announced the appointment of Robert S. Osborne, currently Chair of Jenner & Block’s Corporate Practice, as group vice president and general counsel, effective Sept. 1. Until then, Mr. Osborne will remain a partner in the Firm and will continue to function as co-chair of the Corporate Department with Partner Joseph P. Gromacki. On September 1, Mr. Osborne will withdraw from the Firm to assume his new duties, and Mr. Gromacki will become Chair of the Corporate Department.

Mr. Osborne, 51, has represented GM in the disposition of Hughes Electronics, the spin-offs of Electronic Data Systems, Hughes Defense and Delphi, and the sale of National Car Rental. He also has represented GM in public offerings of stock and debt securities.

Under Mr. Osborne’s stewardship, Jenner & Block’s Corporate Practice has more than doubled in size, handling a number of high profile transactions for global companies such as General Dynamics and GM. Mr. Osborne joined Jenner & Block in 2002. Previously, he was a partner with the Chicago office of Kirkland & Ellis. Mr. Osborne graduated from Harvard College in 1976 and from Harvard Law School in 1979.

“We have been very fortunate to have Bob leading our corporate practice over the last several years,” said Gregory S. Gallopoulos, Jenner & Block’s Managing Partner. “His vision has been invaluable in taking the practice to the highest levels. We will miss him, but we are very pleased and proud that General Motors has chosen him to serve in such an important position. Mr. Gromacki, 41, a member of the Firm’s Management Committee, has extensive experience structuring, negotiating and managing public and private mergers, acquisitions, divestitures, public equity offerings and other highly complex corporate finance transactions. Among other things, he has participated in numerous high stakes transactions on behalf of GM over the years. Mr. Gromacki has also represented the Chicago Board of Trade in a variety of corporate and securities law matters, including its 2005 restructuring and demutualization into a stock, for-profit company in a transaction involving a public offering of securities to CBOT members and its 2005 initial public offering. Prior to joining Jenner & Block in 2002, Mr. Gromacki was a partner in Kirkland & Ellis. He graduated from Yale College in 1987 and the University of Virginia Law School in 1992.

Ann Stewart Joins Ice Miller
Ice Miller LLP is pleased to announce that Ann Stewart has joined the Firm's labor and employment section. She will concentrate her practice in the areas of workers' compensation defense and general employment-related matters.

Prior to joining Ice Miller, Ms. Stewart was responsible for employment-related matters, including ADA, FMLA, sexual harassment and discrimination as corporate counsel in manufacturing and public utility environments. She has extensive experience representing clients in administrative proceedings before local, state and federal agencies such as the Indiana Workers' Compensation Board, the Equal Employment Opportunity Commission, the Indiana Civil Rights Commission, the Ohio Civil Rights Commission, and the Occupational Safety and Health Administration. Ms. Stewart also assists clients in developing personnel policies, severance agreements and supervisory training programs to comply with state and federal laws. She has organized and led workplace diversity audits as well as workplace safety audits and investigations.

Ms. Stewart received a bachelor of arts degree from Ohio University and her juris doctorate from Capital University Law School.

Haynes and Boone Franchise Attorneys Listed Among Top In The World
Haynes and Boone LLP announced Thursday that four of the firm’s franchise attorneys were listed among the top world-wide franchise lawyers in the prestigious 2006 International Who’s Who of International Franchise Lawyers.
