Ashurst advised TRIO Finance Limited on its US$100 million IPO
Ashurst advised TRIO Finance Limited on its US$100 million initial public offering (IPO) on the London Stock Exchange.

TRIO is a Guernsey incorporated fund of real estate asset-backed securities managed by Wharton Asset Management. The placement was underwritten by Citigroup.

The Ashurst team was led by corporate partner Paul Gadd and comprised US partner Eric Stuart and corporate solicitors Gavin Gordon, Jonathan Parry and Julian Harvey. Tax partner John Watson and international finance partner Michael Smith with solicitors Adrian Elliott and Paul Harley also advised.

Speechly Birham acted for Wharton Asset Management and Freshfields Bruckhaus Deringer acted for Citigroup and KPMG in its capacity as sponsor.

Ashurst advises JPMorgan Cazenove on a rights issue and acquisition of Power Well Services
Ashurst is advising JPMorgan Cazenove on a £130 million cash box rights issue by Expro International Group PLC to part finance the acquisition of Power Well Services for US$674.5 million. The issue is underwritten by J.P. Morgan Securities Ltd.

The Ashurst corporate team comprised partner Richard Gubbins and senior associate Alastair Holland, with US counsel Marie Elena Angulo advising on US aspects. Partner Richard Palmer and solicitor Simon Swann assisted on tax issues.

Ashurst advised Nicholas Piramal on the acquisition of a manufacturing facility from Pfizer
Ashurst advised Nicholas Piramal India Limited in the acquisition of a manufacturing facility located in Morpeth, Northumberland from global pharmaceutical company Pfizer, Inc. Ashurst also advised on subsequent agreements between the companies regarding supply and product packaging arrangements. This transaction is expected to raise revenues of up to US$350 million for Nicholas Piramal.

Corporate partner Andrew Edge led the Ashurst team, assisted by corporate solicitor Anmol Nayyar, intellectual property partner Mark Lubbock with solicitor Lindsey Depuydt, environment partner Helen Loose with solicitor Joanna Ketteley, competition barrister Euan Burrows with trainee Alex Kay, tax solicitor Tom Cartwright, and real estate solicitor Peter Behrens.

Ashurst acted for Credit Suisse on the acquisition of a €100 million commercial mortgage portfolio
Ashurst acted for Credit Suisse in relation to the acquisition of a German non-performing and sub-performing commercial mortgage portfolio with a nominal value of €100 million.

Ashurst works regularly with Credit Suisse on the acquisition and restructuring of distressed corporate and mortgage debt, both in respect of NPL portfolios and single name transactions.

The team from Ashurst's restructuring and insolvency group was led by partner David von Saucken, assisted by Detlef Spranger and Dietmar Schulz.

Ashurst is advising Abbey National on the disposal of its Sharesave administration business
Ashurst is advising Abbey National on the disposal of its Sharesave administration business to the Yorkshire Building Society.

The disposal will be carried out under a banking transfer scheme pursuant to part VII of the Financial Services and Markets Act 2000. The transfer is expected to become effective in October 2006.

The Ashurst team comprises corporate partner James Perry, corporate associates Will Belcher, Karan Dinamani and David Ryan, corporate trainee Louise Batty, employee benefits and incentive partner Paul Randall, litigation associates Sara Watson and Liza Robley, commercial associate David Futter, employment associate Stephen Ravenscroft, and tax associate Alexander Cox.

Addleshaw Goddard (Ian McIntosh) are acting for the Yorkshire Building Society.

Ashurst advised a consortium of investors on the management buy-in of David Morris Stores Limited
Ashurst advised a consortium of investors headed by David Coleridge on the management buy-in of David Morris Stores Limited (DMS), from David Morris International.

DMS is a luxury watch and jewellery retail business with existing operations in Selfridges in London, Manchester and Birmingham and in Harvey Nichols in London. David Coleridge, who will head DMS, had previously spent 20 years with luxury goods group Richemont.

The Ashurst team comprised corporate partner Anthony Clare, corporate associates Will Belcher and Anna Legge, employment associate Paul Brown, pensions associate Fuat Sami, international finance trainee Sophie Morphet, and tax associate Alexander Cox.

Berwin Leighton Paisner acted for the vendor and Addleshaw Goddard acted for RBS in its capacity as debt provider.
