Financial Services Attorneys Join Nelson Mullins in Washington
Two attorneys with extensive experience in regulatory issues facing financial services companies have joined Nelson Mullins Riley & Scarborough LLP as part of its Financial Services Group in the Washington, D.C. office.

Lawrence D. Kaplan has joined the Firm as a partner and will focus on the regulatory issues facing banks, thrifts, and insurance, mortgage and other specialty financial companies. Janis F. Kerns has joined the Firm as of counsel and will focus on issues facing mutual funds, business development companies, investment advisers, broker-dealers and entities seeking to avoid regulation under the Investment Company Act of 1940.

“The addition of Larry and Janis will help expand our financial services practice in D.C. and help us meet new and existing client needs firmwide,” said Jon Talcott, the partner who leads Nelson Mullins’ Washington Financial Services Group. “Larry Kaplan and Janis Kerns are both well-known and respected regulatory attorneys, and we are excited that they are joining Nelson Mullins.”

Mr. Kaplan advises financial institutions and financial services company clients on all aspects of bank regulatory issues, with an emphasis on corporate structuring, control, enforcement and the electronic provision of financial services. He represents traditional and nontraditional financial services holding companies and financial institutions before federal and state bank regulatory agencies on a variety of matters, including structural, operational and authority issues. He has extensive experience with issues pertaining to payment networks and electronic funds transfers. Mr. Kaplan has significant experience representing clients on enforcement matters, and closely monitors regulatory initiatives and proposed legislation affecting the financial services industry.

Before joining Nelson Mullins, Mr. Kaplan served as a senior attorney in the chief counsel’s office at the Office of Thrift Supervision/Federal Home Loan Bank Board, and practiced at two other leading Washington, D.C. law firms.

He earned his J.D. from the National Law Center of the George Washington University in 1987, and an A.B. degree, with distinction, in 1984 from The University of Michigan.

Ms. Kerns, a former senior counsel in the Division of Investment Management of the U.S. Securities and Exchange Commission, focuses her practice on investment and asset management services, including the representation of mutual funds, business development companies, investment advisers and broker/dealers.

Her arrival marks the establishment of the Firm's new Investment Management Practice, which offers expertise in the counseling of public and private investment companies, including mutual funds and business development companies, investment advisers, unregistered private investment vehicles and others in the investment management industry. The practice advises clients on all aspects of investment management activities, including disclosure under the federal securities laws, regulatory compliance and avoidance of regulation, corporate governance, and transactional, tax and contract matters.

A former in-house counsel for PaineWebber Inc. who also practiced with another leading Washington, D.C. law firm, Ms. Kerns has extensive experience with the registration and operation of public and private investment companies. She advises clients on a wide variety of matters relating to the development and offering of investment products and services, as impacted by the Investment Company Act of 1940, the Investment Advisers Act, the Securities Act of 1933, and the Securities Exchange Act of 1934. Her practice also includes experience with broker/dealer sales practice and compliance matters and the representation of public companies in various matters before the SEC and the NASD, ranging from domestic and foreign general corporate matters to initial listing and continuing qualification matters in the over-the-counter markets.

Ms. Kerns earned her J.D. from the Washington College of Law at The American University in 1994, where she was associate articles editor of The Administrative Law Journal. She earned her B.A. degree in Chemistry from Wake Forest University in 1985.

Ashurst advised a Goldman Sachs consortium on its £10 billion bid for BAA plc
Ashurst advised a consortium led by Goldman Sachs on its £10 billion bid for UK airports operator BAA plc. The consortium also comprised AIG, Colonial, Canadian infrastructure investor Borealis, pension fund Ontario Teachers, and UAE investment vehicle Mubadala Development Company.

BAA is the world's largest airport operator. It owns seven UK airports which serve over 700 destinations, as well as holding stakes or management contracts in several airports outside the UK.

The Ashurst team comprised corporate partners Adrian Clark, Nigel Stacey and Eavan Saunders. Partner Richard Palmer with solicitor Nicholas Gardner advised on tax issues, and competition partner Nigel Parr with solicitor Luke Ainger advised on anti-trust aspects of the bid.

Simpson Thacher advised on debt arrangements for the consortium.

Lathrop & Gage Announces New Executive Committee Members
Frank M. Evans, II and Andrew R. Ramirez will join the Executive Committee of Lathrop & Gage L.C., effective July 1, 2006. Both men will serve three-year terms.

Evans and Ramirez replace Rosalee McNamara and Douglas Dalgleish, whose terms have expired. The Executive Committee develops the firm’s strategic direction and policies, oversees the financial matters and department managers, and serves as a liaison to the firm’s regional offices and operating committees.

Frank Evans is the partner in charge of the firm’s office in Springfield, Mo., where he has been in civil trial practice since 1974. Evans has successfully represented business clients in jury and non-jury matters involving contracts, health care, antitrust, business tort claims and employment law. He was named a Missouri Super Lawyer in 2005 and is listed in The Best Lawyers in America. His community service includes terms as Chairman of the Springfield Area Chamber of Commerce and on the Board of Public Utilities. He is also active in the Professional Division of the United Way of the Ozarks.

Andrew (Andy) Ramirez leads the firm’s Health Care department and devotes his practice to issues involving health care law and policy, with an emphasis on governmentally owned facilities. Prior to joining Lathrop & Gage, Ramirez practiced law in Douglas County, Kansas, where in addition to his successful private practice he served as Assistant County Counselor. His public service includes six years on the Douglas County Planning Commission, which he chaired in his second year of service. He also has served as an adjunct professor to the University of Kansas Law School. Ramirez is listed in The Best Lawyers of America and is a Kansas Supreme Court appointee to the Board for Discipline of Attorneys.

Other members of the Lathrop & Gage Executive Committee are Bill Beck, Mark Bluhm, Brian Fenimore, Jim Fitter and Tom Stewart, who also serves as the firm’s managing partner and CEO.

Freshfields Bruckhaus Deringer announces head of employment, pensions and benefits practice group
Hamburg partner Klaus-Stefan Hohenstatt has been appointed as sole head of Freshfields Bruckhaus Deringer's worldwide employment, pensions and benefits (EPB) practice group for a further three-year term commencing 1 July. London partner Jocelyn Mitchell, who is currently joint head of the group with Klaus-Stefan, is standing down from her position at the end of June, at the end of her term of office, although she will remain head of the London EPB group. London partner Nicholas Squire has been appointed deputy head of the worldwide group. 'I am very happy about the confidence my partners show in me,' says Klaus-Stefan. Pierce Atwood LLP Announces Winners of Day of Community Service Projects
The attorneys and staff at Pierce Atwood LLP announced the winners of their third annual day of community service scheduled for July 20. Creative Work Systems in Saco, Maine Audubon Society in Falmouth, Riding to the Top Therapeutic Riding Center in Windham and Youth Alternatives in South Portland will be the beneficiaries of a full day of on-site labor. The firm has added a fourth project for the first time this year and will evenly divide its 200 attorneys and their staff among each site.

Creative Work Systems is a comprehensive rehabilitation agency, seeking to enable persons with disabilities to increase or regain self-sufficiency through employment, independent living support, and personal skills development and social/interpersonal opportunities. The attorneys and staff will construct raised garden beds, transforming existing gardens into accessible community space for people with disabilities.

The Maine Audubon Society has asked the attorneys and staff to improve the quality of their trails and the picnic area. For 160 years, the Maine Audubon Society has worked to conserve Maine’s wildlife and wildlife habitat by engaging people of all ages in education, conservation and action.

For Riding to the Top Therapeutic Riding Center, the attorneys and staff will clear and expand trails and build three run-in shelters for the horses to use during bad weather. Riding to the Top provides therapeutic riding services to children and adults with physical, cognitive and/or emotional disabilities.

Youth Alternatives has asked the attorneys and staff to paint the exterior of Heritage House in South Portland. Youth Alternatives advances safe, healthy, happy childhoods and positive family relationships through direct service, group homes, education and prevention, family mediation and advocacy.
