Ashurst advised Legal & General Ventures on its acquisition of South Lakeland Caravans Limited
Ashurst advised Legal & General Ventures Limited on its acquisition of South Lakeland Caravans Limited. South Lakeland owns nine lodge and caravan parks in and around the Lake District and Morecambe Bay. The financial details of the transaction have not been disclosed.

Corporate partner Bruce Hanton led the Ashurst team, assisted by senior corporate associate Gavin Gordon and corporate assistants, Dafydd Leighton and David Ryan. The team also comprised international finance partner Simon Thrower, international finance assistants Kenneth Tang and Warrick Price, employment solicitor Crowley Woodford, tax solicitor Alex Cox and real estate solicitors Chris Taylor, Rachel Bannikoff, Sarah Kettle and Matthew Stimson.

DLA Piper Rudnick Gray Cary (Steven Devlin) acted for the seller and Halliwells (Rebecca Grisewood) acted for the management team.

Ashurst Milan advised on the establishment of a joint venture for a Milan regeneration project
Ashurst Milan advised Premafin Finanziaria SpA, Fondiaria SAI SpA and Immobiliare Lombarda SpA on the establishment of a joint venture together with US real estate fund Hines, Italian developer Galotti SpA and MHREC, a real estate fund managed by the Italian bank Monte dei Paschi di Siena. The joint venture will undertake the €761 million development of a site located in the ex-Varesine area of central Milan.

The Ashurst team was led by corporate partner and head of Ashurst Milan, Daniele Raynaud, assisted by Stefano Roncoroni (corporate), Carlo Bruno (real estate), Francesca Magnani (real estate), tax partner Stefano Serbini and Paola Flora (tax).

Mediobanca acted as financial adviser to the joint venture. Allen & Overy and Baker Botts advised Hines on Italian and US legal aspects respectively. Studio Lombardi Molinari advised Galotti SpA and Gianni Origoni Grippo & Partners advised MHREC.

Ashurst advised on US$3 billion Greater Equate project in Kuwait
Ashurst has advised Petrochemical Industries Company K.S.C (PIC), a subsidiary of Kuwait Petroleum Corporation, on the Greater Equate Project in Kuwait. This included advising on joint venture arrangements with The Dow Chemical Company, drafting and negotiating a wide range of project agreements and the Shareholder Commitment Agreement with lenders. The project is worth approximately US$3 billion.

The Greater Equate Project involves the expansion of the successful Equate petrochemical complex with an increase in polyethylene capacity, construction of a second ethane cracker, new ethylene glycol and ethyl-benzene and styrene monomer units and new utilities and infrastructure facilities.

The Ashurst team was led by energy projects partner Huw Thomas and comprised managing partner of Ashurst DubaiPaul de Cordova, energy, transport and infrastructure solicitors Daniel O'Neill, Hannah Croft and Terence Van Poortvliet, with litigation partner Ronnie King assisted by solicitor Ben Giaretta. Partner Chris Coulter also advised on technology aspects.

Five Attorneys Join Stoel Rives San Franciso and Sacramento Offices
Stoel Rives adds five lawyers to its San Francisco and Sacramento offices in May and June. The addition of these attorneys demonstrates the firm’s continued commitment to expanding its presence in California.

Senior litigator Seth Hilton joined as Of Counsel in the San Francisco office on May 23. He represents clients in complex commercial litigation and arbitration and mediation, with an emphasis on energy litigation. Hilton has significant experience representing clients before the California Public Utilities Commission. He has represented qualifying facilities, independent power producers, energy service providers, and direct access and utility customers in numerous proceedings before the Commission. In 2003, he was appointed to the California State Bar’s Standing Committee on Federal Courts. Hilton is a member of the Conference of California Public Utility Counsel and the Power Association of Northern California. Prior to Stoel Rives, he was at Morrison & Foerster LLP.

Karleen O’Connor joins the firm’s Resources, Development, and the Environment team. Her litigation practice includes environmental, business and energy litigation, at both the trial court and appellate court levels. O’Connor brings to clients experience in cost recovery litigation and citizen suits under the Comprehensive Environmental Response, Compensation, and Liability Act (CERCLA), the Resource Conservation and Recovery Act (RCRA), California hazardous waste laws, the Clean Water Act (CWA), the National Environmental Policy Act (NEPA) and Proposition 65. She was previously an associate at Cox Castle &Nicholson in San Francisco, and before that, she was with Faegre & Benson, LLP in Minneapolis. O’Connor is a member of the San Francisco Planning and Urban Research Association.

Gabe Chao joined as an associate in the firm’s Real Estate practice in San Francisco on June 14. He focuses his practice on leasing, sales, financing, and construction-related transactions. Chao also serves as outside general counsel to several clients. He is a member of the Economic Development Alliance for Business (EDAB), the San Francisco Real Estate Exchange (SFREX), the Belden Club Real Estate Organization, and Building Owners and Managers Association (BOMA). Chao was previously an associate at Hoge, Fenton, Jones & Appel, Inc.

Seattle associate Natacha Allred relocated to the San Francisco office on May 30. She works in all core areas of real estate including leasing, financing, and purchasing. Allred focuses her practice on retail shopping center leasing representing both landlords and tenants. She has experience in representing lenders in both simple and complex lending transactions. Allred is admitted to practice in Washington and New York. She has been with Stoel Rives since 2004.

Allison Cook joined on June 12 as an associate in the firm’s Sacramento office, where she practices environmental law. Cook is a graduate of Tulane University Law School (J.D., 2005) and the University of Virginia (B.A., Environmental Science, Anthropology, 1996).

Their focus areas in energy, real estate and environmental law will provide significant advantage to our industry clients,” said Christopher A. SCHIFF HARDIN LLP WELCOMES DAVID T. MORRIS AS AN ASSOCIATE IN THE CHICAGO OFFICE
Schiff Hardin LLP has added David T. Morris as an associate in the Chicago office. He is a December 2005 graduate of DePaul University College of Law.

Prior to joining Schiff Hardin, Mr. Morris worked in sales, training, and education programs for three pharmaceutical companies.

He received his undergraduate degree (B.A., 1995) from Purdue University and his law degree (J.D., cum laude, 2005) from the DePaul University College of Law, where he was a member of the DePaul Law Review. He is admitted to practice in Illinois.

Mr. Morris is a Board Member of the AIDS Foundation of Chicago and a member of the American Health Lawyers Association.

Leading Securities and Capital Markets Lawyer Joins Orrick in Hong Kong
Orrick, Herrington & Sutcliffe LLP announced today that Edwin Luk, a leading China-focused securities and capital markets lawyer, has joined the firm’s Hong Kong office as a partner. Luk is the first lateral hire by the firm's Hong Kong office, which opened last November when all of Coudert Brothers' Hong Kong lawyers joined Orrick.

""Expanding Orrick's existing capabilities in the securities and capital markets practice is a strategic priority for us globally as well as in China,"" said Cam Cowan, managing partner of Orrick's China practice. Edwin joins Orrick's deep bench of securities and capital markets practitioners in New York, London, San Francisco and Hong Kong. ""Edwin has an impressive track record in corporate finance and extensive experience representing Chinese companies seeking a Hong Kong or other overseas listing."" said Cowan.

With the Chinese economy continuing its rapid expansion, many Chinese companies are seeking access to private equity funding and international capital markets. In many cases, these companies seek to attract foreign capital and foreign investors through the listing process, and do so by listing shares simultaneously in Hong Kong, the United States, London or elsewhere. Such complex transactions involve a myriad of corporate, securities, tax, accounting and other regulatory issues, and extensive due diligence.

""The number of Chinese companies seeking a Hong Kong, U.S. or other overseas listing is growing exponentially, and our China team has a pioneering reputation as one of the very few firms able to provide these sophisticated services on a multi-jurisdictional basis,"" said Christopher Stephens, partner-in-charge of the China team. Luk joins a strong team of securities and capital markets lawyers in Orrick's Hong Kong office. The Hong Kong capital markets team, which joined Orrick from Coudert Brothers last year, is led by Edward Fung, a leading practitioner in Hong Kong with more than 20 years experience.

Prior to joining Orrick, Luk was senior counsel at O'Melveny & Myers. He has represented public companies with a primary listing on the Hong Kong Stock Exchange, investment banks and private equity funds on a wide range of mergers and acquisitions transactions and compliance matters including investments in or takeovers of Hong Kong listed companies, corporate and debt restructurings and private equity investments.

Luk also has significant experience acting for underwriters and issuers on initial public offerings on both the Main Board and the Growth Enterprise Market of the Hong Kong Stock Exchange which includes advising on spin-offs, introductions, and listings of ""H"" Shares and investment funds.
