Merger Control Remedies in the EC and UK
Alistair Lindsay, a partner in the London Antitrust Group gave a seminar on Merger Control Remedies in the EC and UK on 29th June 2006.

The seminar described the current significant divergences between EC and UK merger control policy, summarised the principles that determine whether a transaction will require remedies under merger control, commented on the design of suitable merger control remedies and made observations about structuring transactions when merger control remedies are expected.

Perkins Coie Pro Bono Team Wins Landmark Supreme Court Case
Perkins Coie attorneys were part of a defense team that received a favorable ruling in a landmark case that challenged the scope of presidential authority. In a historic decision, the Supreme Court ruled (5-3) that military tribunals established by the Executive Office to try enemy combatants and detainees held at Guantanamo Bay, Cuba are not authorized by Congress and violate both domestic and international laws, including the laws of war and the Geneva Conventions.

The case, Hamdan v. Rumsfeld, challenged the military commission process on behalf of Salim Hamdan, who has been detained since November 2001. Mr. Hamdan was apprehended in Afghanistan and transported to an American prison in Guantanamo Bay. Working with the prisoner's assigned military defense counsel, Lt. Commander Charles Swift of the U.S. Navy, and Georgetown law professor Neal Katyal, the Perkins Coie pro bono team argued that the Bush Administration overstepped its authority when it set up military commissions to try terrorist suspects such as Hamdan, and that the process utilized by the Administration violated international law and did not conform to the basic rights afforded to those who are accused under the Uniform Code of Military Justice. In addition, the Court concluded that a statute enacted by Congress in late 2005 did not strip it of jurisdiction to hear the case.

Perkins Coie lawyers, paralegals and staff have spent thousands of pro bono hours on the case since it was first filed in April 2004.

“Perkins Coie undertook this case because the legal issues it presents are important and profound, and they go right to the very foundation of our constitutional system of justice and the rule of law,” explained Harry Schneider, a senior partner on the pro bono team. “The case raised critical questions about the scope of presidential authority, whether this president or any president can deny prisoners basic due process rights in the name of waging war, and it tested in the most important way our federal courts' very ability and jurisdiction to consider such disputes. The Court’s decision today is a landmark ruling that reaffirms the fundamental principles of our system of justice. We are honored to have been given the opportunity to work on this important case.”

Judge Robert Lasnik of the Western District of Washington, where the case was originally filed, remarked in open court that Perkins Coie’s pro bono participation was “the highest calling of the profession,” and an example of the “greatest tradition of the bar and the country.

Manesh K. Rath Appointed To Serve On Special Expertise Panel for Safety, Health, and Security
Keller and Heckman LLP is pleased to announce that Manesh Rath, a partner in the firm's Employment and OSHA practices, was recently appointed by the Society For Human Resource Management (SHRM) to serve on its Special Expertise Panel for Safety, Health, and Security.

SHRM's Panel Selection Committee conducted a nationwide search, carefully reviewing over 600 candidates before selecting 15 professionals to serve on each panel. Manesh Rath will serve a three year term on the Safety, Health, and Security panel, which will be responsible for serving as subject matter experts and advising SHRM on emerging trends and current best practices. Members of SHRM's Special Expertise Panels are also asked to provide SHRM with public policy guidance.

SHRM is the professional association for the human resource management profession and has over 200,000 members worldwide.

Manesh K. Rath is a partner in Keller and Heckman's Washington office where he counsels clients on employment and OSHA issues. He is the author of numerous articles in employment and OSHA law and speaks at conferences and for trade associations around the country on employment law matters. On emerging employment law issues, Mr. Rath has been quoted by courts and in interviews in print, radio and television. Mr. Rath has litigated and counseled on employment law matters in administrative, state, and federal courts nationwide.

Segars elected to NC Bar Association Section Council
Tom Segars was elected to a three year term on the North Carolina Bar Association's Constitutional Rights & Responsibilities Law Section Council on June 23 in Cary. The Constitutional Rights and Responsibilities Section is a forum for attorneys interested in constitutional law. The section endeavors to increase the public's awareness of the Constitution.

Segars graduated from Wake Forest University (B.A., Magna Cum Laude, 1997) and the University of North Carolina School of Law (J.D., with high honors, Order of the Coif, 2000). His practice focuses on several litigation areas including constitutional and civil rights litigation.

Hugh Makens Honored by Michigan State Bar with New Business Award
Hugh H. Makens, a partner with Warner Norcross & Judd LLP, has been honored by the State Bar of Michigan for his lifetime contributions to the legal profession.

Makens is one of the inaugural recipients of the Stephen H. Schulman Outstanding Business Lawyer award, which is given by the Business Law Section. The annual award seeks to honor Michigan business lawyers who, over their careers, exemplify ""the highest quality of professionalism, the highest quality of practice, an unwavering dedication to service, as well as to the ethical conduct and collegiality within the practice.""

The chair of the Firm's Securities Group, Makens concentrates his practice in securities and corporate law. He regularly represents broker-dealers, investment advisors, issuers, regulatory authorities and industry professionals in issues related to securities compliances, investigations and regulatory proceedings.

Active both professionally and personally, he has served on the Market Operations Review Committee of Nasdaq, as a commentator for the Uniform Securities Act Project of the National Conference of Commissioners, and on several committees of the North American Securities Administrators Association. Makens is also a former director of the Michigan Corporation and Securities Bureau and a past president of the North American Securities Administrators Association.

He is a member of the American Bar Association where he serves on the Council of the Business Law Section and has chaired several committees; the State Bar of Michigan where he currently serves as co-chair of the Uniform Securities Act Subcommittee for the Business Law Section; the Federal Bar Association; and the Illinois Bar Association. He is a past chair of the Business Law Section of the ABA.

A frequent author, lecturer and panelist for trade associations and professional organizations, Makens is recognized in The Best Lawyers in America, Who's Who in the Midwest and Who's Who in American Law. He is a co-author of Michigan Securities Regulation.

Makens completed his undergraduate studies cum laude in 1961 at Michigan Technological University and earned his doctorate of jurisprudence degree in 1964 from Northwestern University School of Law.
