Florida's Largest-ever Conservation Land Purchase Closes
The law firms of White & Case and Akerman Senterfitt today jointly announced the closing of the sale of the Babcock Florida Company, which owns the Babcock Ranch in Southwest Florida.

West Palm Beach developer Syd Kitson, through a joint venture between his company, Kitson & Partners, and Evergreen Partners and Morgan Stanley Real Estate Fund agreed to acquire the Babcock Florida Company, owner of 92,000 acres in Charlotte and Lee counties, Florida. The buyers have arranged to sell approximately 74,000 acres of the land to the State of Florida and Lee County as part of the transaction, marking the State's largest-ever conservation land purchase.

Akerman Senterfitt advised the purchasing entity. White & Case advised the Babcock family on the sale of Babcock Ranch.

""Key to the sale was the agreement by Kitson to sell approximately 74,000 acres of the Babcock Ranch to the State for $350 million,"" noted K. Lawrence Gragg, lead partner at White & Case representing the Babcock family. ""The agreement resulted from an important compromise between conservation and development interests.""

White & Case partner Edward E. Sawyer also advised on the sale.

On the remaining 17,000 acres, the purchasing entity intends to develop a new city which will include nearly 18,000 residences, offices, schools, and approximately 150,000 square feet of space allocated for government and civic uses. The development will also bring a significant amount of workforce housing to the area.

Teddy D. Klinghoffer, Akerman shareholder and lead attorney for the purchaser, stated: ""We are proud to have been involved in a transaction that has resulted in the creation of an historical environmental preserve and which will also result in the creation of much needed workforce housing in Southwest Florida.""

Florida's acquisition of Babcock Ranch will complete a natural land corridor from Lake Okeechobee to the Gulf of Mexico, according to the Florida Department of Environmental Protection, and will offer recreational activities as well as habitats for some of Florida's most endangered species. The purchase marks the preservation of the single largest tract of contiguous conservation lands in the state's history and also provides needed water-recharge area for Southwest Florida, according to the Florida DEP.

With the transaction, the State will acquire a working ranch on the property that will remain in operation. The land will be accessible to the public for camping, biking, horseback riding, cabins and other outdoor recreational activities.

White Appointed to OSU Hospital Board
Tony White, was recently appointed to serve on The Ohio State University Hospital Board as a citizen member. White is partner-in-charge of the Columbus office of Thompson Hine LLP and a partner in the firm’s Business Litigation practice group.

The Ohio State University Medical Center, one of the most comprehensive health sciences campuses in the United States, includes a college of medicine, five hospitals, two free-standing research institutes and a network of more than 30 community-based primary and specialty care facilities throughout central Ohio.

""It's an honor to serve on the board and to represent such a well respected healthcare institution,"" said White. ""I look forward to working with members of the board and contributing to the direction of healthcare in our immediate community and beyond.""

White earned his J.D. from Northwestern University School of Law in 1993 and his B.S. from The Ohio State University in 1989. He is a member of the American Bar Association, the Ohio State Bar Association, and the Columbus Bar Association. White also serves on The Ohio State University Men’s Varsity “O” Board, Board of Trustees, and The Ohio State University Alumni Advisory Council, Representative to the Office of the Vice President of Health Services.

THE CEFPI FOUNDATION AND CHARITABLE TRUST APPOINTS ROBERT A. HENRY TO BOARD OF TRUSTEES
The Council of Educational Facility Planners International (CEFPI) Foundation and Charitable Trust recently appointed Robert A. Henry to its Board of Trustees.

Henry is a partner in Snell & Wilmer’s Phoenix office, and a co-chair of Snell & Wilmer’s hiring committee. His practice is concentrated in civil litigation and general legal counsel regarding business operations, with a focus on and particular experience with matters or issues arising out of commercial and real estate transactions, contracts, and relationships. Henry has extensive experience in both state and federal trial courts and in various alternative dispute resolution forums. He represents regional and national corporations, Arizona-based businesses and individuals.

The CEFPI Foundation and Charitable Trust is a non-profit organization established to create and build resources to foster research, scholarly study, projects, and other works regarding the impact of school facilities on student achievement and the communities they serve. The CEFPI Foundation endeavors to improve the body of knowledge relating to learning environments and best practices of educational facility planning through stewardship of an endowment of funds and services.

Henry earned his juris doctor, magna cum laude, from University of Michigan Law School.

HERBERGER THEATER CENTER ELECTS JENNIFER DIOGUARDI TO BOARD OF DIRECTORS
Jennifer Dioguardi, partner at Snell & Wilmer’s Phoenix office, has been elected to the Board of Directors of the Herberger Theater Center.

The Center is a non-profit organization whose mission is to support and foster the growth of the performing arts in Phoenix as the premier performance venue, arts incubator and advocate.

Dioguardi’s practice is concentrated in complex commercial litigation with an emphasis on banking and securities defense, NASD arbitration proceedings, consumer financial services defense including Truth in Lending Act and Fair Credit Reporting Act issues, and the litigation of arbitration and forum selection clause issues.

Dioguardi received her juris doctor from the University of Arizona in 1997, where she graduated magna cum laude. She received her undergraduate degree from the University of Washington in 1991.

LAWDRAGON NAMES JONES AND NEAL “NEW STARS, NEW WORLDS” LAWDRAGON 500
Dustin Jones and Wendy Neal, in the Phoenix office of Snell & Wilmer, have been named New Stars, New Worlds by Lawdragon. Jones and Neal were the only attorneys from Arizona named to the list.

Fewer than .01 percent of all lawyers in the U.S. will be named a member of the Lawdragon 500. To select this prestigious group, Lawdragon’s editorial staff conducts extensive research and phones thousands of legal professionals to solicit their opinions about who the best lawyers are. They then combine this research with votes collected through online ballots to produce the Lawdragon 500 print magazine and online feature.

Dustin Jones is a partner in Snell & Wilmer’s Phoenix office; his practice focuses on real estate development, and land use and zoning; he provides legal counsel to developers, homebuilders and landowners to maneuver through the land use regulatory process of various localities (particularly those in the growing West Valley). Jones also has unique experience representing developers of master planned communities, mixed use projects, traditional neighborhood developments, New Urbanism projects, sustainable development and infill sites. He also has much experience developing and implementing strategies for public and government relations.

Wendy Neal is a partner in Snell & Wilmer’s Phoenix office. Her practice is concentrated in intellectual property and technology, including strategic counseling in the development of patent, copyright and trademark portfolios, handling of related multinational prosecution, clearance and due diligence activities, intellectual property infringement litigation and dispute resolution, and negotiating technology-driven acquisitions, licenses, and other business transactions with companies throughout the world. Her technical experience, while varied, includes significant work in hydrometallurgy and mining technology, power systems for medical, space, and defense applications, agricultural biotechnology, and innovative chemicals and materials.

The Electronic Communications Compliance Council (TE3C) is an alliance of industry experts who have partnered to address and clarify issues in electronic communications compliance, develop industry best practices, and to provide guidance on how to minimize risk in the constantly evolving regulatory and legal environments.

Mr. Plotkin’s practice focuses on representing clients in investigations and enforcement actions by the Securities and Exchange Commission, New York Stock Exchange, NASD Regulation, and New York State Attorney General’s Office. He also handles internal investigations for financial institutions, commercial litigation in federal and state court involving the securities industry, and arbitration and mediation of securities industry disputes. Mr. Plotkin started his legal career with the Securities and Exchange Commission, where he served in its New York Regional Office as Staff Attorney, Chief of the Branch of Broker-Dealer Enforcement, and Assistant Regional Administrator.
