Curtis represented Glencore International AG in connection with the outsourcing of West Indies Alumina Company to Washington Group International, Inc.
Curtis represented Glencore International AG in connection with the outsourcing of the mining and related operations for one of Glencore’s Jamaican bauxite and alumina operations, West Indies Alumina Company (WINDALCO), to Washington Group International, Inc. WINDALCO, which is 93% owned by Glencore, has mining rights to approximately one-third of Jamaica’s annual bauxite production. The mining contracts will generate gross revenues of approximately US$300 million combined for Washington Group. The transaction involved the sale of a Glencore subsidiary that conducted some of the operations being outsourced and the negotiation of the mining contracts. The transaction closed on June 30, 2006.

Partners Matias Vega and Valarie Hing, together with associate Loytavian Harrell and summer associate Michael Zografakis worked on the matter, with partner Alan Berlin and counsel Jim McCann providing tax support.

Venable Adds Experienced Litigator in Further Expansion of New York Office
Venable LLP announced that Edward P. Boyle, an experienced litigator, has joined its New York office as a partner. The addition of Mr. Boyle continues the steady expansion of Venable’s stake in New York , while increasing the depth of its national litigation practice.

Mr. Boyle, 38, joins Venable from Hoguet Newman & Regal, LLP, a New York employment and commercial litigation boutique, where he was a partner. His extensive litigation experience includes trials, motions, appeals, arbitrations, and mediations. He has handled a wide-ranging variety of litigation matters, involving breach of contract and business torts, employment disputes, copyrights, intellectual property licensing and federal antitrust laws. He has also done criminal and regulatory defense work.

Mr. Boyle has represented clients in industries as diverse as investment banking and financial services, insurance and reinsurance, accounting, auctioneering, advertising and marketing, food manufacturing, and Internet services. In 2000, he was part of a team of lawyers who brought suit on behalf of the New York County Lawyers Association to redress violations of the right to effective assistance of counsel in New York state criminal and family court proceedings. That case resulted in a state-wide increase in the rates paid to assigned counsel in criminal and family court proceedings in these cases.

Mr. Boyle’s recent victories include winning a motion for summary judgment of claims that a broker breached non-solicitation covenants and misappropriated confidential information in the course of performing services for clients of his former employer, and prevailing on the appeal from that decision. He also recently won a motion for summary judgment in federal court dismissing claims that an athletic footwear company and its advertising agency violated the Copyright Act by using plaintiffs’ idea in a national television and Internet marketing campaign. In 2004, he won an award of damages for an accounting firm in arbitration against former partners who had breached the terms of their de-merger agreement.

“Gaining an aggressive, young litigation partner like Ed is a great coup as we continue to build a presence in the New York market,” said Edmund M. O’Toole, Partner-in-Charge of Venable’s New York office. “His hands-on courtroom experience with a wide-range of business issues is a natural fit with the firm’s current litigation strengths. In addition, Ed’s white collar crime and investigatory experience offers us a prime opportunity to expand this important area of our existing practice in New York.”

Mr. Boyle previously was in the New York office of Davis Polk & Wardwell, where he worked on a variety of litigations and investigations in the civil, criminal and regulatory areas. One of the more well-known cases he worked on was the criminal trial of former Sotheby’s chairman Alfred Taubman on price fixing charges.

“I’ve long been aware of Venable’s reputation, and when I learned about its commitment to establishing a strong presence in New York from my friend and now partner Matthew T. McLaughlin, I jumped at the chance,” said Mr. Boyle. “Working with high-caliber attorneys to help grow a new office of a national firm known for its litigation practice is a terrific opportunity.”

Mr. Boyle received his J.D. from Vanderbilt University School of Law (1993) and his B.A. from Duke University (1989). At Vanderbilt, he served as Editor in Chief of the Vanderbilt Law Review and authored an article proposing new legal standards to address environmental discrimination.

An adjunct professor at Fordham University School of Law from 2000 to 2002, he taught first-year law students legal writing, appellate advocacy and lawyering skills. More recently, he spoke on electronic discovery issues as a panelist in a program sponsored by the National Law Foundation. He is working on an article for publication discussing inadvertent waiver of the right to jury trial in New York state court proceedings.

Simpson Thacher Represents Silver Lake in Its Acquisition of IPC Acquisition Corp.
Simpson Thacher is representing Silver Lake Partners II, L.P. in its approximately $800 million acquisition of IPC Acquisition Corp. from Goldman Sachs Capital Partners and other shareholders. The transaction is expected to be completed at the end of the third quarter of this year and is subject to regulatory approvals. IPC is a leading global provider of critical communications solutions to enterprises in the financial services and command systems industries, providing both products and recurring services. Headquartered in New York City, IPC has over 900 employees around the world.

Miller Canfield Advises AWI Holdings, Inc. on its Acquisition of Certified Automotive Warehouse, Inc.
The law firm of Miller, Canfield, Paddock and Stone, P.L.C. announces that it recently represented Grand Rapids, Mich.-based AWI Holdings, Inc., the parent of Auto-Wares, Inc. and the Auto Wares Group of Companies, in its successful acquisition of Chicago-based Certified Automotive Warehouse and the Lee Parts Stores (consisting of approximately 23 stores and 2 warehouses in the Chicago area). With the addition of Certified and Lee, AWI Holdings and its subsidiaries will have a major aftermarket auto parts presence in Michigan, Ohio, Indiana, Illinois and Wisconsin.

Melissa Thorn Selected to Chair Hillsborough County Bar Association Committee
Foley & Lardner LLP announced today that senior counsel Melissa G. Thorn has been appointed the new chair of the Hillsborough County Bar Association's Alternative Dispute Resolution (“ADR”) Committee.

For the next two years, Thorn will lead the committee of 50 attorneys as it works toward educating the Bar and the community about the various alternatives for dispute resolution, with a focus on mediation and arbitration.

Specific goals for the committee include serving as a liaison with ADR administrators in the court system and in the private sector; coordinating a peer mediation partnership project with the Hillsborough County School Board, including hosting an essay contest; providing opportunities for committee members to participate in CLE courses for mediation training/certification; working more closely with the Hillsborough County Bar's Trial Lawyers Section and Solo/Small Firm Practitioners Committee; and volunteering for the Bar Grievance Mediation Program.

Thorn is a member of Foley's Real Estate and Environmental Regulation Practices. She focuses her practice on land use and development, zoning and environmental litigation, corporate and administrative law, and risk management. She served as a legal intern to the Florida Senate, Committee on Natural Resources, and clerked for the ex-chief justice of the Florida Supreme Court. She also was appointed by the Florida Supreme Court to serve on the Mediator Qualification Board as an executive committee member and is an active member of the Environmental and Land Use Section of The Florida Bar.

From 1995-1998, Thorn received the Beverly Mcllure Environmental Law Scholarship for excellence in the area of environmental law from Florida State University College of Law. She also received the Florida Bar Public Service Fellowship from 1996 through 1998. In addition to achieving a Master of Science with highest honors from Newcomb College, Tulane University, Thorn earned her J.D. (cum laude) from Florida State University College of Law.

Kohane Becomes President of FDCC
