Paul Hastings Represents Crystal River Capital, Inc. in Connection with IPO
Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, represented Crystal River Capital, Inc., a specialty finance company, in connection with its underwritten initial public offering of common stock. Under the agreement, a total of 7.5 million shares were sold at $23 per share. The IPO closed on August 2, 2006 and is valued at $162.4 million.

The Paul Hastings team was led by New York partners Michael Rosella and Michael Zuppone and included partner Joseph Opich, counsel Wendell Faria and associates Jon Tyras, Yariv Katz, Amy Rosenberg and Sirimal Mukerjee.

The Paul Hastings team previously represented Crystal River in connection with its 2005 $435.0 million Rule 144A private offering of common stock to private investors.

Foley Expands Health Care and Life Sciences Practices with Addition of Michael L. Blau
Foley & Lardner LLP announced today that Michael L. Blau has joined its Boston office to lead the firm's health care venture effort. He will be a member of the Health Care Industry Team and the Life Sciences Industry Team.

“Michael's combination of health care, private equity, venture capital and life sciences experience will further position Foley as a leader in the health care venture field,” said J. Mark Waxman, chair of Foley's Health Care Industry Team. “With his national reputation for developing unique solutions for clients, Michael will be a significant addition to both the Boston office and our national health care practice.”

Blau comes to Foley from McDermott Will & Emery LLP, where he served as co-partner-in-charge of the Health Department in Boston. He focuses his practice in health venture financing, specifically in developing, financing and merger and acquisition work for emerging health care service companies, health information technology companies, medical device companies and biotech companies.

Blau has a national reputation in physician relations, including hospital/physician relations, physician/physician relations; vendor/physician relations and relations with specialty services including ambulatory surgery and imaging centers. He also has extensive experience working with academic medical centers, hospitals and health insurers, and representing practice management companies and concierge medicine practices.

“Foley is the ideal place for me to expand my practice because of the firm's national platform and commitment to growing the health law practice, both as a standalone practice and across disciplines,” said Blau.

Blau is the past chair of the Health Law Section of the Boston Bar Association (BBA) and currently serves on its Steering Committee and as co-chair of its Social Action Committee. As chair of the board of Project HEALTH, Blau assists in developing volunteer programs that improve the health status of impoverished children with chronic medical conditions.

A frequent lecturer and published writer on health law topics, Blau formerly served as executive editor of the ABA publication The Tax Lawyer, chaired the editorial advisory board of The PPM Profitability Update, and served as a contributing legal editor for Physician's News Digest and E-Healthcare Connections. In 2005, he was recognized as one of the top 10 health attorneys in the country by Nightingale's Healthcare News.

P. TERRENCE GAFFNEY JOINS WTP

Askew Takes Leadership of ABA Litigation Section
Hughes & Luce partner Kim J. Askew will be sworn in as the chair of the American Bar Association’s Section of Litigation at the 2006 ABA Annual Meeting Aug. 4 in Hawaii. Askew is the first lawyer of color to serve in this prestigious national position.

The position is the latest in a career focused on service to clients and the profession. Askew has previously served as chair of the board of directors of the State Bar of Texas, as well as head of its Section of Litigation.

“Throughout my career, serving my profession has been important to me,” Askew said. “This new challenge allows me to continue that service at the national level.”

Dedicated to helping litigators become more effective advocates for their clients, the Section of Litigation is the largest section of the ABA, the largest voluntary professional organization in the world. The Section has been led by some of the country's top trial lawyers, such as Mike Tigar and Ben Civiletti. The Section is a legal publisher, a provider of CLE programming, a source of news and analysis, and a strong national voice in discussions concerning the profession.

ABA sections draw their membership from lawyers or judges with common professional interests. Sections operate with their own officers, appointed leadership, staff, dues and committees. She has been honored as an inaugural “Outstanding Alumnae” of Georgetown University Law School based on her achievements in the legal profession and is a member of the Board of Regents of Georgetown University.

Rumberger, Kirk & Caldwell Partner Willis Earns Florida Bar Board Certification In Construction Law
David C. Willis, a partner with Rumberger, Kirk & Caldwell in Orlando, was recently certified by the Florida Bar in Construction Law. The distinction marks Mr. Willis’s second Board Certification, as he is also certified in Business Law by The Florida Bar. Additionally, he serves on The Florida Bar Business Litigation Certification Committee, which is responsible for reviewing certification applications, as well as preparing and grading the certification exam.

Mr. Willis earned a Bachelor’s degree in Business Administration from the University of Central Florida and graduated with honors from the University of Florida College of Law in 1984.

He serves on the Orlando Regional Advisory Committee for the Associated General Contractors of Greater Florida. In addition, he is a member of the Business Law Committee and Technology Subcommittee of the Orange County Bar Association. He also serves the community as a member of the Edgewood City Council.
