Weil, Gotshal & Manges Advises Lone Star on Acquisition of Silent Participations in Allgemeine HypothekenBank Rheinboden AG
The Frankfurt office of the international law firm Weil, Gotshal & Manges LLP advised US financial investor Lone Star on the acquisition of silent participations held by DZ BANK AG and other investors in Allgemeine HypothekenBank Rheinboden AG (AHBR).

Weil, Gotshal & Manges previously advised Lone Star on the acquisition of a controlling interest in AHBR from the trade union holding group BGAG as well as on the subsequent restructuring.

The transaction team of Weil, Gotshal & Manges was led by partner Uwe Hartmann and was supported by partner Britta Grauke as well as associates Christian Eggert and Rastko Vrbaski (all Frankfurt).

Oil & Gas Trial Attorney Jesse R. Pierce Joins King & Spalding’s Litigation Group
King & Spalding, a leading international law firm, announced today that Jesse R. Pierce, a litigator with more than 30 years of experience trying complex cases for energy industry clients, has joined the firm as a partner in its Houston litigation group. Pierce has extensive trial and appellate experience in a wide variety of energy litigation matters, ranging from traditional oil and gas business disputes to environmental cases unique to the oil and gas industry.

""Jesse is a seasoned trial lawyer and is recognized as one of the premiere litigators in the energy field,"" said Robert E. Meadows, managing partner of King & Spalding's Houston office. ""He brings considerable first-chair depth to our trial practice, and we are excited about the benefits his experience will bring our clients.""

Pierce joins King & Spalding from Howrey LLP, where he was a litigation partner. Prior to that, he was a partner at the Houston-based litigation firm Clements, O'Neill, Pierce, Wilson & Fulkerson, which merged with Howrey in January 2005. During his more than 30-year career, he has successfully tried oil and gas, environmental/toxic tort and commercial cases, as well as numerous appeals.

Pierce earned a B.A. from Austin College and a J.D., with honors, from The University of Texas School of Law. ""I have had the pleasure of knowing many of my new King & Spalding partners both professionally and personally for many years, and I look forward to working together with them to serve our clients,"" said Pierce.

King & Spalding opened its Houston office in 1995 with three litigation attorneys; today the office has grown to 85 attorneys focusing on a diverse array of litigation and transactional law.

Bruce Ely Re-Elected To AL Law Institute
Bradley Arant Rose & White LLP partner, Bruce P. Ely, was re-elected to the Membership of the Alabama Law Institute. Mr. Ely is one of only 150 members of the Institute. Created by act of the Legislature in 1967, the Alabama Law Institute began operations in 1969 and serves as an advisor and resource to the Alabama Legislature and local governments as well as the Alabama State Bar. The Institute is located in the Law Center Building on the University of Alabama Campus with access to the state's largest research law library and legal experts in various fields.

The membership of the Alabama Law Institute is limited to 150 members and consists of practicing attorneys, the judges of the Alabama Supreme Court, courts of appeals, and circuit courts, federal judges domiciled in Alabama, full-time law faculty members of Cumberland Law School and the University of Alabama School of Law, all members of the Institute Council and all lawyer-members of the Legislature who are licensed to practice in Alabama. The governing body of the Institute is the Institute Council composed of six practicing attorneys from each congressional district as well as representatives from the appellate courts, Attorney General's office, Alabama State Bar Association, law schools, the Legislature, and the Governor's office.

About Bruce Ely
Mr. Ely is a partner in the firm’s Birmingham office and serves as Chair of the firm’s State and Local Tax Practice Group. His practice has for many years been concentrated in three distinct yet related areas: state and local taxation; federal taxation; and economic development/tax incentives. He has represented clients on state and local tax matters before the United States Supreme Court as well as the Alabama appellate courts, circuit courts, and the Administrative Law Division of the Alabama Department of Revenue, while also representing federal tax clients before the U.S. Tax Court and the IRS Appeals Office.

Mr. Ely graduated cum laude with a B.S. degree in accounting from the University of Alabama in 1977. He attended the University of Alabama School of Law where he received his J.D. degree and later obtained his LL.M. in Taxation from New York University School of Law. Mr. Ely is also involved in various civic and bar association activities, serving as Vice-Chairman of the Finance & Taxation Committee of the Birmingham Regional Chamber of Commerce and Vice-Chairman of the Tax & Fiscal Policy Committee of the 5,000 member Business Council of Alabama. He is a frequent lecturer for the Alabama Society of CPAs and recently received their Distinguished Service Award. Last year he served as Chief Counsel to Governor Riley’s Commission on Existing Industires and on two task forces of the American Bar Association, and formerly as Chair of the Alabama State Bar's Tax Section. Mr. Ely is a Fellow of the American College of Tax Counsel and is listed in The Best Lawyers in America.

Weinzweig Appointed to Two Leadership Positions
Lewis and Roca is pleased to announce that David D. Weinzweig, an associate with the firm’s Phoenix office, has been appointed to the Editorial Board for Arizona Attorney magazine, and has been appointed to the Arizona Board of Directors for the American Israel Public Affairs Committee.

Weinzweig practices general commercial litigation with an emphasis on antitrust. Prior to joining Lewis and Roca, Mr. Weinzweig was an Assistant Attorney General for Arizona in the Antitrust Unit where he investigated and prosecuted a number of antitrust violations.

Weinzweig received his J.D. from Arizona State University College of Law in 1997, and his B.A. from the University of Arizona in 1992.

Three Venable Attorneys Selected as Top Washington Lawyer Finalists
The Washington Business Journal has selected Maurice Baskin, J. Douglas Baldridge and Lawrence Katz as finalists for its Top Washington Lawyer awards program. Finalists were selected from more than 400 nominations.

Mr. Baskin, a Partner in Venable's Labor and Employment Group, is a finalist in the Employment Contracts category. Mr. Baskin represents a broad spectrum of clients dealing with collective bargaining, executive agreements, employee handbooks, unfair labor practices, wage and hour litigation, wrongful discharge, employment discrimination, arbitration, personnel advice, and appellate litigation. During the past year, he has served as lead negotiator in contentious labor negotiations in the television and food service industries. Mr. Baskin has substantial litigation experience before the NLRB, Department of Labor, EEOC and in the federal and state courts. He also has significant experience in appellate litigation, including service as lead counsel before the U.S. Supreme Court.

Mr. Baldridge, Chair of the Commercial South Litigation Group, is a finalist in the Corporate Litigation category. He is a first-chair trial lawyer, having tried to verdict numerous significant matters as the lead trial lawyer. Mr. Baldridge has also participated on numerous trial teams involving months of in-court trial experience, and has taken or defended over 500 depositions. His 19 years of experience includes litigation of general business disputes, publishers’ rights, First Amendment, antitrust, intellectual property, false advertising, unfair competition, franchise, toxic torts, commercial lending, and commercial real estate. During the past year, he has served as lead trial counsel for internationally recognized celebrities in complex federal litigation involving privacy and rights of publicity claims, and has continued his efforts to preserve and extend his landmark voting rights trial victory on behalf of disabled voters in the State of Florida.

Mr. Katz, a Partner in the Bankruptcy and Creditors' Rights Group, is a finalist in the Bankruptcy category. As a bankruptcy lawyer and commercial litigator with 28 years experience, Mr. Katz's experience includes all aspects of debtor and creditors’ rights. Mr. Katz has participated in a variety of business restructurings and workouts, Chapter 11 and 7 bankruptcy proceedings and all forms of commercial litigation and alternative dispute resolution. Mr. Katz’s most recent victory was before the U.S. Supreme Court in Howard Delivery Service, Inc., et al., v. Zurich American Insurance Co., decided this past term by the Court. He is currently serving as President-Elect of the Maryland Bankruptcy Bar Association, and is also an active member of the Northern Virginia Bankruptcy Bar Association and the American Bankruptcy Institute.

A reception honoring the finalists and announcing the winners in each category will take place on September 14, 2006 in Washington, D.C.

Prominent Real Estate Lawyer, Raymond A. Sanseverino Named President of Franklin & Marshall College Alumni Association
Raymond A. Sanseverino, partner at the law firm Loeb & Loeb LLP, and chair of the firm's commercial real estate leasing group, was named president of the Franklin & Marshall College Alumni Association.

Sanseverino is a 1968 graduate of the private, liberal arts college based in Lancaster, PA. Prior to becoming president, Sanseverino served as vice president and treasurer of the Association. He is also a member of the executive committee of the Board of Directors of the Association and an ex officio member of the Board of Trustees of the College. From 2003 to 2004, he served as chair of the Board's Development & Philanthropy Committee.

Mr. Sanseverino is a member of the New York State Bar Association, the Association of the Bar of the City of New York and the American Bar Association (member, Real Property Law Section). He is included in Who's Who in America, Who's Who in American Law, Who's Who in the World, Who's Who of Emerging Leaders in America and in Chambers USA-America's Leading Lawyers for Business and was named a New York Super Lawyer in Real Estate.

""I am deeply honored to be elected president of the Franklin & Marshall College Alumni Association,"" said Sanseverino. ""F&M has been essential to my personal and professional success, and I'm happy to give back to my alma mater, as I believe all alumni should. I look forward to helping bring the Alumni Association to a new level of prominence and effectiveness.""

Sanseverino was elected by the 28-member Alumni Board of Directors during a recent meeting, following approval of the college administration. The term lasts one year.

The Franklin & Marshall College Alumni Association comprises 24,826 living alumni who reside around the world, hold leadership positions in virtually every profession, and remain active in the alumni programs of the College.

Paul Hastings Represents Marathon Asset Management In $2.1 Billion Asset Acquisition of Reckson Real Estate Portfolio From SL Green Realty Corp.
Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, represented Marathon Asset Management, a hedge fund and investment management firm, in its agreement with the executive management of Reckson Associates to acquire the assets of a Reckson Associates Realty Corp. real estate portfolio from SL Green Realty Corp. The transaction, which closed on August 3, 2006, is valued at $2.1 billion.

Under the agreement, Marathon Asset Management will acquire all of Reckson's Long Island real estate assets, Reckson's fourteen property Eastridge portfolio in New York's Westchester County, Reckson's twenty office properties and three development parcels located in New Jersey, all of Reckson's interest in its Australian listed property trust, interests in Reckson's RSVP investment and an interest in certain structured finance instruments.
