New York State Tax Litigation Win
Kramer Levin represented Univisa, Inc., formerly owned by a Mexican media corporation, before the New York State Division of Tax Appeals in a litigation concerning whether Univisa was entitled to utilize certain net operating losses generated by an affiliate in calculating its New York State income. The Administrative Law Judge issued his decision on August 3 granting the relief sought by Univisa and canceling the tax assessment issued by the New York State tax department in the amount of $1.6 million. The language of the ALJ’s decision with respect to the law and arguments came largely from our briefs. Maria Jones, Howard Rothman, Pamela Capps and Mary Jo Brady worked on this matter.

Hogan & Hartson Represents Orthofix International in Acquisition of Blackstone Medical
Lawyers with Hogan & Hartson LLP are representing Orthofix International N.V., a global diversified orthopedic products company, in its acquisition of Blackstone Medical, Inc., the largest privately owned company in the United States specializing in the design, development, and marketing of spinal implant and related biologic products.

The transaction will combine Orthofix’s spine stimulation franchise with Blackstone’s portfolio of fusion, non-fusion, and biologic products. The acquisition is expected to expand access of Blackstone’s product portfolio to Orthofix’s larger physician base and global distribution channels. The purchase price for the company is approximately $333 million. The acquisition is expected to close in September, subject to the satisfaction of certain conditions to closing.

Washington, D.C. partners Joseph E. Gilligan and Robert J. Waldman led the Hogan & Hartson team. The transaction involved lawyers from the firm's corporate, securities, and finance practice as well as lawyers focusing on food and drug, intellectual property, health regulatory, tax and employee benefits, antitrust, lending and creditor rights, real estate, and environmental matters.

NanoBio Corporation Secures $30 Million P.E. Financing
NanoBio Corporation, a private biopharmaceutical company, has secured a $30 million private equity investment from Perseus, L.L.C. The funding, which will come in three tranches, will support NanoBio’s expanding clinical pipeline. NanoBio has developed multiple topical anti-infective products and vaccine candidates derived from its patented NanoStat technology platform. The company is developing and commercializing a range of products based on a proprietary nanoemulsion technology originally developed at the University of Michigan Medical School. NanoBio's lead product candidates are treatments for cold sores and nail fungus and a mucosal vaccine for influenza.

Ashurst advised Rothschild in relation to Mother Bidco's £1.1 billion bid for McCarthy & Stone, the UK's largest retirement homes builder. Mother Bidco, a consortium led by HBOS and comprising Aldersgate and West Coast, has made an agreed offer of £10.75 per share in cash for McCarthy & Stone.

The Ashurst team was led by head of corporate Adrian Clark and corporate partner Eavan Saunders, assisted by international finance partner Mark Vickers and international finance solicitor Erik Frisch.

Ashurst advised Merrill Lynch as arranger of £260 million PULS CDO 2006-1 PLC
Ashurst advised Merrill Lynch as arranger of PULS CDO 2006-1 PLC. The transaction involved the issue of secured floating and fixed rate notes for the acquisition of a portfolio of bonds, which closed on 18 July and had a total value of £260 million.

This is a first time deal for the Portfolio Manager and one of the few deals in the market to involve German, Austrian and Swiss SMEs issuing senior and subordinated bonds as security for the notes.

Ashurst's international finance team was led by partner Erica Handling, assisted by associates Diala Minott, Alessia Serpetti, trainee solicitor Anna Patashnik and paralegal Lauren Carmichael. Partners Nikolaus von Jacobs, assisted by associates Rudolf Lemke and Sören Kampmann advised on the German financing aspects. The team also comprised German tax partner Klaus Herkenroth, tax associates Nina Siewert and Nicole Benzler, as well as US corporate partner Eric Stuart.

(an Italian company controlled by Bain Capital) for the acquisition of Lince S.p.A. and its subsidiaries. The Lince Group is one of the leaders in Italy in the business information services.
