Firm Represents Initial Purchasers in US$1.49 Billion Global Offering by Hynix Semiconductor
Simpson Thacher represented the initial purchasers, led by Merrill Lynch, Credit Suisse, Deutsche Bank and Woori Securities, in a US$1.49 billion global offering of Hynix Semiconductor Inc.’s common stock, which comprised an international offering by Hynix Semiconductor and its selling shareholders of global depository shares (“GDSs”) under Rule 144A and Regulations S and a domestic sale by selling shareholders of common stock.

Hynix Semiconductor issued and sold 10,811,318 shares of common stock in the form of GDSs for gross proceeds of US$300 million. Concurrently, the selling shareholders sold 16,142,730 shares of common stock in the form of GDSs for gross proceeds of US$448 million and 26,954,048 shares of common stock for gross proceeds of $748 million in an off-hour block trade on the Korea Exchange.

Hynix Semiconductor is one of the world’s largest makers of memory semiconductor products. Simpson Thacher had previously represented the underwriters in a global bond offering by Hynix Semiconductor in July 2005, and a global offering of GDSs by Hynix Semiconductor's selling shareholders in October 2005. The GDSs are listed for trading on the Euro MTF market of the Luxembourg Stock Exchange. Its common shares are listed for trading on the Korea Exchange.

The Simpson Thacher team involved in this matter included Youngjin Sohn, Kristina Kang, Changsu Oh and Jae-Hak Kim in the Hong Kong Office, and Hallie Grainer and Shari Silverman (tax), Jeanne Annarumma (ERISA) and Mark Lab (blue sky) in the New York Office.

Simpson Thacher Advising on $8.3 Billion Buyout of ARAMARK Corporation
Simpson Thacher, together with Sullivan & Cromwell LLP and Wachtell, Lipton, Rosen & Katz, is acting as legal advisor to a group of private equity investors and Joseph Neubauer, ARAMARK's Chairman and Chief Executive Officer, in their announced $8.3 billion acquisition of ARAMARK Corporation. Under the terms of the deal, which includes the assumption or repayment of approximately $2 billion of debt, ARAMARK stockholders will receive $33.80 in cash for each share of ARAMARK common stock they hold. The transaction is expected to be completed by late 2006 or early 2007.

ARAMARK is a leader in professional services, providing award-winning food services, facilities management, and uniform and career apparel to health care institutions, universities and school districts, stadiums and arenas, and businesses around the world.

“Antitrust Case Filings Soar In 2006”
Antitrust litigation has increased 42% from the beginning of 2005 to the beginning of 2006, according to Competition Law360. Sources say the increase stems from antitrust regulators stepping up investigations on criminal activities both in the U.S. and EU. “‘But it’s not just the regulators who have stepped up their antitrust filings. The plaintiffs bar has also become more sophisticated about bringing suits,’ said Mike Cowie (DC), a partner with Howrey LLP and the former Senior Litigation Counsel for the Federal Trade Commission’s Bureau of Competition.” “The plaintiffs bar is more savvy in developing cases that can be certified. One thing we’re seeing is that plaintiffs are bringing fewer cutting edge cases. We’re seeing fewer predatory pricing cases and instead they’re bringing plain, vanilla price-fixing cases, which are easier to get certified.

Burns Receives Appointments

Frank J. Bailey was recently elected as a member of the board of directors of the Immigrant Learning Center, Inc. The Immigrant Learning Center, Inc. (ILC) is a not-for-profit adult education center located in Malden, MA.
