Paul Frank + Collins co-founder R. Allan Paul
R. Allan Paul, Paul Frank + Collins co-founder has been selected as the Vermont Chamber of Commerce Citizen of the Year.

Paul is co-founder, former managing partner and former president of Paul Frank + Collins P.C.

"Mr. Paul's long history of service to the community in which he lives and the state of Vermont positions him as a well-deserving recipient for this prestigious award," said Duane Marsh, chamber president.

Paul's service includes being chairman of the board for A. N. Deringer, Inc. He is a former member of the board of trustees of the state Agriculutral College, the Racing Commission, the University of Vermont and Vermont Law School. Paul is a retired member and director emeritus of the board of Banknorth Group Inc.

Firm Offers Minority Scholarship
Thompson Hine will pay the scholarship recipient $10,000, less applicable taxes and withholdings, at the conclusion of his or her service as a 2007 summer associate. The funds are intended for use by the scholarship recipient for tuition and other law school related expenses.

Applications will be accepted from second year minority law students (as defined in the Equal Employment Opportunity Commission Regulations, 29 C.F.R. Part 1602, i.e., Native American or Alaskan native, Asian or Pacific Islander, African-American or Black and Hispanic).

The award and payment of the scholarship is conditioned upon the law student's acceptance of a position as a 2007 summer associate in one of Thompson Hine's offices and completion of at least 10 weeks of service as a 2007 summer associate. The scholarship recipient will be evaluated and considered for an offer of full-time employment upon graduation from law school on the same basis as other members of Thompson Hine's summer associate class. The scholarship payment will be made without regard to Thompson Hine's decision to extend a full-time employment offer or the summer associate's decision to accept or reject such an employment offer if made.

Gibbons Sponsors Breakfast Club of America's Philadelphia Chapter
Gibbons has joined the Breakfast Club of America's Philadelphia Chapter, as the group's law firm sponsor. The BCA is a business organization that serves executives and decision makers from the middle market business community through 20 regional chapters located throughout the United States.

The group offers a variety of events including roundtables, cocktail receptions and monthly breakfast programs, for its members. Other members of the group include Acteon Networks, Allied Mortgage Group, Arcadia University, CBIZ, Clear Channel Outdoor Philadelphia, CN8, Independence Blue Cross, Northwestern Mutual Financial Network and the United Bank of Philadelphia.

Attorney Leading Drug Pricing Litigation Cases Applauds GSK Actions
Steve Berman, lead counsel in litigation against a group of leading pharmaceutical companies, applauded the settlement between five states and GlaxoSmithKline (NYSE: GSK) in the Average Wholesale Price drug litigation.

""I believe GSK did the right thing by coming to the table and reaching an agreement that will help millions of consumers to recover the excess costs for drugs,"" said Berman.

In the announcement yesterday, five states joined in a $70 million settlement with the pharmaceutical giant, concerning the method in which the drug company sets their pricing for states, insurers and consumers.

""While the settlement does release GSK from any further claims in this case, there are still many drug companies who have not answered for their actions,"" Berman said. ""We intend to carry on with the fight on behalf of consumers and third-party payers""

According to Berman, there are more than a dozen remaining defendants, including pharmaceutical heavyweights AstraZeneca (NYSE:AZN) and Bristol-Myers Squibb (NYSE:BMY).

""We've tried to work with the remaining defendants, but have had little success in resolving these matters,"" said Berman. ""It's a shame they continue to act in a way we believe defrauds consumers and third-party payers and insist on playing a game of litigation brinksmanship. In the end, though, we believe we will prevail.

South Korea's Largest Steel Company in $300 Million Notes Offering
Cleary Gottlieb represented the Korean steel company, POSCO, in its $300 million Reg S offering of 5.875% notes due August 2016. The notes were listed on the Singapore Stock Exchange. ABN AMRO, HSBC and UBS Investment Bank served as joint lead managers and joint book-runners in the transaction, which priced on August 3 and closed on August 10.

POSCO is the largest steel company in South Korea.

Simpson Thacher Represents Lucite International in $1.3 Billion Recapitalization
Lucite International recently completed a recapitalization involving the repayment or redemption of its existing bank and capital markets debt, the repurchase of a portion of its equity, and the funding of specific future capital commitments. Lucite International raised a total of $1.3 billion in new funding for the transaction, in the form of senior secured credit facilities and a pay-in-kind loan. Initially designed as a high yield bond, the pay-in-kind borrowing was ultimately made in loan-form to meet market demand. Although Lucite International is UK-based, all the documentation was drafted under New York law, and much of the funding was raised in the U.S.

The Simpson Thacher team included corporate associates Sinead O’Shea, Ben Garcia, Ioana Mihaltu, Godric Shoesmith, Tom Wedeles, Janeille Matthews and Patrick Geary; counsel Meredith Jones and associate Jenifer Marsh for tax; and partners Hartwell Hylton and Walt Looney.
