Paul Hastings Represents Platinum Equity in Acquisition From Textron
Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, represented private equity firm Platinum Equity and its various affiliates, in its acquisition from Textron Inc., of its Fastening Systems business segment. The transaction closed on August 11, 2006.

Representation of Platinum Equity included due diligence in the U.S. and numerous foreign jurisdictions, negotiation and execution of the acquisition agreement, issuer representation on a high yield senior secured notes offering and borrower representation on senior secured loan facilities.

Cozen O’Connor Attorney David L. Ladov Appears on Law Journal
Cozen O'Connor member David L. Ladov recently appeared on Law Journal, WFMZ-TV 69, discussing “Ahead of the Law Curve: Intended & Gestational Parents.” The program examined assisted reproduction cases beginning with the landmark 1998 Buzzanca case in California, where a child was deemed “parentless” for three years due to the fact that neither the “intended parents” or the carrier were biologically-related to the child. Ladov and other panel members also addressed recent key Pennsylvania cases involving gestational carriers with no biological ties moving for custody; terminating support based on DNA evidence and fraud; and a sperm donor ordered to pay support.

Ladov practices in the firm’s West Conshohocken office. He is co-chair of the firm’s family law practice group, concentrating his practice in all areas of domestic relations, including divorce, custody, child support, equitable distribution and abuse.

Ladov is chairman of the Pennsylvania Bar Association’s family law section, and has held the positions of treasurer, secretary, second vice chair, first vice chair and chair-elect of the family law section. He currently serves as co-editor of the Pennsylvania Family Lawyer, the section’s quarterly publication which is disseminated to all members, masters and judges who handle family law cases throughout the state. Ladov is also a member of the American Bar Association’s family law section, a member of the Pennsylvania Bar Foundation, and a fellow of the American Academy of Matrimonial Lawyers and secretary of its Pennsylvania chapter. He is former chair of the Montgomery Bar Association’s family law section and has been selected as a ""Pennsylvania Super Lawyer"" by his peers, appearing in Philadelphia magazine and Pennsylvania Super Lawyers. He has also been selected as one of the “Ten Leaders of Greater Philadelphia in Matrimonial and Divorce Law” for 2005-2006 by Digital Press International.

Shearman & Sterling Represents Underwriters in Connection with the IPO of Qimonda
Shearman & Sterling represented the underwriters led by Credit Suisse, Citigroup and JPMorgan in connection with the initial public offering of Qimonda AG, a subsidiary of Infineon Technologies AG, on the New York Stock Exchange.

The transaction had a volume of US$546 million which results from the placement of 42 million ADSs (American Depositary Shares), each representing an ownership interest in one Qimonda share. In addition, Infineon has granted a greenshoe option of an additional USD 82 million.

Qimonda AG was carved out from Infineon on 1 May 2006 and is a leading global producer of DRAM memory products.

The underwriters were advised by a Shearman & Sterling team in Frankfurt and London. The following capital markets attorneys were involved in the transaction: Ward McKimm (partner, London), Stephan Hutter (partner, Frankfurt), Apostolos Gkoutzinis (associate, London), Katja Kaulamo, Marc O. Plepelits and Daniela Leyh (all associates, Frankfurt).

Nightingale's names Heidt 'outstanding hospital lawyer'
Jeffrey L. Heidt, a partner in the Health Care Group of Ropes & Gray, has been recognized as an ""Outstanding Hospital Lawyer"" for 2006 by Nightingale’s Healthcare News. The publication selected Jeff for his involvement in the mergers and affiliations creating most major health care systems in Massachusetts, including Boston Medical Center, CareGroup, Partners Healthcare, and Criatas-Christi Health System. Jeff provides continuing counsel to many of those clients and to their constituent institutions.

Jeff’s practice is a mixture of corporate, regulatory and financial matters. The majority of clients are comprised of hospitals, health systems and their affiliated educational and business institutions, some of which he has served for more than three decades.

Proskauer Continues Expansion of D.C. Office with Addition of Veteran Securities Litigator and Regulatory Partner
Proskauer Rose LLP, an international law firm with more than 650 lawyers in the United States and Europe, announced that veteran securities litigator and regulatory attorney Thomas Sjoblom has joined the firm as a partner. He will be resident in Proskauer's Washington, D.C. office in addition to spending significant time in the firm's New York office. He will be joined by three associates, who, together with Mr. Sjoblom, constitute a significant expansion of the firm's regulatory and securities practices.

Mr. Sjoblom specializes in working with financial institutions and with officers, directors and professionals at public companies through all stages of criminal investigations by the Securities and Exchange Commission, Department of Justice, state regulatory agencies and self-regulatory organizations such as the New York Stock Exchange and the National Associations of Securities Dealers. Before entering private practice, Mr. Sjoblom spent nearly 20 years at the SEC, where he prosecuted numerous white collar proceedings of all types.

""Tom's experience working in private practice and as a government prosecutor both representing and investigating companies in a wide range of important industries and sectors will prove invaluable as we continue to grow our securities, broker-dealer litigation and regulatory practices across the entire firm,"" said Bruce E. Fader, co-Chair of Proskauer's Litigation and Dispute Resolution Department.

Mr. Sjoblom and the three associates - Ben Ogletree, Jonathan Hanks and Jackie Perrell - join Proskauer from Chadbourne & Parke, where Mr. Sjoblom was a partner. While at the SEC, Mr. Sjoblom worked with the Department of Justice as a Special Assistant U.S. Attorney in addition to being called upon by several European and Asian governments and securities exchanges to advise them on investigations and prosecutions.

""The addition of Tom further enhances our presence in the D.C. legal community and is a significant part of our continued expansion,"" said Mark Biros, head of Proskauer's Washington, D.C. office.

The new group continues the growth of Proskauer's D.C. office, which now has nearly 50 attorneys. In March, Colin Sandercock, the former co-chair of Heller Ehrman's Patents & Trademark Practice Group, joined the office as a partner, as did fellow practice group members John Isacson, Dr. Paul Booth, and David Laub. Also joining the office recently were two other attorneys with significant regulatory backgrounds: Rhett Krulla, a former senior trial attorney at the Federal Trade Commission; and Robyn Manos, a former special counsel at the Securities and Exchange Commission. Mr. Sjoblom received his B.A. from the University of Minnesota, his J.D. from William Mitchell College of Law, and his LL.M. in Securities Regulation from Georgetown University Law Center.

Hittinger Joins DLA Piper's Litigation Practice in Philadelphia
DLA Piper Rudnick Gray Cary US LLP today announced that Carl W. Hittinger has joined the firm's Litigation practice group as a partner in the Philadelphia office. He joins DLA Piper from Stevens & Lee P.C.

Hittinger focuses his practice in complex commercial and civil rights litigation with particular emphasis on antitrust and unfair competition matters in which he counsels clients on all aspects of civil and criminal antitrust law. He has successfully tried numerous, lengthy complex commercial, civil rights, and antitrust and unfair competition jury and non-jury cases before federal and state courts nationwide, and against government agencies. He also writes regularly on antitrust issues in various publications.

""Carl has more than 27 years of litigation and trial experience, so he brings instant momentum to our existing antitrust and trade regulation practice,"" said James M. Hittinger is a member of the Philadelphia Bar Association and he serves on the Federal Courts and Antitrust Law Committees. He is also a member of the American Bar and Federal Bar Associations and Phi Beta Kappa. He has been recognized by Pennsylvania Super Lawyer for three consecutive years by being selected by his peers as among the top 5 percent of lawyers in the Commonwealth in the area of Antitrust Litigation.

Hittinger earned a B.A. summa cum laude with honors from Temple University; and a J.D. from Temple University School of Law, where he was an editor of the law review and a member of the moot court board.

Moreno and Medina Join DLA Piper's Sacramento Office
DLA Piper Rudnick Gray Cary US LLP announced today that Brandon Moreno and Alexander Medina have joined the firm's Sacramento office as associates. Moreno joins the firm from Wilson Sonsini Goodrich & Rosati where he was a corporate associate, and Medina joins the firm from Sedgwick, Detert, Moran, & Arnold where he was a civil litigation associate.

""Brandon and Alex are both talented young attorneys of tremendous drive and insight,"" said Gilles Attia, managing partner of the Sacramento Office. ""We are pleased they are joining our team.""

Moreno will concentrate his practice on new company formation, the representation of high-growth emerging technology companies in debt and equity financings, as well as mergers and acquisitions for both public and private companies.

Before joining Wilson Sonsini Goodrich & Rosati, Moreno was a litigation associate at Squire Sanders & Dempsey. In 2002, he worked for the US Securities and Exchange Commission in their Summer Honors Program. Moreno earned a B.S. in Economics from the University of Utah, and a J.D. from Stanford Law School.

Medina focuses his practice on trials and litigation, including defending businesses and individuals in white collar, securities, antitrust, and environmental enforcement actions brought by government agencies at the federal, state and local levels. He also has experience in complex business litigation, product liability, and toxic mold exposure.

Before joining Sedgwick, Detert, Moran & Arnold, Medina was a civil litigation associate at Fulbright & Jaworski. He earned a B.A. with distinction in Political Science from the University of California at Berkeley, and a J.D. cum laude and Order of the Coif from Loyola Law School.
