Ashurst advised a client of LaSalle Investment Management on the sale of Broadway House
Ashurst advised a client of LaSalle Investment Management on the sale of Broadway House in Wimbledon to Durkan New Homes Limited.

Durkan has recently obtained full planning consent for redevelopment of the site which is to include retail, office and residential space, as well as associated car parking and amenity space.

The Ashurst team comprised real estate solicitor Sarah Sivyour, assisted by trainees Will Mann and Gareth Dickson, as well as property litigation solicitors Julia Crowther and Nicholas Levy.
Mayer, Brown, Rowe, & Maw (Nick Marshall) acted for Durkan.

Ashurst advised Skandia Life Assurance on the transfer of its pension annuity business to Legal & General
Ashurst advised Skandia Life Assurance Company Limited on the transfer of the majority of its in¬payment pension annuity business to Legal & General Assurance Society Limited by way of a court approved transfer Scheme under Part VII FSMA 2000.

The Ashurst team comprised corporate partner James Perry and solicitor Nick Cheshire, as well as litigation solicitors Sara Watson and Liza Robley.
James Perry, head of Ashurst's financial institutions group commented:

Joseph G. Dolan Joins Porzio as Counsel
Porzio, Bromberg & Newman, P.C. is pleased to announce that JOSEPH G. DOLAN has joined the firm as counsel.

Mr. Dolan will continue to concentrate his practice in all areas of taxation with an emphasis on estate planning, trust and estate administration and probate matters as well as trust and estate litigation. He is also a Certified Public Accountant.

A resident of Belle Mead, Stanton devotes his practice exclusively to matrimonial and family law. Certified by the Supreme Court of New Jersey as a Matrimonial Law Attorney, Stanton has experience in all aspects of matrimonial and family law including divorce litigation, arbitration and mediation, custody and parenting rights, alimony, child support, equitable distribution of assets, including complex valuation issues, pre-nuptial agreements, domestic violence and palimony.

Stanton recently served as Chair of the Family Law Section of the New Jersey State Bar Association. He has been a member of the Executive Committee of the Family Law Section of the New Jersey State Bar Association for more than ten years. He served as Chair of the Fee Arbitration Committee and as a member of the District XIII Ethics Committee. Orrick Advises Onyx Software on Thwarted Takeover Bid and Acquisition
When Onyx Software, a leading provider of customer relationship management enterprise software, was threatened with a hostile takeover bid by CDC Corporation, a Hong Kong based software company, a team of lawyers from Orrick stepped in to advise the Washington company in responding to the bid and in its eventual $92 million acquisition by another company.

Made2Manage Systems, Inc. (M2M), an Indianapolis-based private software company, acquired Onyx in a transaction that closed Aug. 2.

The transaction came a week after CDC, a Chinese company, withdrew its $92.4 million bid. CDC had made three public, unsolicited proposals to acquire Onyx beginning in December 2005, all of which were rejected by Onyx's board of directors because the board believed that the uncertainties inherent in the CDC offer represented a substantial threat to shareholder value, which was not offset by the small premium reflected in the CDC offer price.

A multi-practice team of Orrick lawyers from three offices and led by Seattle corporate partner Alan Smith advised Onyx on several fronts: corporate M&A, tax, compensation and benefits, and securities litigation. Orrick attorneys advised Onyx on responding to the CDC tender offer, soliciting proxies from key Onyx shareholders to win the necessary support for the M2M transaction, defending the litigation brought by CDC and engaging in a public relations campaign to persuade shareholders, customers and partners of Onyx to support the board of directors' recommendation.

As a result of a shareholder meeting in which the owners of 76 percent of Onyx common stock approved the proposed deal, the transaction between Onyx and M2M closed on August 2.

Former Chief Counsel at SunGard Joins Morgan Lewis: Lawrence A. Gross to Join Business and Finance Practice
Morgan, Lewis & Bockius LLP is pleased to announce that Lawrence A. Gross will be joining the firm as a partner in the firm’s Business & Finance Practice Group. Until recently, Larry was the chief legal officer of SunGard Data Systems, a global leader in software and processing solutions for financial services, higher education and the public sector, as well as the pioneer and leading provider of disaster recovery and other information availability services. An NYSE-listed company for most of its history, SunGard was acquired a year ago by a consortium of seven leading private equity firms in a landmark $11.4 billion transaction.

Mr. Gross was SunGard’s general counsel from shortly after its public offering in 1986 until the beginning of 2005, when he assumed the titles of chief legal officer and chief administrative officer. During his 20 year tenure at SunGard, the company grew from $50 million to $4 billion in revenue as he created, developed and managed the legal, governance and compliance functions for the company's worldwide operations.

""Larry was a key member of the senior management team that led SunGard to extraordinary success,"" said Fran Milone, Chairman of Morgan Lewis, ""and we look forward to having Larry's legal and business acumen, leadership and organizational skills available to assist our clients, especially in M&A and technology transactions."" At SunGard, Larry managed a team of 85 professionals, supervised 150 acquisitions and financings, many outside the United States, and handled a diverse array of significant litigation and regulatory proceedings.

Mr. Gross is a 1979 magna cum laude graduate of the University of Michigan Law School. He also received a Masters degree in Philosophy from the University of Michigan in 1978. As an undergraduate, he specialized in logic, earning an A.B. degree with highest honors in Philosophy and a second major in Mathematics from the University of Michigan in 1973. During graduate school, Mr. Gross taught a variety of courses at the University of Michigan and also supplemented his income (and gained an invaluable perspective into the human psyche) as a taxi driver.

Loeb & Loeb LLP represented Montecito and Cold Spring Pictures in $200 million production facility. The Montecito Picture Company has raised $200 million for DreamWorks. The new financing vehicle, to be called Cold Spring Picture, will co-finance ten motion pictures over the next five years. The $200 million capitalization is a combination of equity provided by Merrill Lynch and a consortium of hedge funds, together with bank debt, provided by a team of banks led by Merrill Lynch and Société Général.
