Willkie Assists Monsanto in $1.5 Billion Deal to Acquire Delta and Pine Land Company
On August 15, Willkie client Monsanto Company announced that it has signed a definitive agreement to acquire cotton seed producer Delta and Pine Land Company for $1.5 billion in cash. The transaction was unanimously approved by the Boards of Directors of both companies and is subject to Delta and Pine Land shareowner approval, antitrust clearance, and customary closing conditions. Developing and delivering cotton varieties for farmer customers for more than 90 years, Delta and Pine Land Company operates the largest and longest running private cotton seed breeding program in the world. Monsanto Company is a leading global provider of technology-based solutions and agricultural products that improve farm productivity and food quality. The deal was handled by partner William Gump and associates Russell Leaf, Marshal Bozzo and Sarah Schandler. Partner E. Donald Elliott provided environmental advice.

Two Prominent Litigators Join Orrick in Los Angeles
Orrick, Herrington & Sutcliffe LLP announced today that Kent Goss and Valerie Goo, previously litigation partners at Pillsbury Winthrop Shaw Pittman, have joined the firm as partners in its Los Angeles office. Goss and Goo further the expansion of Orrick's national high stakes, complex business litigation practice.

“Orrick is a recognized leader in high stakes litigation around the world, and growing our practice by attracting experienced, successful trial lawyers remains one of our highest priorities,” said Ed Woodsome, firmwide practice group leader of Orrick’s litigation group. “Kent Goss and Valerie Goo fit the profile of the type of lawyer we want to attract, and they will help us expand our ability to service clients both nationally and internationally.”

Kent Goss is a business and intellectual property trial lawyer who focuses in handling complex commercial matters including the prosecution and defense of class action lawsuits, RICO violations, securities violations, shareholder disputes, labor claims and government investigations. He also handles intellectual property litigation matters including trademark, copyright and patent infringement as well as misappropriation of trade secrets. His clients have included Fortune 500 companies, equity funds, consumer electronic companies, insurance companies, technology-based companies and manufacturing concerns.

Goss has served as first chair for all of his trials over the past twelve years and has been involved in a number of high-profile cases. He currently is defending a manufacturer of electronic and fiber optic connectors in a three-year long trade secrets battle. Involving the U.S. Government and other large defense contractors, the matter has been set for trial in the U.S. District Court for the Central District of California for September 2006.

Goss received his J.D. from the University of California, Hastings College of the Law in 1987. He also holds a B.A. from Occidental College.

Valerie Goo focuses on intellectual property and complex commercial litigation. She has had significant litigation experience in the areas of trademark, copyright, right of publicity and patent infringement litigation, as well as general business and complex commercial litigation including fraud, breach of contract, breach of fiduciary duty and class action matters. Goo has had numerous jury trials in federal and state courts, and has conducted arbitration and bench trial proceedings. Additionally, she has state and federal appellate experience, including oral argument before the Ninth Circuit.

“It is a tremendous opportunity to join a growing, global law firm like Orrick,” said Goo. “Orrick's litigation practice has developed a stellar reputation, and I look forward to contributing to the success and growth of the group.”

Goo received her J.D. from the University of California, Los Angeles in 1996. She also received her B.A. from UCLA. She also served as judicial extern for the Honorable Stephen V. Wilson of the U.S. District Court in the Central District of California.

ABA Lauds King & Spalding for Pro Bono Work for Death Row Inmates
King & Spalding, a leading international law firm, is being honored by the American Bar Association (ABA) for its work on behalf of death row inmates. The firm will receive the inaugural ABA Death Penalty Representation Volunteer Award at ceremonies in Washington, D.C., in October, marking the 20th anniversary of the establishment of the ABA’s death penalty representation project.

King & Spalding has worked on more than a dozen pro bono death penalty cases, including a 2005 federal habeas corpus proceeding in which the Texas Court of Appeals for the first time reversed a lower court’s decision on post-conviction DNA testing.

The ABA created its death penalty representation project in 1986. Since then, more than 100 major law firms have been involved as volunteer counsel for capital post-conviction cases. The project’s goals are to better inform the bar and the public about the lack of representation for death row inmates, recruit volunteer attorneys and offer training and assistance in order to assure that all inmates facing death sentences are represented at all stages of their legal proceedings.

Katten Continues Expansion of Commercial and Securities Litigation Practices with Addition of Three New Partners
Katten Muchin Rosenman LLP announces the continued growth of its Commercial and Securities Litigation practices with the addition of partners Eric A. Kuwana, Ugo Colella and Catherine Sun Wood to the Firm’s Washington office. Mr. Kuwana will also serve as Deputy Chair of Katten’s National Litigation Department. All three attorneys join Katten from the Washington office of Patton Boggs LLP.

The recent expansion of Katten’s Securities Litigation Practice follows the addition of several other new partners in the past six months. In March, nationally-known litigator Bruce G. Vanyo joined the Firm’s Los Angeles office as practice co-chair. He was joined in June by Anissa D. Seymour, who also serves as a partner in the Los Angeles office.

“We are pleased to continue the aggressive, strategic expansion of our Litigation Department with the additions of Eric, Ugo and Catherine,” said David H. Kistenbroker, Chair of the Firm’s National Litigation Department and Co-Chair of Katten’s Securities Litigation Practice. “These three exceptionally talented litigators enable us to continue to service our growing national client base.”

Eric A. Kuwana
A former attorney in the Office of Counsel to the President under George H. W. Bush, Mr. Kuwana represents companies and individuals in high-exposure and high-profile disputes in federal and state courts throughout the country. He most recently served as Deputy Chair of Patton Boggs’ Litigation Department, head of the securities litigation practice, and co-head of the transactional risk assessment practice. He represents companies and their officers and directors in complex securities fraud, corporate governance, class actions, derivative actions, SEC enforcement actions, and high-profile “bet-the-company” cases. His success at trial and proficiency in handling complex litigation matters has led to his being named as a national litigation counsel for Great American Insurance Company.

Additionally, Mr. Kuwana has substantial experience representing and advising political entities, including in federal court litigation involving significant constitutional issues. Mr. Kuwana served as the Deputy General Counsel of the Presidential Inaugural Committee for the 2001 Inauguration of President George W. Bush, and worked on the President’s 2005 Inauguration. He also served as counsel to the Platform Committee at the Republican National Conventions in 2000 and 2004 and has represented the Republican National Committee, the National Republican Senatorial Committee, and the National Republican Congressional Committee in various matters. Mr. Kuwana received his B.A., from the University of Chicago and his J.D. from the University of Kansas School of Law.

Ugo Colella
Mr. Colella was a partner at Patton Boggs and concentrates his practice on a wide variety of civil litigation, with an emphasis on business-related disputes. Practicing at the trial and appellate levels, as well as in state and federal courts across the United States, he also advises clients on a wide variety of pre-litigation matters involving contracts and other commercial instruments. Before joining Patton Boggs, Mr. Colella served as a trial attorney for the Civil Division of the U.S. Department of Justice. Mr. Colella received his B.A. from Stanford University and his J.D. from the Tulane University Law School, where he served as the editor in chief of the Tulane Law Review.

Catherine Sun Wood
Ms. Sun Wood was a partner at Patton Boggs and focuses her practice on the defense and prosecution of commercial litigation and arbitration for individuals and companies in various industries and economic sectors. She litigates disputes involving securities or common law fraud, as well as those arising from commercial and corporate transactions or employment relationships.
Ms. Sun Wood also litigates matters involving trade secrets, fiduciary duty, non-compete agreements, and product liability, and advises clients involved in government investigations and criminal litigation. Ms. Sun Wood received her B.A. from George Mason University and her J.D. from the American University Washington College of Law.

Calfee Recognized by Plain Dealer for Legal Aid Program Involvement
Calfee was included in an article, "With Friends' Help, MetroHealth Expands Legal Aid Program," which appeared in the August 11th edition of The Plain Dealer. The article discusses the expansion of the Legal Aid Society of Cleveland's program providing legal services to patients at MetroHealth Medical Center and several neighborhood clinics. Calfee is one of only three local law firms involved in contributing to the program's expansion.
