Former SEC Trial Attorney Michael K. Lowman Joins Jenner & Block
Michael K. Lowman has joined Jenner & Block as a Partner in the Firm’s Securities Litigation Practice. Most recently Assistant Chief Litigation Counsel for the U.S. Securities and Exchange Commission’s Division of Enforcement, Mr. Lowman brings more than 14 years of trial and regulatory experience to the Firm. He will be located in the Firm’s Washington, DC office.

During his five years at the SEC, Mr. Lowman rose to primary trial counsel in a wide variety of civil and administrative enforcement actions brought in the U.S. District Court for the Southern District of New York and elsewhere. He also supervised the Division of Enforcement’s investigative staff attorneys in litigated matters. During Mr. Lowman’s tenure at the Commission, Mr. Lowman investigated, and where necessary tried, complex financial fraud cases, matters involving insider trading, Foreign Corrupt Practices Act violations, and potential U.S. securities law violations by an off-shore brokerage firm and transfer agents. As a result, Mr. Lowman received two Division Director Awards for his contributions to the Commission as a trial attorney.

Prior to the SEC, Mr. Lowman practiced for nearly eight years at large New York and Washington, DC law firms. During this period, he handled numerous high stakes corporate and commercial cases, including those involving shareholder class and derivative actions, investigations, complex multi-party construction matters, commercial contract litigation, insurance coverage disputes, trademark and copyright litigation and consumer class action defense.

Mr. Lowman also served as clerk to The Honorable Howard S. Chasanow, Court of Appeals of Maryland, after obtaining his law degree from The American University, Washington College of Law, summa cum laude, where he was senior articles editor for The American University Law Review.

Gray Appointed to ABA's Standing Committee on Federal Judiciary
Jenner & Block Partner Richard J. Gray has been appointed to the American Bar Association Standing Committee on Federal Judiciary by ABA President Karen J. Mathis.

The ABA Standing Committee on Federal Judiciary consists of 15 members – two members from the Ninth Circuit, one member from each of the other 12 federal judicial circuits and the chair.

The committee has been evaluating the professional qualifications of all persons nominated for appointments to the federal bench, including the Supreme Court of the United States, the U.S. Circuit Courts of Appeals, the U.S. District Courts and the four territorial courts, for more than 50 years. The standing committee’s evaluation of nominees is unique and the only nonpartisan, non-ideological peer review of the professional qualifications of prospective federal judges. The committee evaluates only a nominee’s integrity, professional competence and judicial temperament. Neither ideology nor politics is considered. Once an evaluation is completed, the committee sends its report to both the Senate Judiciary Committee and to the administration.

Mr. Gray is a graduate of the University of Michigan Law School. He also received his undergraduate degree from Michigan. He is a trial lawyer concentrating his practice in civil litigation.

Mr. Gray will serve a three-year term. Members of the standing committee are limited to two three-year terms.

Hogan & Hartson Assists S1 Corporation in Divestment of International Software Business
Lawyers with Hogan & Hartson LLP represented the S1 Corporation, a leading provider of customer interaction software solutions for financial and payment services, in the sale of its FRS division to The Carlyle Group, a global private equity firm, and Kennet Partners, a technology investor, for an undisclosed sum.

The FRS division of the S1 Corporation, which provides financial institutions worldwide with regulatory reporting, compliance, and operational risk management solutions, comprises subsidiaries in the United States, Belgium, Luxembourg, France, Spain, the United Kingdom, the Netherlands, Singapore, and Hong Kong.

Hogan & Hartson offices involved include New York, Washington, D.C., London, Brussels, Paris, and Hong Kong. The transaction was led by partners Stuart Stein and Lex Eley and associates Inna Nazarova Jackson and Andrea Sluchan from the firm's New York office.

Nancy Heermans Joins Arent Fox Litigation Group
Arent Fox is pleased to announce that Nancy S. Heermans has joined the firm’s Litigation Group as a member in the Washington, DC, office. Her expertise encompasses titles I and IV of ERISA, litigation and bankruptcy.

Before rejoining Arent Fox, Heermans was the associate chief counsel for litigation at the Pension Benefit Guaranty Corporation (PBGC), the federal corporation that insures the pensions of American workers and retirees. As associate chief, she was primarily responsible for the agency’s complex litigation in all federal courts. Her work included representing the agency in large bankruptcies such as United Airlines, Enron, US Airways and Raytech, as well as in other litigation involving issues such as pension fraud ( PBGC v. White Consolidated Industries) and alleged breaches of fiduciary duties ( Coleman v. PBGC). Heermans also has handled a large number of appellate cases in federal appeals courts.

Heermans received her JD, with high honors, from the University of North Carolina, Chapel Hill, and a BA, with high honors, from the University of North Carolina, Greensboro.

Teck Cominco Announces Plans for Largest Public Equity Offering in Canadian History
Paul, Weiss client Teck Cominco, a Vancouver-based diversified mining company, announced yesterday that it has filed a prospectus in Canada and the United States for the largest public equity offering in Canadian history to raise at least Cdn. $5.725 billion in connection with its offer to acquire all of the common shares of Inco Limited. The closing of the offering will be conditional on Teck Cominco acquiring no less than 66 2/3 percent of the shares of Inco Limited. The deal was reported by today's Daily Deal. The Paul, Weiss team included corporate partners Ted Maynard and Jeff Marell and associates Stanley Grigoryev, Justin Hamill, Kathleen McCabe, Carl McCarthy, Aun Singapore and Ramy Wahbeh; tax partner David Sicular and associate Mashiho Yuasa; and enivronmental lawyer William O'Brien.

13 Fulbright Lawyers Named “Best” in San Antonio
The 2006 Best Lawyers in America survey named 13 Fulbright San Antonio lawyers among the Best Lawyers in San Antonio. The lawyers are highlighted in the August-September 2006 issue of San Antonio magazine.

Published since 1983, the Best Lawyers in America is a referral guide to the legal profession in the United States. The Best Lawyers lists attorneys in 57 specialties in all 50 states and the District of Columbia. The current Best Lawyers edition is based on more than 1.5 million detailed evaluations of lawyers by other lawyers. Compiled through a nationwide survey, lawyers are selected based solely on the votes by their peers.

Franchise and Distribution Attorney Leslie Smith Noted Among IFA Supplier Forum Members
Franchise and Distribution attorney Leslie Smith's membership in the International Franchise Association's (IFA) Supplier Forum was noted in the July 2006 issue of Franchising World. Smith is a shareholder in Buchanan Ingersoll & Rooney's Miami office, a member of the firm's Litigation Section and chair of the firm's Franchise and Distribution Group.

Since its inception in 1960, the IFA has represented and protected the interests of the franchise community. The IFA's Supplier Forum is made up of more than 400 firms that focus on the needs of the franchise sector while adhering to a Code of Ethics. Observation of such standards are intended to assure that Supplier Forum members will bring credit to Supplier Forum and enhance the reputation of franchising.
