Nelson Mullins Attorneys Pen Tax Law Boo
The second edition of the book “South Carolina Taxation and Economic Tax Incentives,” which has become a classic text on South Carolina tax matters written by John von Lehe and Jennifer Davis, was released Thursday at the South Carolina Taxation and Economic Tax Incentives seminar in Columbia.

Attorney John von LeheThe book provides in-depth coverage of every major South Carolina tax issue as well as economic tax incentives and practice before the S.C. Department of Revenue. For the second edition, Mr. von Lehe and Ms. Davis have added a new chapter on the ever-present city and county business license tax. This is the only publication written for tax advisers on this subject, according to the authors.

Also included are full discussions of corporate and individual income tax, license tax on corporations, tax credits and withholding. Comprehensive analysis is given to sales tax, including the nature and incidence of sales tax, drop shipments, the nature and incidence of the use tax, rates and collection of tax, jurisdiction to tax, imports and exports, wholesale sale exclusions, exemptions, casual sales, local option sales tax and special local option taxes, reciprocal credits, interest and penalties, among other issues.

Attorney Jennifer DavisThe second edition continues to be the only comprehensive treatise on South Carolina tax law. Of immense value to the practitioner is the chapter on Economic Tax Incentives, which covers job tax credits, job development credits and retraining credits, credits for investing in economic impact zones and fee in lieu of property taxes. Other tax incentives such as special source revenue credits, income tax moratorium for new jobs in certain counties, corporate headquarters, contracts for special apportionment of income, sales and use tax incentives, utility infrastructure credits, and other incentives are also discussed.

Extensive changes, especially in the property tax and fee in lieu area that were made in the 2006 legislative session, are included in the book’s coverage.

The chapter on Procedure is written to provide a roadmap to and through the proper channels at the S.C. Department of Revenue (SCDOR) and county levels and to properly position taxpayers before the Administrative Law Court.

MCDERMOTT RECOGNIZED AS HAVING THE BEST BRAND IN TAX

Hogan & Hartson Represents Sunrise Senior Living in Acquisition of Trinity Hospice
Lawyers with Hogan & Hartson LLP are representing Sunrise Senior Living, Inc., a leading provider of senior living services, in its acquisition of Trinity Hospice, Inc., a privately owned company which is the eighth largest hospice care provider in the United States with expected revenue of $60 million in 2006.

Through this acquisition, Sunrise will enter the fast-growing hospice care industry. The aggregate consideration for the transaction is estimated to be $68 million plus approximately $3 million in transaction costs for a total of approximately $71 million, subject to various adjustments set forth in the acquisition agreement. Consummation of the transaction, which is expected to occur in the third or fourth quarter of 2006, is subject to the satisfaction of certain conditions, including receipt of required regulatory approvals and other customary closing conditions.

Washington, D.C. partners Paul D. Manca and James G. McMillan led the Hogan & Hartson team. The transaction involved lawyers from the firm’s corporate, securities, and finance practice as well as lawyers focusing on health regulatory, tax, and employee benefits matters.

Chadbourne Represented IFC in Transportadora de Gas del Norte Restructuring
Chadbourne & Parke LLP represented International Finance Corporation in the restructuring by Transportadora de Gas del Norte S.A. (TGN) of approximately US$600 million in bank debt and Rule 144A and Regulation S Notes. TGN is an Argentine operator of natural gas pipelines.

As part of the restructuring, TGN prepaid IFC approximately $18 million for 100% of the 10.66% Series C Notes and Series D Notes of TGN, approximately $10 million for 75% of the 9.52% Series A Notes of TGN and the portion of the 9.45% Series B Notes of TGN beneficially owned by IFC. The launch by TGN of a restructuring offer, supported by 81% of its creditors, marked the end of a 5-year restructuring negotiation for the lawyers working on the project.

On August 3, 2006, TGN launched an exchange offer combined with a solicitation for consents to the restructuring through an Argentine Acuerdo Preventivo Extrajudicial (out-of-court restructuring agreement) of its remaining financial indebtedness.

""The restructuring of TGN's financial debt constitutes a very significant and positive achievement after many years of negotiation and hard work and signifies the end of the restructuring of the Argentine corporate sector following the 2002 crisis,"" says Chadbourne partner Alejandro San Miguel.

The prepayment of the IFC debt was complicated by the structure of the original IFC transaction pursuant to which nearly all of the approximately $211 million of Series B Notes were sold to investors through the issuance of trust certificates by a special purpose trust established to own a 100% participation in the Series B Notes held of record by IFC. As a result, the prepayment required obtaining the unanimous consent of these trust certificate holders, many of whom also held other types of TGN's debt instruments.

TGN is currently one of the two largest transporters of natural gas in Argentina, delivering approximately 41% of the country’s total gas consumption and 54% of Argentine total gas exports.

The controlling shareholder of TGN is Gasinvest, whose shares are held by Petronas Argentina S.A., TecGas N.V, Total Gas y Electricidad Argentina S.A., Transcogas Inversora S.A., Total Gasandes and Compañía General de Combustibles S.A.

The rest of the Chadbourne team working on the deal for IFC were DC office partner Rohit Chaudhry, Latin America counsel Carlos Albarracín and associate Martín Stalman.

Chadbourne previously represented the lenders' committee of Transportation de Gas del Sur S.A. (TGS) in a US$1.02 billion debt restructuring that closed in December 2004.

Firm Adds Toxic Tort Litigation Group
Blank Rome LLP is pleased to announce that Ralph H. Johnson and Lynn K. McKay have joined the Firm as Partners and Leon B. Taranto has joined as Of Counsel in the Firm’s Product Liability, Mass Torts and Insurance group. The group joins Blank Rome from the Washington, D.C.-based law firm of Schmeltzer, Aptaker & Shepard, P.C.

The group brings a broad spectrum of legal, scientific, and technical experience in matters involving radiation exposure, oil and gas exploration and production, groundwater contamination, uranium mining and milling, nuclear energy, atomic weapons testing and production, and toxic tort claims generally.

Ralph H. Johnson focuses his litigation practice on the defense of radiation injury claims involving exposure to naturally-occurring radioactive materials (“NORM”) and nuclear reactor emissions. At Schmeltzer, Aptaker & Shepard, PC., Mr. Johnson headed the Environmental, Radiation and Toxic Tort Litigation Section. Prior to that, Mr. Johnson served as Assistant Director of the U.S. Department of Justice’s Torts Branch, where he directed the radiation and toxic litigation teams. During this time, Mr. Johnson received five special achievement awards from the Attorney General for his leadership of the federal government’s radiation litigation defense.

Lynn K. McKay counsels corporate clients who face claims of injuries associated with radiation and radioactive materials in nuclear power generation, and NORM in oil and natural gas production and processing operations. Ms. McKay has extensive experience in the evaluation and analysis of field data and testing methods, and the effective use of that information in Daubert challenges, and at trial. She also has significant experience in review and analysis of historical documents concerning radiation protection programs and exposure circumstances, and the successful use of such evidence in defending radiation claims.

Leon B. Taranto specializes in radiation injury, toxic tort, environmental contamination, and business tort litigation. Mr. Taranto has been involved in the defense of toxic tort and class action claims against oil companies for radiation and chemical exposure injuries, mental distress, medical monitoring expenses, property damage, and environmental contamination. In addition, Mr. Taranto has defended radiation and chemical exposure injury claims against federal nuclear weapons testing and production contractors, and nuclear power plant licensees. He has counseled foreign governments in the defense of radiation injury claims. Prior to joining Blank Rome from another firm, Mr. Taranto defended radiation, Agent Orange, vaccine injury, professional malpractice and other tort claims as a Trial Attorney for the Department of Justice.

Jeremy A. Spector Elected as Fellow to the American College of Bond Counsel

Membership in the College is extremely limited and admission as a Fellow is a recognition of the lawyer's accomplishments and legal expertise in the field of bond law.

At Blank Rome, Mr. Spector heads the Public Finance Practice Group’s tax practice and counsels clients in virtually all areas of public finance tax law. A significant component of Mr. Spector’s practice is the representation of clients before the IRS and state tax authorities concerning ruling requests and enforcement actions.

In addition, Mr. Spector presently serves as Chair of the American Bar Association (ABA) Subcommittee on IRS Enforcement and is currently serving a three–year term on the faculty of the National Association of Bond Lawyers (NABL) Bond Attorneys’ Workshop. Through his extensive involvement in NABL and the ABA, Mr. Spector has been actively involved in submitting comments to the IRS on proposed regulations affecting tax-exempt bonds since 1984.

Mr. Spector has authored numerous articles and frequently lectures on topics of public finance tax law. Mr. Spector’s articles concerning major public finance tax law developments have been published annually in The Tax Lawyer from 1999 and 2005 and in January 2005, Mr. Spector was appointed by the National Association of Bond Lawyers as the third–ever tax columnist for their quarterly journal The Bond Lawyer®.

Mr. Spector holds a Master of Law degree in Taxation from New York School of Law, a law degree from the University of Miami School of Law, and a Master of Business Administration degree in Accounting and Finance from New York University Graduate School of Business Administration. Mr. Spector graduated with a Bachelor of Arts degree in Politics, cum laude with Honors, from Brandeis University and maintains his accreditation as a Certified Public Accountant.
