Florida Venture Forum Names Doney to Board of Directors
The Florida Venture Forum, the oldest, largest, and most prestigious statewide support group for venture capitalists and entrepreneurs, today announced that David M. Doney, a shareholder in the Corporate Practice Group of Fowler White Boggs Banker P.A., has joined the organization’s Board of Directors.

Mr. Doney’s practice includes corporate and securities transactions, including mergers and acquisitions, public and private securities financings, Securities Exchange Act reporting and compliance matters, and other business transactions. He has an AV rating by Martindale-Hubbell.

Mr. Doney received his Bachelor of Science Degree in Finance magna cum laude in 1987 from Jacksonville University and his J.D. cum laude in 1991 from Stetson University College of Law, where he served as Editor-in-Chief of the Stetson Law Review.

The Florida Venture Forum, Inc. is Florida’s premier statewide support group for venture capitalists and entrepreneurs. As an entrepreneurial networking group, the Forum educates entrepreneurs and assists them in identifying sources of venture capital. In early part of each year, The Florida Venture Forum hosts the Venture Capital Conference. The 16th Annual Conference will be held February 6--February 7, 2007 at the incomparable Boca Raton Resort & Club in Boca Raton. Sedgwick Partner Elected to Texas Association of Broadcasters Board of Directors
Laura Lee Prather, partner in Sedgwick's Austin office, has been elected to serve as an associate member of the board of directors of the Texas Association of Broadcasters (TAB). Ms. Prather is the only lawyer on the board, and was elected to fill the one seat available to associate members of the organization.

Ms. Prather, an active member of TAB for more than a decade, received this honor during the TAB’s 53rd Annual Convention and Trade Show. Ms. Prather's contributions, most prominently in the area of legislative affairs, include chairing the Shield Law Initiative Committee, serving on the Legislative Affairs Task Force, speaking at annual ""Legislative Day"" meetings, providing pro bono legal advice to the organization and its members, and volunteering time and energy to speak on First Amendment, open government and free press issues.

Sedgwick, Detert, Moran & Arnold LLP, a TAB member, proudly sponsored the annual convention, held in Austin, and co-hosted ""Open Festivities,"" the convention's most prominent networking event.

TAB is the largest state broadcast associations in the nation, representing more than 1,100 radio and television stations.

Sedgwick Expands Products Liability Expertise In Dallas
Sedgwick announced it has expanded its products liability expertise in Dallas with the addition of Deborah Lewis as special counsel and member of the firm's Products and Commercial Practice Groups. Lewis, most recently from Godwin Pappas Langley Ronquillo, served as the chair of that firm's product liability section. She has 15 years of experience as a trial attorney, primarily defending automobile manufacturers, pharmaceutical and medical device manufacturers, retailers, physicians, hospitals and other clients in products liability and healthcare actions. A former registered nurse and nursing professor, she brings a unique perspective to cases involving medical issues and alleged personal injuries.

""Deborah brings a wealth and diversity of experience to our practice. She has been trusted by both automotive and pharmaceutical manufacturers to defend them and has served as regional counsel for a region that extends from Texas to California,"" said Sedgwick partner Paul Cauley, who leads the firm's products liability practice in Texas.

Donald Ayer Named Secretary of American Academy of Appellate Lawyers
Donald Ayer, a partner in Jones Day's Issues & Appeals and Government Regulation practices, has been elected Secretary of the American Academy of Appellate Lawyers for the 2006-2007 year. Don, who has argued 17 cases in the U.S. Supreme Court, also presently serves as the President of the Edward Coke Appellate Inn of Court in Washington, D.C.

The American Academy of Appellate Lawyers was founded in 1990 to advance the highest standards and practices of appellate advocacy and to recognize outstanding appellate lawyers. The Academy is a nonprofit organization consisting of the Fellows who have been elected to the Academy. Nominees must have a minimum of 15 years practice in appellate law and are elected on the basis of nominations from current fellows as well as suggestions from judges and practitioners. The Academy currently has about 300 members nationwide.

O’Melveny Represents MSK Corporation in Acquisition by Suntech
O’Melveny recently represented MSK Corporation, one of Japan’s largest photovoltaic (PV) manufacturers and a top ranking company in the building-integrated photovoltaics (BIPV) space, in its definitive agreement to be acquired by Suntech Power Holdings Co., Ltd., one of the world’s leading manufacturers of PV cells, in a two-step cash and stock transaction.

The deal may be among the largest acquisitions of a Japanese company by a Chinese firm. It may also be the first deal announced contemplating a stock-for-stock merger by a non-Japanese issuer under rules set to take effect in May 2007.

In the first step of the acquisition, anticipated to close in the third quarter 2006, Suntech will acquire a two-thirds equity interest in MSK for $107 million through a combination of subscription to new shares and purchase of existing shares. The balance of the consideration is based upon revenue targets for MSK, and will be paid in the second step, anticipated to close by the end of 2007.

""As a subsidiary of Suntech, MSK will be able to access Suntech’s support in terms of advanced PV cell/module products and cost competitiveness, financial resources, and distribution channels, as well as have the possibility of pioneering BIPV applications in the Chinese market,” said MSK CEO Dr. Tadao Kasahara.

Suntech expects that MSK’s global sales footprint, established branding, and international marketing expertise will further Suntech’s strategy of diversifying its customer base and developing sales channels in key international markets.

The O'Melveny deal team comprised partner Gregory Puff, counsel Hunter Simon, and associate James Liu. Counsel Darren Tucker advised on Hart-Scott-Rodino matters.

MSK makes customer-tailored photovoltaic products that can replace conventional building materials. In 2005, it had an annual production capacity of approximately 200 megawatts.
