Ted and Nina Wells Profiled in The Star-Ledger
Partner Ted Wells and his wife, Nina Mitchell Wells, are profiled in today's Star-Ledger article, "Jersey's Power Family." The article notes that Ted and his family have been instrumental in local and national politics for more than 30 years, and with Nina's appointment to New Jersey Secretary of State by Governor Jon Corzine, the couple is now center stage in New Jersey politics. The article also looks at the couple's charity work, noting that they celebrated their 25th wedding anniversary 10 years ago by donating $20,000 to the Newark Day Center where Ted and Nina began their community activism. The article also notes that Ted and Nina's children are also very politically active, both having volunteered for former U.S. Senator Bill Bradley's presidential campaign. Ted and Nina's daughter, Teresa, is Governor Corzine's traveling press aide, and their son, Phillip, is entering his third year at Fordham Law School.

Paul Hastings Represents Morgan Stanley Real Estate in $1.9 Billion Acquisition of Glenborough Realty Trust
Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, has represented Morgan Stanley Real Estate in its acquisition of Glenborough Realty Trust, a real estate investment trust with a portfolio of 45 properties encompassing eight million square feet across the United States. The transaction, which is expected to close during the fourth quarter of 2006, is valued at approximately $1.9 billion.

The Paul Hastings team, lead by partner Charles Thornton, also included partners Phil Feder and Walter Schleimer, and associates Chris Busselle, Scott Berg and Kelly Mathews.

Under the agreement, Morgan Stanley Real Estate will acquire all of Glenborough's outstanding common stock for $26.00 per share in cash through a merger transaction. Holders of limited partnership units in Glenborough's operating partnership will receive $26.00 per unit in case or, at their election, will have the right either to common units in the surviving operating partnership similar in their terms to the existing common units or, alternatively, to receive a preferred unit in the surviving operating partnership. The total consideration of approximately $1.9 billion includes repayment or assumption of Glenborough's existing debt and redemption of its Series A convertible preferred stock pursuant to its terms. The agreement contemplates that Glenborough will continue to pay regular quarterly distributions at an annualized rate of $1.10 per share and per unit through the closing of the merger with a pro rated distribution for the quarter in which the transaction closes being included in the merger consideration.

Two Associates Join Fulbright’s Austin Office
Fulbright today announces that associates Katy Livingston and Chris Spence have joined the firm's Austin office.

Livingston focuses her practice on corporate law and represents private and publicly held companies in a variety of corporate matters and transactions. Livingston earned her J.D., with honors, from The University of Texas School of Law in 2004 and her B.A., with highest honors, from The University of Texas at Austin in 1998. She was admitted to practice in Texas in 2004. Livingston joined Fulbright from Winstead, Sechrest and Minick P.C.

Spence devotes his practice to intellectual property law, with a specific emphasis on patent litigation and prosecution, as well as transactional matters involving intellectual property issues. He earned his J.D., with honors, from The University of Texas School of Law in 2003 and his B.S., Mechanical Engineering, cum laude, from Texas A&M University in 1991. Spence joined Fulbright from Conley Rose P.C.

E. Joanna Nelson Joins Cozen O'Connor Houston Office as Associate
E. Joanna Nelson recently joined Cozen O'Connor’s Houston office as an associate, practicing in the insurance department. Prior to joining the firm, Nelson was an associate with Phelps Dunbar LLP in Houston.

Nelson earned her law degree from the University of Virginia School of Law (J.D., 2003), where she was a member of the Virginia Journal of Law and Technology, and her undergraduate degree from Rhodes College (B.S., 2000).
