Gide Loyrette Nouel advises Pirelli RE
The Warsaw office of Gide Loyrette Nouel has acted as Polish legal adviser to Pirelli RE, one of the most important players in the Italian real estate market, during the establishment of a joint venture with an international real estate private equity fund - Cypress Grove International, managed by affiliates of Grove International Partners. This Joint Venture, 60% owned by Grove and 40% by Pirelli RE, plans to invest in Poland’s residential sector.

The joint venture has acquired approximately 88% of a new company that will develop five residential projects from Pirelli Pekao Real Estate for a price of around €60 million. The projects are located in districts of Warsaw (Ostrobramska, Okopowa, Banderii and Grzybowska) and in Gdansk (Szafarnia) and cover a total area of over 243,000 sq. m. The estimated value of future development is € 420 million. Bank Pekao intends to purchase 11.76% of the new company.

The joint venture intends to carry out further investments in the Polish residential sector over the coming years.

Rafal Dziedzic, in charge of the Warsaw team working on this operation, comments: "This transaction involved cooperation between a large number of lawyers representing different practice areas in our Warsaw office, including Real Estate, M&A and Banking & Finance. Assisting Pirelli RE to implement its business model in Poland has been an opportunity to show our capacity to provide the full range of legal services connected with a complex international transaction."

In February 2006, GLN Warsaw advised Pirelli RE on the acquisition of a 75% stake in Pekao Development, a Polish real estate developer, including, in particular, antitrust aspects of this transaction.
