Hertzberg and Stratton Become Co-Chairs of Pepper Hamilton’s Corporate Restructuring and Bankruptcy Practice
Pepper Hamilton LLP announced that partners Robert S. Hertzberg and David B. Stratton will co-chair the firm’s Corporate Restructuring and Bankruptcy Practice Group.

Mr. Hertzberg, a partner in Pepper’s Detroit office and a fellow of the American College of Bankruptcy, has been practicing almost exclusively in the bankruptcy and restructuring field for more than 25 years, representing secured lenders, debtors, debtors-in-possession, trustees, creditors and creditors’ committees. Mr. Hertzberg will spend a portion of his time in Pepper’s newly expanded New York office, and lead the expansion of the Corporate Restructuring and Bankruptcy Practice there.

Mr. Stratton is the partner in charge of Pepper’s Wilmington office and a member of the firm’s Executive Committee. He concentrates his practice in bankruptcy and secured lending transactions, focusing on the representation of banks in commercial lending transactions and workouts, and the representation of secured creditors and creditor interests in bankruptcy.

Pepper’s Corporate Restructuring and Bankruptcy Practice Group handles a full range of debtor/creditor matters, regardless of the complexity, location, industry or market sector involved. Members of the group, drawing on their own experience and the assistance of Pepper’s other practitioners, address many complex subjects necessary to the successful resolution of bankruptcy and reorganization matters, including environmental, collective bargaining, transportation, leveraged buyout, toxic tort, pension, intellectual property, health care, financial institution, mortgage banking, real estate, construction/surety, insurance and tax issues. Pepper is one of the few national firms with a significant bankruptcy practice in Wilmington, Delaware, often a forum of choice for bankruptcy filings of national significance.

Nixon Peabody expands its business litigation group; Eugene Bannigan, highly-experienced financial and commercial litigator, joins New York City office
New York, NY. Nixon Peabody LLP announces the expansion of its Business Litigation Group with the addition of Eugene F. Bannigan to its New York City office. Mr. Bannigan, the former head of the New York litigation department of Morgan Lewis (and before that head of the litigation department of Lord Day & Lord, Barrett Smith), is an accomplished litigator whose experience includes more than forty trials, as well as numerous arbitrations and appeals.

Mr. Bannigan’s practice focuses on business and corporate litigation, with a special emphasis on finance and insurance. He has represented major clients in both those industries in significant litigation in many different jurisdictions across the country. For example, he was lead defense counsel for Visa International in U.S.A. v. Visa, and represented a major Swiss insurance company in the In Re Insurance Antitrust Litigation in the Northern District of California. Mr. Bannigan has handled many securities fraud, contract, and workout cases for a major New York-headquartered national bank and leading London insurers.

He is also a member of the Disciplinary Committee of the Appellate Division, First Department of the New York Supreme Court.

Milbank Advises on US$150 Million Matahari Bond
The international law firm Milbank, Tweed, Hadley & McCloy LLP (“Milbank”) represented Indonesia’s biggest retailer PT Matahari Putra Prima Tbk (“PT Matahari”) in its recently closed US$150 million 9.75% Regulation S bond offering, the firm announced today. PT Matahari, the largest retailer in Indonesia, operating department stores, hypermarkets, supermarkets and specialty stores in 38 cities across the country, will use the funds for capital expenditure to expand its retail footprint.

“PT Matahari is one of Indonesia’s major retailers. The successful closing of this transaction indicates the market is regaining its appetite for quality high yield offerings after a slowdown in the last quarter,” said David Zemans, Milbank’s Singapore Managing Partner. Milbank’s team included London-based partner Tom Siebens and Singapore-based senior associate Giles Kennedy and associates Robert Clarke and David Gasperow.

UBS and Credit Suisse were joint bookrunners for the offering, with PT Ciptadana Capital as financial advisor.

Three New Associates Join Maynard Cooper & Gale, P.C.
Maynard, Cooper & Gale, P.C. is pleased to announce that Abigail Hood Avery, Lauren Copper DeMoss and Casey Collins Graves have joined the firm as associates. Avery joins the Labor and Employment group, DeMoss practices with the Employee Benefits & Executive Compensation group and Graves works in the Bankruptcy, Workouts and Creditors’ Rights group. With the addition of the 2006 fall class of associates, the firm now has a total of 160 attorneys.
Abigail Hood Avery has joined the firm’s Labor and Employment practice group. In May of this year, where she served as the Articles Editor of the Alabama Law Review. While in law school, Avery served on the John A. Campbell Moot Court Board and the Jessup International Moot Court Team; the team placed first in its regional competition and represented the South Central region in the international competition in Washington DC. She was also a member of the Bench and Bar Legal Honorary Society and Order of the Barristers. Before entering law school, In college, she was the president of Chi Omega sorority and a member of Phi Alpha Theta and Order of Omega honor societies. Lauren Copper DeMoss practices in the firm’s Employee Benefits & Executive Compensation group.
This past May she was on the Managing Board of the Alabama Law Review. While in law school, DeMoss was elected to Order of the Barristers, a member of the Bench & Bar Legal Honor Society, a Student Bar Association Senator, and a member of the John A. Campbell Moot Court Board. DeMoss received the Judge Walter P. Gerwin Best Brief Award and the Ruben L. Wright Best Oral Advocate Award during the final round of the Campbell Moot Court Competition. DeMoss was also a member of the Jessup International Moot Court Team. The team placed first in its regional competition and represented the South Central region in the international competition at Washington DC; DeMoss received a second place oral advocate award while at the regional competition. Prior to law school, she attended Rhodes College on a Presidential Scholarship. While at Rhodes College, DeMoss was the president of Chi Omega sorority, a member of Omicron Delta Epsilon and Order of Omega honor societies, and on the National Dean’s List. Casey Collins Graves has joined the firm’s Bankruptcy, Workouts and Creditors' Rights practice group.
Graves attended Samford University’s Cumberland School of Law, where she received her Juris Doctorate in 2006. While at the Cumberland School of Law, Graves was President of the Cumberland Student Bar Association and an Associate Editor of the Cumberland Law Review. She was also on the Dean’s List and selected as a Caruthers ellow. She was on the Dean’s List, a member of Phi Alpha Theta Honor Society, and a member of the Jenks Leadership Program while attending Boston College. Luce Forward Partner Nancy T. Scull Named One of the “Most Influential Women”by Real Estate Southern California Magazine
Nancy T. Scull, Partner in Luce Forward's Real Estate Practice Group, has been recognized by Real Estate Southern California Magazine as one of the region's "Most Influential Women" for 2006. This is the third consecutive year that Scull has been recognized by Real Estate Southern California as one of Southern California's "Most Influential Women."

Scull, who represents California's top developers, has worked on real property acquisitions and dispositions of $5 million to more than $100 million in transaction value. Recently, Scull has focused on urban projects, working on most of the major high-rise projects in Downtown San Diego as well as projects in Los Angeles, Santa Ana and other cities throughout California.

"Nancy's recognition by Real Estate Southern California for the last three years is a testament to her incredible work throughout the state," said Robert J. Bell, Luce Forward's Managing Partner. "I congratulate Nancy on this well deserved honor."

Scull frequently presents at the Pacific Coast Builders Conference, State Bar programs and participates in panel discussions on the challenge of high-rise and urban projects. King & Spalding Lawyers Richard Marooney and James Goldfarb Headline Webinar on Scheme Liability Under Federal Securities Laws
Richard T. Marooney, a partner in the New York business litigation practice of King & Spalding, a leading international law firm, and James K. Goldfarb, an associate in that practice, will present an online discussion on scheme liability under federal securities laws on Thursday, November 16, 2006. The e-seminar is sponsored by Andrews Publications, a Thomson West business.

Scheme liability is an increasingly frequent claim brought by investors seeking to recover damages from secondary actors, such as bankers and vendors, in shareholder suits against public companies.

In their program, Messrs. Marooney and Goldfarb will analyze the historic limitations on aiding and abetting liability imposed by the U.S. Supreme Court and how recent court decisions have expanded those boundaries and created conflict among the courts.

Topics of discussion will include the following:

(1) Scheme liability as an emerging theory of liability.
(2) The U.S. Supreme Court’s decision in Central Bank that restricted aiding and abetting liability.
(3) The foundation for scheme liability under Rule 10b-5(a) & (c) of the Securities Exchange Act.
(4) How scheme liability might apply to secondary actors such as bankers, suppliers, accountants, and lawyers of public companies in investor suits.
(5) Recent federal court decisions that have attempted to define the limits of scheme liability, and do so in a way that distinguishes between scheme liability (which might be actionable) and aiding and abetting liability (which is not actionable).
