Long-Time Schnader Partner Named General Counsel of School District of Philadelphia
Philadelphia, PA: Long-time Schnader Harrison Segal & Lewis LLP partner Sherry A. Swirsky was recently named general counsel for the School District of Philadelphia. This notable achievement is just the latest chapter in a long, distinguished career that has always included a focus on public service.

“Without question, we will miss Sherry – she was not just our partner, she was our friend and a talented and skilled attorney,” said Chairman Ralph Wellington. “But this is a wonderful opportunity for her, and we wish her the very best in her new endeavor – the School District could not have found a better candidate to serve as its general counsel.”

Ms. Swirsky – who was with Schnader for more than 28 years – has trial and appellate litigation experience in federal and state courts, as well as extensive experience with administrative agencies. Prior to this appointment, Ms. Swirsky served as the chair of the Firm’s Antitrust and Trade Regulation Practice Group. Her practice focused primarily on matters involving antitrust, class actions, corporate governance, health care, insurance, nonprofit corporations, securities, and election and campaign finance law. For many years, she has provided counsel on state election law and federal and state campaign finance law to numerous high profile political campaigns. She has also conducted corporate internal investigations and provided governmental affairs counseling.

In addition to her professional achievements, Ms. Swirsky currently serves as vice chair of the Board of Trustees of The Free Library of Philadelphia and as a member of the Board of Directors of The Free Library of Philadelphia Foundation.

Swirsky received her J.D. degree from New York University School of Law and her B.A., summa cum laude, from Colgate University.

Saul Ewing LLP is pleased to announce that Philadelphia insurance litigator Brian T. Guthrie has joined the Firm as Partner in the Litigation Department.

A Martindale- Hubbell “AV” rated attorney, Mr. Guthrie?s practice focuses on insurance litigation, including class actions, reinsurance, insurance coverage, bad faith, trade practices and antitrust. His practice also includes regulatory representation and compliance counseling.

“Brian has litigated matters involving all levels of insurance distribution,” said Managing Partner David S. Antzis. “There”s no doubt his 30 years of experience will complement and enhance our Insurance Practice. He’s a great addition to Saul Ewing.

“Mr. Guthrie has litigated matters involving disputes over underwriting authority, fraud, broker of record, dual agency, exclusive agency, preferred agency and commissions. He has significant experience representing claim departments and third-party administrators in coverage and badfaith and RICO. His compliance work includes counseling clients on Gramm-Leach-Bliley and implementing HIPAA privacy regulations. His reinsurance experience includes the representation of ceding companies and reinsurers and includes fronting programs and insurer insolvencies.

Mr. Guthrie served as Chief Counsel for Business Litigation at Cigna Corporation for 14 years.

He is admitted to practice before the U.S. Supreme Court, the U.S. Courts of Appeal for the First and Third Circuits, and the U.S. District Court for the Eastern District of Pennsylvania and the U.S. District Court for the Eastern District of Tennessee.

Mogel Comments on State Regulators' Influence on Mergers
William A. Mogel, Special Counsel in the Washington, D.C. office and Vice Chair of the Firm's Utility Practice Group, was quoted in this article about utility companies hoping for the approval of state regulators for mergers.

FPL Group Inc. abandoned its anticipated takeover of Constellation Energy Group Inc. after state regulatory issues complicated an electric industry deal for the second time in six weeks.

State regulators and politicians have implemented higher standards for proposed mergers and acquisitions, causing four of the nine largest proposed U.S. utility mergers announced over the past three years to be terminated.

"Some state regulators have not seen the benefits of mergers generally," Mr. Mogel said. "Utilities seeking state regulatory approval will have to go to those regulators and say: 'Look, this is going to produce lower rates and we're going to guarantee it.

Salans acts for A&D Pharma on first Romanian listing on the London Stock Exchange's main market
Salans' corporate team acted for A&D Pharma, the largest integrated pharmaceutical wholesale and retail business in Romania in relation to its admission to the Main Market of the London Stock Exchange.

A&D Pharma announced plans to become the first Romanian company listing on the London Stock Exchange earlier this year. The company owns Mediplus, Romania's leading wholesale pharmaceutical network and Sensiblu, the country's largest chain of pharmacies.

Salans, who have offices in Bucharest and London, and specialise in bringing companies from the emerging markets to the London markets, have been working closely with A&D Pharma on the move over the past few months.

Conditional trading in the Global Depositary Receipts (GDRs) commenced on the 19 October 2006, with closing and settlement of the offering on 24 October 2006. The listing raised EUR 120 million, giving the company a market valuation of EUR 400 million.

Preti Flaherty Attorney Accepts Clerkship with Supreme Court Justice Clarence Thomas
Preti Flaherty announced today that Patrick Strawbridge, an associate practicing with the firm’s Portland office, has accepted a highly competitive clerkship with Supreme Court Justice Clarence Thomas. Federal Court clerks are selected for their exceptional credentials, making this exciting news for both Patrick and Preti Flaherty. The one-year Supreme Court clerkship will begin in July 2008.

Patrick completed a one-year clerkship with the Honorable Howard Dana of the Supreme Judicial Court of Maine after law school. He then clerked for the Hon. Morris Sheppard Arnold of the U.S. Eighth Circuit Court of Appeals. He graduated in the top of his class at Creighton University School of Law in 2004.

Patrick practices with Preti Flaherty’s Litigation Practice Group and is admitted to practice in Maine and Connecticut. He resides in North Yarmouth, Maine.
