New Jersey Supreme Court Issues Landmark Civil Rights Ruling
On October 25, 2006, the New Jersey Supreme Court unanimously held that discrimination against gay and lesbian citizens with respect to the rights, privileges and obligations of marriage is contrary to the state's constitution. The Court ordered remedial action within the next 180 days that either opens the institution of marriage to same-sex couples or broadens the state's existing Domestic Partnership Act to include each and every right, privilege and obligation of marriage. Three of the seven justices would have ruled that the institution of marriage itself must be opened to all citizens, regardless of sexual orientation.

Simpson Thacher represented a number of civil rights groups, including the People for the American Way Foundation, Asian Equality, the Equality Federation, and the Vermont Freedom to Marry Task Force, as amici curiae in the appellate proceedings before the New Jersey Supreme Court. As part of a coordinated effort among numerous groups that supported the plaintiffs, the Firm's brief argued that if the Court ruled in plaintiffs' favor, the proper remedy would be an order granting full marriage rights. Although the three justices adopting that position were one vote short of a majority, the Court's unanimous opinion that gay and lesbian citizens may no longer be denied any right incident to marriage is a resounding victory in and of itself.

Simpson Thacher Represents Barr Pharmaceuticals in Tender Offer for Croatian Company
Simpson Thacher represents Barr Pharmaceuticals, a U.S. public company, who acquired over 95% of Pliva d.d., the largest company in Croatia. The purchase price is approximately $2.5 billion. Barr acquired Pliva after winning a takeover battle against Actavis. The transaction is the first known tender offer for a Croatian company. Simpson Thacher lawyers who worked on the transaction were Gary Horowitz, Gary Mandel, Ryerson Symons, Jay Ptashek, Adeeb Fadil, Noreen Lavan, Christine Symons, Harald Zeiter and Nentcho Nentchev and summer associates Drew Rabe, Aimee Siebert and Jennifer Marsh.

Lawyers' Committee for Civil Rights Under Law & Proskauer Rose Partner to Assist Ohio Voters
The Lawyers' Committee for Civil Rights Under Law, a nonpartisan, nonprofit organization that involves the private bar in providing legal services to address racial discrimination, and Proskauer Rose LLP, an international law firm with more than 700 lawyers in the United States and Europe, have joined forces with other law firms and voting rights groups as part of Election Protection - a program to protect the right of every eligible Ohio voter to cast a meaningful ballot and have that vote counted in the upcoming November 7 election.

As part of the Election Protection program in Ohio, an Election Day hotline - 866-OUR-VOTE - has been created to assist voters who have questions or problems at the polls. At any point during polling hours, Ohio voters can call this toll-free number and receive free assistance from trained volunteers. In addition to providing essential information such as where to vote, the hotline is set up to help address potential problems such as understanding Ohio's new voter I.D. requirements, how and where to cast a provisional ballot, problems associated with new voting machines, long lines for voters, and inaccurate information from poll workers faced with a barrage of new machines and rules.

""In past years it has been documented that large numbers of Americans, particularly those in minority communities, have been effectively disenfranchised through instances of intimidation at the polls, lack of voter education, inadequately trained poll workers, and voting machines that simply didn't work. This hotline is designed to circumvent those problems and educate voters about their rights,"" said Jonah Goldman, Director of the Lawyers' Committee National Campaign for Fair Elections.

""Every individual's right to vote is invaluable, and we are sponsoring this hotline to help protect that right in Ohio,"" said Scott Harshbarger, Chairman of Proskauer Rose's national Pro Bono Initiative and former Massachusetts Attorney General. ""This hotline will help to ensure that every eligible voter in Ohio has the opportunity to cast their ballot and make their vote count.""

The Ohio hotline is part of the nationwide Election Protection program, the country's most ambitious non-partisan program for preventing Election Day disenfranchisement.

Illinois Tool Works Acquires Click Commerce, Inc.
Click Commerce, Inc., a McDermott Will & Emery client, recently completed its acquisition by Illinois Tool Works Inc. (ITW). Under the definitive agreement and plan of merger, ITW acquired all of the outstanding common stock of Click Commerce for $22.75 per share via a tender offer and merger.

The McDermott team advising Click Commerce on this transaction was led by Chicago corporate partner Mark Harris and included Chicago lawyers John Bisbikis, Christopher Linn, Stephen Miller, William Pomierski, John Schetz, Jeremy Segal, Todd Solomon, Heidi Steele, Emily Sturges and Daniel Zucker. New York corporate lawyer Jeffrey Rothschild and Washington, D.C. antitrust lawyers Stefan Meisner and Carla Hine also assisted on the transaction.

University of Chicago Women’s Mentoring Program Reception Courtney M. Beemer
Jenner & Block will host a reception for members of the University of Chicago Women’s Mentoring Program on October 26 at the Firm’s Chicago office.

Associate Courtney M. Beemer, who serves as a mentor in the program, is helping to coordinate the event. Ms. Beemer received her J.D. from the University of Chicago in 2000.

The Women's Mentoring Program facilitates professional relationships by pairing first-year female law students with alumnae of the law school in the Chicago area. Participants develop the relationship through formally-arranged events such as receptions, breakfast discussions, and small group lunches, as well as one-on-one meetings and mock interview sessions.

Firm Again Partners with Illinois CPA Society to Provide Educational Seminars
For the third year in a row, Jenner & Block is partnering with the Illinois CPA Society (ICPAS) to present a series of engaging seminars for CPAs seeking to learn the latest trends in mergers and acquisitions, the professional services industry, ethics, and crisis management.

This year’s series commenced on September 26 at the Mergers & Acquisition Conference, held at the UBS Tower in Chicago. Jenner & Block Partners Mark K. Thomas participated in a panel discussing the future of the lending markets and Thaddeus J. Malik discussed ""papering the M&A deal.""

On October 31, Jenner & Block Managing Partner Gregory S. Gallopoulos, along with PricewaterhouseCoopers Partner-In-Charge Dennis Bartolucci, will present a Webcast entitled “Best Practices in Professional Services Firm Management.” The webcast will address topics including industry trends, the importance of strategy and focus, factors that impact a firm’s bottom line, and how management, planning and professional vales can drive profits.

Jenner & Block Partner James P. Fieweger will then participate in the ICPAS Fraud Conference, to be held in Chicago on November 7 at the Standard Club. At the conference, which will educate financial professionals on the latest strategies for dealing with fraud, Mr. Fieweger will speak on the Foreign Corrupt Practices Act.

The series will conclude on November 17 at the ICPAS Governance and Internal Controls Conference. At this event, also to be held in Chicago at the Standard Club, Partner Thomas A. Monson will discuss disclosure and Partner Brent E. Kidwell will examine how Sarbanes-Oxley and recent court decisions will affect document retention policies.

ICPAS is one of the largest CPA Societies in the nation, providing educational programs and informational resources to its 34,000 members. The organization also leads the Center for Corporate Financial Leadership (CCFL), a consortium of state CPA Societies across Illinois, Indiana, Kentucky, Michigan, Minnesota, Missouri and Wisconsin, whose members will also have access to these events.
