Jerry Schwartz to Speak at Bowne of Detroit's SEC Issues Update Seminar
Dickinson Wright attorney Jerome M. Schwartz will speak at the "SEC Issues Update Seminar" sponsored by Bowne of Detroit. The seminar will be held on October 26, 2006 at the Detroit Athletic Club.

This seminar will cover developments in executive compensation disclosures, share based compensation, recent developments in mergers and acquisitions and the SEC's XBRL Initiative.

Mr. Schwartz has over 25 years experience practicing corporate and securities law. He has extensive experience advising public and private companies, directors, officers, shareholders, and special committees of boards of directors. Mr. Schwartz has represented a number of clients from organization through initial public offering, stock exchange listing, and ongoing public company reporting and compliance. His experience includes many registered public offerings, private placements, bank and venture capital financings, and assisting clients with matters relating to corporate governance, shareholder meetings, insider trading, and mergers and acquisitions.

Mr. Schwartz has participated as a speaker in a number of securities law programs and has published articles on topics relating to securities law and board service. He was selected for inclusion in Michigan Super Lawyers 2006.

Mark High Elected Chair of Business Law Section of the State Bar of Michigan
Dickinson Wright PLLC Attorney Mark High has been elected Chair of the Business Law Section of the State Bar of Michigan. High practices corporate, mergers and acquisitions, corporate governance and international law out of the Firm’s Detroit office.

The Business Law Section is one of the largest and most diverse sections within the Michigan State Bar and is instrumental in keeping Michigan's business laws up to date. The Section's mission is to provide education, information and analysis about business issues through meetings, seminars and public service programs. The Section also publishes the Michigan Business Law Journal.

In addition to his State Bar activities, High is Co-Chair of the Corporate and Securities Committee of the U.S. Law Firm Group and a member of the Board of Directors, Detroit Wine Organization. He received a Bachelor of Arts degree from The College of Wooster, Ohio after studying abroad a year at the University of Manchester, England. He earned his J.D. from Duke University School of Law.

Weil Gotshal Advises Companhia Siderurgica Nacional on its Agreement and Plan of Merger with Wheeling-Pittsburgh Corporation
Weil, Gotshal & Manges LLP, the international law firm, advised Companhia Siderurgica Nacional (“CSN”) (NYSE: SID), the Brazil-based global steel producer on its agreement and plan of merger with US steel manufacturer Wheeling-Pittsburgh Corporation (“Wheeling-Pittsburgh”) (NASDAQ: WPSC).

Under the agreement, the existing Wheeling-Pittsburgh and CSN’s operating subsidiary in Terre Haute, Indiana will become wholly owned subsidiaries of a holding company, which intends to be listed on the US stock exchange. In addition to the modern steel processing facility in Terre Haute, CSN will provide exclusive US and Canadian rights for CSN’s flat-rolled steel products and commit to a ten-year slab supply agreement that will provide a long-term supply of high-quality slabs on favorable payment terms. CSN will also contribute $225 million in cash through the issuance by the holding company of a convertible debt security that can be converted into equity in three years. Wheeling-Pittsburgh’s current shareholders will receive 50.5% of the holding company. The remaining 49.5% will be held by CSN, which may increase its ownership to 64% upon conversion of the $225 million note.

CSN is a leading global steel producer with operations in Latin America, North America, and Europe. CSN is a fully integrated steel producer and the largest coated steel producer in Brazil. CSN has had operations in the United States since 2001 through its wholly owned subsidiary Companhia Siderurgica Nacional, LLC (formerly known as Heartland Steel) located at Terre Haute, Indiana. CSN shares are traded on the Sao Paolo (BOVESPA) and New York (NYSE) stock exchanges.

Wheeling-Pittsburgh was organized as a Delaware corporation on June 27, 1920 under the name “Wheeling Steel Corporation.” Its headquarters are located in Wheeling, WV, with major production facilities in the Upper Ohio and Monongahela valleys. Wheeling-Pittsburgh is a holding company that, together with its several subsidiaries and joint ventures, produces steel and steel products using both integrated and electric arc furnace technology.

Firm Helps Biotech Company Secure $14.5 million in Financing
Bryan Cave LLP St. Louis Partners Powell Carman and Rob Endicott recently helped Efficas Inc., a Boulder-based health science and technology development company, secure $14.5 million in Series B financing. This brings the total investment in the company since its founding in 2003 to $23 million.

LSP BioVentures Inc. of Cambridge, Mass., led the Series B round. Unilever Technology Ventures joins LSP as a new investor. Returning Series A investors Burrill and Company, Great Spirit Ventures, JP Morgan Bay Area Equity Fund and Prolog Ventures also participated in this new round of financing.

Efficas focuses on developing science-based products for the nutritional management of the immune system, both for humans and pets. The company’s first products, introduced earlier this year, include the Efficas™ Care line of medical foods that function as ""leukotriene inhibitors"" for the dietary management of allergic conditions such as asthma, eczema and allergies. The Series B round investment funds will be used for further development and commercialization of Efficas’ pipeline of bioactive compounds.

Working with Carman and Endicott were Associate Nicole Willis from the DC office and St. Louis Associates Brad Wideman, Sara Holtsman and James Surber.

Barclays Capital, the investment banking arm of Barclays Bank plc, announced the acquisition Wednesday, Oct. 25, of a 40% share in energy industry private equity investor NGP Energy Capital Management, or NGP, for an undisclosed price.

The deal, which aims to expand NGP's global network of investors, is Barclays Capital's first principal investment in North America.
