Lane Powell's Team Scores Victory for Security Business
If not for the efforts of a team of Lane Powell attorneys headed by Glenn J. Amster, a real estate and land use attorney, a 25-year-old security services business would have been shut down.

Articles in the October 2006 issues of Peninsula Daily News and the Port Townsend Leader report that Lane Powell prevailed in a land use appeal on behalf of Security Services Northwest ("SSNW") to reinstate its security services business. Previous rulings with regard to Jefferson County zoning laws ordered operations to close, citing its violation of current zoning laws.

As Amster said, "As far as we're concerned, we're back in business."

SSNW has conducted its security services business and related firearms and other security training at its facilities on Discovery Bay, Washington, since 1988. These operations were ordered shut down by the County and remained closed after a hearing examiner ruled against SSNW in its challenge to the County's orders. In the appeal, Amster argued that SSNW should be allowed to operate as it did before County zoning laws took effect in 1992. The superior court judge agreed.

Amster said, "We're obviously pleased that the judge recognized that Security Services has been in business and was in business long before the county had a zoning code.

Covington Catholic's John L. Muething Scholarship Fund
Earlier this fall, an anonymous donor established a $25,000 John L. Muething Scholarship Fund at Covington Catholic High School. Upon hearing of the scholarship fund, the Muething family donated an additional $20,000, and Keating Muething & Klekamp (KMK) contributed an additional $5,000. The $50,000 scholarship fund will help pay tuition for students who could not otherwise afford to attend the private school.

Mr. John L. Muething, co-founder and senior partner of KMK, is a 1939 graduate of Covington Catholic High School. His practice at KMK focuses on general corporate matters, real estate, and litigation management. He recently served as a member and President of the Cincinnati Board of Education and is involved in numerous charitable and philanthropic organizations.

Katten Muchin Rosenman’s Women’s Leadership Forum Sponsors “24 Hour Plays on Broadway”
Katten Muchin Rosenman LLP is pleased to have sponsored the sixth annual performance of “The 24 Hour Plays on Broadway.” The event, held October 23 in New York City, benefited not-for-profit cultural organization, Working Playground, and featured six brand-new plays which were written, cast, rehearsed and performed in a single day by a group of 24 renowned theatre and film luminaries. This year’s cast included Jennifer Aniston, Rachel Dratch, Liev Schreiber, Juliana Marguiles, Rosie Perez and Nia Vardalos.

Hunton & Williams Assists Progress Energy in $1.16B Transaction
Hunton & Williams LLP announced its participation in Progress Energy Inc.’s closing of the $1.16 billion sale of Winchester Energy Co. to EXCO Resources Inc., an oil and gas explorer and producer. William M. Flynn, partner with Hunton & Williams Raleigh office, served as lead legal counsel for Progress Energy in the transaction.

Progress Energy (NYSE:PGN), a Fortune 250 diversified energy company, sold its holdings in Winchester Production Company, Westchester Gas Company, Texas Gas Gathering and Talco Midstream Assets. Specific assets include more than 325 Bcfe of proved natural gas reserves, more than 500 producing wells and more than 350 miles of pipelines and gathering lines and other related assets, all located in east Texas and Louisiana.


“Transactions of this size and nature are quite complex and we are proud of our team’s contribu­tions,” said William S. Patterson, managing partner of the Hunton & Williams Raleigh office. “The teamwork between our Raleigh and Dallas offices was instrumental to the success of the transaction and demonstrates the high level of legal counsel that Hunton & Williams provides its clients.”


Bill Flynn has more than 30 years of experience in handling large transactions on a national and international level. His practice focuses on corporate and commercial law and complex transactions including mergers and acquisitions, joint ventures, commercial finance and secured lending, closely held company governance and succession-liquidation transactions and related matters.


Flynn was assisted by Christopher R. Stambaugh, an associate in the Raleigh office, as well as these lawyers from the firm’s Dallas office: partner Mark R. Wasem and associates Barry D. Thomas, Amanda G. Frazier and Benjamin J. Moffitt.

Dell Class-Action Settlement Approved
Settlement was approved today by a Tacoma, Washington federal court in the class-action lawsuit against Dell, Inc., Dell Financial Services, L.P., and CIT Bank.

According to the settlement, defendants will pay $17 million to resolve claims by customers who financed their computers and related services through Dell Financial Services. The company also agreed to adjust their sales and financing practices. Consumers nationwide allege that the defendants' practices caused them unnecessary finance charges and late fees.

Counsel for the plaintiffs include Hagens Berman Sobol Shapiro LLP, Lerach Coughlin Stoia Geller Rudman & Robbins, LLP, Mehri & Skalet, PLLC, Seeger Weiss LLP, Trial Lawyers for Public Justice, and the Law Office of Jeffrey Keller.

Freshfields advises private equity owners on £1.6bn sale of United Biscuits
International law firm Freshfields Bruckhaus Deringer has advised the private equity owners of United Biscuits, a leading European manufacturer of biscuits and snacks, on its sale to The Blackstone Group and PAI Partners for £1.6bn. PAI Partners, one of the original private equity owners, has rolled over its interest. The two disposing shareholders also advised by Freshfields are Cinven and MidOcean.

Freshfields also advised PAI, Cinven and MidOcean on the sale United Biscuits' Iberian division to Kraft in July. United Biscuits' brands include McVities, Jacob's, Twiglets and McCoy's.

The Freshfields Bruckhaus Deringer team was led by corporate partner David Higgins, assisted by partner Farah Ispahani and senior associate Damien Hill.
