Increased Risk of Personal Liability for Directors
It has now been made easier for the tax and the social security administrations to recover unpaid taxes (income tax on wages and VAT) and unpaid social security contributions owed by companies.

Once there is a repeated failure to pay taxes, the tax administration may decide to recover the unpaid amount directly from certain directors without having to prove a fault in management.

If a company goes bankrupt, the social security administration may, in certain cases, sue the directors to recover the unpaid amounts from them personally.

If the failure to pay the social security contributions is repeated and the company does not cooperate with the social security administration's assessment of whether the company will be able to pay the outstanding social security contributions, the social security administration may decide to recover the unpaid amount from the directors themselves.

Bradley Arant Rose & White LLP partner David W. Clark has been elected the State Delegate for Mississippi to the American Bar Association (ABA) House of Delegates. Each state has one State Delegate. Established in 1936, the House of Delegates is the policy-making body of the ABA. The Delegates meet twice each year at ABA Annual and Midyear Meetings. The control and administration of the ABA is vested in the House of Delegates. Action taken by the House of Delegates on specific issues becomes official ABA policy.

Kaye Scholer Helps Recruit Legal Aid Volunteers
The October 27 edition of the New York Law Journal featured an article on a Legal Aid Society event held at Kaye Scholer. Some 50 lawyers from various firms attended an informational session to hear Legal Aid staff members describe the opportunities for lawyers who are prepared to make a sustained commitment to pro bono. While the project is aimed principally at "senior" lawyers, including those in transition or recently retired, it is open to any lawyer who is willing to devote a day or more per week to representing those who cannot afford to pay for legal services. The program was hosted by David Klingsberg, Special Counsel/Litigation, as a Director of the Legal Aid Society, and attended by several Kaye Scholer partners and counsel who expressed interest in the program.
