Jones Day Advises Rhodia on the Sale of its Silicone Business
The international law firm Jones Day is advising the listed French specialty chemicals group, Rhodia, in connection with the signature of an agreement for the sale of its Silicones business to China National BlueStar Corporation, a large-scale state-owned enterprise and a specialized subsidiary of ChemChina Group Corporation.

Rhodia announced the signature of the agreement today. French President Jacques Chirac and President of the People’s Republic of China Hu Jintao were in attendance at the signing ceremony.

Rhodia's Silicones business, which is situated mainly in Europe, generated sales of EUR 417m in 2005 and has a total of 1,200 employees. This transaction is based on an enterprise value of EUR 400m representing a multiple of slightly more than 7 times 2005 recurring EBITDA. The closing is expected in the next few months.

The Jones Day team was comprised of a multidisciplinary and international network consisting of numerous practices and offices. The team was led by Sophie Hagège, and included Wesley R. Johnson, Jr., Sonia de Kondserovsky, Naïma Zitouni, Virginie Julien, Audrey Bontemps and Olivier de Taffin (M&A); Vincent Agulhon and Nathalie Sénéchault (Tax); Emmanuelle Rivez-Domont and Jean-Michel Bobillo (Labor & Employment); Catherine Muyl and Emmanuel Adda (Intellectual Property), Françoise Labrousse (Environment, Health & Safety) ; Olivier Cavézian and Charles de Navacelle (Antitrust) in the Paris Office. Additional teams from the Firm’s Hong Kong, Shanghai, Beijing, London, Madrid, Milan, Frankfurt, and New York offices were also involved.

Rhodia’s in-house team was composed of Yves Boisdron, Michel Ybert , Jean-Pierre Labroue, and Ghislaine Bouillet.Rhodia’s financial advisor was Credit Suisse (James Janoskey).

China National Bluestar Co. was advised by the law firm Skadden Arps (Xiao Jiang (Corporate) in Hong Kong and Christopher L. Baker (M&A) and Cassandre Mariton (Corporate) in Paris).

Firm Advises Special Committee in $1.06 Billion Management Buyout Proposal For Universal American
On October 25, specialty health and life insurance holding company American Financial Corp. announced that its Board of Directors has received a proposal from members of management, led by Chairman and CEO Richard A. Barasch, and private equity firms Capital Z Partners, Ltd.; Lee Equity Partners, LLC; Perry Capital, LLC; and Welsh, Carson, Anderson & Stowe X, L.P. to acquire all of Universal American’s publicly held common stock for $18.15 per share in cash. The Board has established a four-member Special Committee, represented by Willkie, to review and evaluate the proposal. The deal values the entire company at $1.06 billion and the stake not held by the buyout group at $552 million. Through its family of companies, Universal American offers a broad array of health insurance and managed care products and services, primarily to the growing senior population. Partners Richard Posen and Michael Schwartz, and associate Adam Shulman are advising the Special Committee in its review of the proposal.

Stuart Finkelstein Addresses Private Equity M&A Conference
New York tax partner Stuart Finkelstein recently spoke at the Private Equity M&A Conference produced by and held in Minneapolis on October 26-27. The conference examined what to expect when looking for debt financing, how the current private equity market is driving terms in the sellers’ favor, recent developments with financing contingencies in private equity M&A, how to manage conflicting interests in a private equity deal, when an M&A auction is the best way to sell a company, differences in structuring minority equity investments and more. Mr. Finkelstein sat on two panels, one dealing with structuring transactions and another on compensating management.

Paul Vitrano Featured on The Legal Perspective Radio Show
Paul Vitrano was a guest on the radio show "The Legal Perspective" for Special Counsel on WGMS 104.1 FM in Washington, DC. The three-part series aired on October 23, 25, and 27, 2006. On the three shows, Mr. Vitrano discussed Electronic Data Discovery in today's legal market.

Two Odin, Feldman & Pittleman Attorneys Elevated to Principal
Odin, Feldman & Pittleman is pleased to announce that David M. Zangrilli, Jr. and John Patrick Sherry have been elevated to principal.

Zangrilli is a member of the firm’s Family Law & Domestic Relations practice group. He represents clients on family law issues in courts throughout Virginia including the Northern Virginia counties of Arlington, Fairfax, Loudoun and Prince William and the city of Alexandria.

Sherry is a member of the firm’s Litigation practice group. As a trial attorney, his practice is devoted exclusively to civil litigation in the state and federal courts. He handles commercial, construction, real estate, employment and consumer litigation matters in Virginia and Maryland.

Nexsen Pruet Honored by S.C. Bar Foundation for Lifetime "Philanthropic Leadership"
The South Carolina Bar Foundation passed a resolution honoring Nexsen Pruet for its “unwavering dedication” and “philanthropic leadership” in support of the Foundation’s efforts to promote justice and enhance the legal profession.

The Foundation also recognized Julian J. Nexsen, a founding partner of the law firm, for his contributions. Mr. Nexsen helped create and organize the South Carolina Bar Foundation. He was cited for his lifetime pledge of support.

Nexsen Pruet was cited for its contributions to the Foundation’s Justice Legacy and for its demonstration of the “importance of professionalism” through creation of the Wilburn Brewer Jr. Memorial Professionalism Fund.”

Wilburn Brewer, who passed away in 2003, is a former president of the SC Bar and was a statewide leader in promoting ethics and professionalism in the profession. He was a partner and member of the executive board of Nexsen Pruet.

Mike Blake to Speak on "Like-Kind" Property Exchanges
T. Michael Blake, an attorney with the law firm of McAfee & Taft, will be a featured speaker at the National Business Institute’s upcoming “Essentials of Section 1031 Exchanges” seminar scheduled for November 7th at the Embassy Suites hotel in Oklahoma City. The one-day seminar is designed to provide accountants, attorneys, real estate professionals, financial planners, bankers and contractors with a higher level of understanding regarding “like-kind” property exchanges allowed by the Internal Revenue Service under Code Section 1031.

Blake, whose legal practice encompasses the areas of tax law, mergers and acquisitions, corporate law and estate planning, frequently structures tax-deferred (Section 1031) exchanges of property, including real estate, oil and gas interests and aircraft. In addition to structuring forward like-kind exchanges, he has also structured numerous reverse and “build-to-suit” exchanges. His particular expertise in this area has resulted in him being a frequent lecturer on the topic.
