Royalty Pharma Purchases Rights to Pre-existing Royalty Interest in HUMIRA®
In the largest pharmaceutical royalty deal on record, Royalty Pharma announced it has completed the purchase of the rights to a pre-existing royalty interest in HUMIRA® currently held by AstraZeneca plc's subsidiary, Cambridge Antibody Technology Limited (CAT). AstraZeneca will receive $700 million in cash for the sale, subject to adjustment for all royalty amounts accrued for and received by CAT since January 1, 2006. Following this transaction, Royalty Pharma will receive royalty revenue formerly payable to CAT based on all future sales of HUMIRA®. Royalty Pharma is the industry leader in acquiring revenue-producing intellectual property -- principally royalty interests in marketed and late stage biopharmaceutical products.

ABA Honors Paul Lee of Goodwin Procter with Spirit of Excellence Award
The American Bar Association (ABA) Commission on Racial and Ethnic Diversity in the Profession will award Goodwin Procter’s Paul Lee with its prestigious “Spirit of Excellence Award,” which celebrates the accomplishments of lawyers who work to promote a more racially and ethnically diverse legal profession.

Lee, partner in the firm’s Private Equity and Securities & Corporate Finance practices, was nominated for this honor by the National Asian Pacific American Bar Association (NAPABA) in recognition of his longstanding work in promoting diversity at Goodwin Procter, in his local community and nationally at the ABA and NAPABA.

Lee has been very active with NAPABA, serving on its Board for five years and as its President in 1995. In addition, his extraordinary depth of commitment to opening doors for racially and ethnically diverse lawyers is exemplified by his endowment of $100,000 to the NAPABA Partners’ Community Law Fellowship with the NAPABA Law Foundation. The Community Law Fellowship was established at Lee’s suggestion in 2004 to enable committed attorneys to pursue careers in service of Asian Pacific American populations by providing much needed entry-level positions for recent law school graduates interested in public service work. Moreover, Lee founded and was the first president of the Asian American Lawyers Association of Massachusetts in 1983.

“Paul Lee’s leadership in the Asian American Lawyers Association of Massachusetts and NAPABA helped these two groups develop a viable national voice on the important issues of diversity,” said Regina M. Pisa, chairman and managing partner at Goodwin Procter. “His dedication in promoting diversity within the legal profession reflects Goodwin Procter’s strong commitment in this area and we are extremely proud of him. Paul continues to be active in our firm’s Diversity Committee and was instrumental in the development of the Goodwin Diversity Fellowships, which provide annual stipends to minority law students to help them defray the cost of their legal education.”

Lee was born in Boston, growing up in the city’s Chinatown, where his parents worked in restaurants and garment factories. His family later moved to Brookline, Mass. where he attended Brookline High School. In 1968, he enrolled in Columbia University and earned a degree in Electrical Engineering and Computer Science. After working briefly as a computer programmer, he decided to change careers and enrolled in Cornell University Law School, where he was an editor of the Cornell International Law Journal. He strongly believed that, among other benefits, pursuing a law degree would allow him the opportunity to contribute to the Asian community.

Lee concentrates his practice on corporate and securities law and represents high technology and financial services companies. He advises boards of directors and represents large and small public and privately held companies in connection with business, securities, governance and transactional matters. He also advises high technology ventures regarding their organization, seed and venture capital financings, IPOs and licensing issues.

Richardson, Former Chief Justice Hawaii Supreme Court and in residence, William S. Richardson School of Law at the University of Hawaii; and Thomas A. Mars (Corporate Award), Chairman, ABA Minority Counsel Program Steering Committee and Senior Vice President & General Counsel at Wal-Mart Stores Inc.

Heilbronner Honored With NYSARC Award
Warren Heilbronner, Of Counsel to Boylan Brown, was awarded the 2006 Robert Hodgson/Augustus Jacobs Law Award by NYSARC, Inc. NYSARC is the largest not-for-profit organization in New York State that serves persons with disabilities, with 70,000 members. The award is given to one attorney each year in the State who has demonstrated a sincere interest in, and commitment to, the area of Disability Law. Congratulations Warren!

Ashurst advised Charterhouse in relation to the sale of TDF to Texas Pacific Group and AXA Private Equity
Ashurst advised funds managed by Charterhouse in relation to the €4.9 billion sale to Texas Pacific Group and Axa Private Equity of Tower Participations SAS, holding company of TDF SA. Charterhouse and Caisse des Dépôts et Consignations will reinvest up to 14 per cent and 24 per cent of the capital in the acquisition vehicle respectively. Texas Pacific Group and Axa Private Equity now hold 42 per cent and 18 per cent of the capital respectively.

Since 2002 Ashurst has been involved in various stages of TDF's development:

December 2002 - advising funds managed by Charterhouse, CDC Entreprises Equity Capital and Caisse des Dépôts et Consignations in relation to the acquisition (64%) of TDF from France Telecom.
December 2004 - advising TDF on the €90 million disposal of its cable activities to Cinven and Altice.
January 2005 - advising funds managed by Charterhouse, CDC Entreprises Equity Capital and Caisse des Dépôts et Consignations in relation to the €400 million acquisition of the remaining 36 per cent interest held by France Telecom in TDF.
March 2005 - advising TDF in relation to the €2.2 billion refinancing of its debt.

TDF's development is representative of the transactions Ashurst advises on. The acquisition of TDF from France Telecom in 2002 was one of first four €1 billion-plus leveraged buy-outs in France that year, and the refinancing of TDF's debt in March 2005 was the most significant refinancing ever to have been carried out in France at the time.

In addition, Ashurst has advised Charterhouse on all four transactions it has carried out in France in 2006:

July 2006 - Acquisition of Fives-Lille from Barclays Private Equity.
June 2006 - HBI's successful €1.8 billion takeover bid for French catering company Elior.
March 2006 - Sale of Cegelec to LBO France.
March 2006 - Acquisition of Nocibé from Bridgepoint.

Ashurst advised JPMorgan Cazenove in relation to the AIM listing of Lamprell
Ashurst advised JPMorgan Cazenove Limited in relation to the admission of the entire share capital of Lamprell plc to trading on AIM. JPMorgan Cazenove Limited acted as nominated adviser to Lamprell on the offer of 117,679,216 existing ordinary shares in Lamprell at an offer price of 195 pence per share, and admission of 200 million ordinary shares to trading on AIM.

The offer price values the UAE-based oil services group at approximately £390 million.

The Ashurst corporate team comprised partners Nick Bryans and Adrian Clark, US counsel Marie Elena Angulo and associate James Broadhurst. Ashurst Dubai partner Paul de Cordova with associate Mhairi Garcia, as well as employee incentives associate Angelina Cheng and environmental associate Emma Cockerton also advised.

Ashurst advised DES Holding on the acquisition of EDF Capital-Investissement
Ashurst advised DES Holding, owned by funds advised by Arcis Finance, on the acquisition of EDF Capital-Investissement from EDF for an undisclosed sum.

Arcis specialises in the purchase of portfolios of positions in private equity funds and portfolios of positions in private companies from investors seeking liquidity. EDF Capital-Investissement is the private equity arm of the Electricité de France group.

The Ashurst team was led by Paris corporate partner Frédéric Pinet, assisted by Audrey Girard and Daniela Kotzeva. Partner Catherine Charpentier and Priscilla Puymirat advised on tax aspects. Alexandre Jaurett and Guila Djian also advised on the transaction.
Lovells (Alexis Terray) advised EDF.

Prominent arbitration attorney Louis B. Kimmelman joins Allen & Overy New York
Allen & Overy LLP announced today that leading international arbitration attorney Louis B. “Benno” Kimmelman has joined the firm’s Litigation Practice Group as a partner in the New York office.

Mr. Kimmelman, 55, comes to the firm from O’Melveny & Myers LLP, where he served as partner and Co-Chair of the firm’s International Arbitration Practice. His work focuses on the arbitration and litigation of a broad range of complex commercial and construction disputes. He regularly represents U.S. and foreign parties, along with sovereign entities, in international disputes before arbitral tribunals and state and federal courts.

These disputes have involved issues such as the jurisdiction of U.S. courts, the doctrine of forum non conveniens, anti-suit injunctions, forum selection and choice-of-law clauses, the extraterritorial application of U.S. law, sovereign immunity, discovery in the international context, and the enforceability of arbitration agreements and arbitration awards. Mr. Kimmelman has appeared before the International Court of Arbitration of the International Chamber of Commerce, the American Arbitration Association, the Kuala Lumpur Regional Center for Arbitration, and other international and domestic arbitration bodies.

“Benno is held in high esteem by his peers and clients both in New York and internationally and we are elated to welcome him to Allen & Overy,” said Michael S.
