Thelen Reid & Priest LLP and Brown Raysman Millstein Felder & Steiner LLP to Merge
Thelen Reid & Priest LLP, a national leader in construction, energy, and project finance, and Brown Raysman Millstein Felder & Steiner LLP, a pioneer in technology law and a firm with one of the country's premier real estate finance practices, have agreed to merge, forming a firm with more than 615 lawyers. The name of the combined firm will be Thelen Reid Brown Raysman & Steiner LLP, and the merger will take effect December 1, 2006.

The merger will combine Thelen Reid's unparalleled reputation in such traditional areas as construction, energy, and litigation with Brown Raysman's nationally recognized practices in technology, outsourcing, intellectual property, e-commerce, media, and communications. The merger will also provide clients with access to a broad base of integrated services, including the combination of Thelen Reid's leading finance practices in the areas of energy, infrastructure, and project finance, together with Brown Raysman's real estate finance practice, which closed $25 billion in loans in the past several years for leading Wall Street financial institutions, money center banks, and hedge funds.

The combined firm will rank in the top 50 on the Am Law 100 and have a national footprint, with offices in major markets of the United States. The firm will have a total of eight offices-seven in the United States and a recently opened office in Shanghai-and a well-balanced national platform with 242 attorneys in California and 371 lawyers on the East Coast, including 255 in New York.

The management structure of the new firm will include an Office of the Chair. Stephen V. O'Neal and Julian S. Millstein will serve as Co-Chairs, and Thomas E. Hill will become Managing Partner of Operations.

"I can't imagine a better fit," said Thelen Reid Chairman Stephen V. O'Neal. "While Brown Raysman has an excellent reputation as a leading technology, intellectual property, media and communications firm, what is less known is that Brown Raysman also has one of the premier real estate finance practices in the country, which complements our strengths in myriad ways."

Brown Raysman's Julian S. Millstein, a founder of the firm, said joining with Thelen Reid will create a new firm that is well-positioned for further expansion. "This combination gives us the presence we have wanted on the West Coast and in Asia for our technology, media, and IP practices, and the platform we need to service and grow our real estate finance practice.

Bernard Taylor Inducted into American College of Trial Lawyers
On September 15, Bernard Taylor was inducted as a Fellow into the American College of Trial Lawyers at a ceremony in London, England. He joins Alston & Bird attorneys Jud Graves, Neal Batson, Ron Reid, Sidney Smith and Charlie Park as a Fellow in the College. The College is comprised of trial lawyers who have mastered the art of advocacy and whose professional careers have been marked by the highest standard of ethical conduct, professionalism, civility and collegiality. Among those inducted with Bernard was United States Supreme Court Chief Justice John Roberts.

Bernard was bestowed the honor of "Responding to the Charge" on behalf of this year’s class of more than 80 trial lawyers. The official “Charge” is given by a tenured Fellow and is followed by the response, which is considered the acceptance speech for all inductees. In his speech Bernard spoke about the love and joy his work bring to him, “We all know that when we look into our hearts we are forced to admit that we are trial lawyers because we love it. We love it because our work brings us great joy…. There is certainly the joy of winning for our clients. The joy of being an able advocate for the downtrodden. The joy of mentoring others. The joy of sharing the benefits of our good fortune.

HIGH-END HOSPITALITY: SQUIRE SANDERS REPRESENTS CEDAR CAPITAL PARTNERS IN LUXURY HOTEL PURCHASE IN PRAGUE
Global law firm Squire, Sanders & Dempsey L.L.P. successfully represented Cedar Capital Partners, LLC in a multi-million Euro acquisition of the newly opened Mandarin Oriental Hotel in Prague. Cedar acquired the hotel, along with one of its institutional investors, in a transaction announced Oct. 26.

“Prague is a hub of high-end hotel development, making this a key acquisition for our client,” said Squire Sanders partner Daniel E. Larkin, co-leader of the European real estate practice. It is estimated that the luxury hotel market in Prague will see nearly €200 million in investment this year. The Mandarin Oriental, Prague, is a hotel with unique grandeur. Originally a 14th century Dominican monastery, the architecturally stunning and newly renovated hotel is one of several luxury facilities either opening or under development in the Czech Republic’s capital city.

Larkin said the hospitality market mirrors the Czech Republic’s extraordinarily strong real estate market. In 2005, real estate transactions in the Czech Republic in which Squire Sanders lawyers were involved totaled more than €1 billion.

“The real estate market in the Czech Republic and throughout Eastern Europe shows no signs of slowing and we are pleased to be able to help our clients make the most of the opportunities available in this vibrant marketplace,” Larkin said.

Jones Day London Advising Dresdner on £1.62bn offer for Viridian PLC
The London Mergers & Aquisitions and Finance practices are advising Dresdner Kleinwort Limited and Dresdner Bank AG, London branch, on ElectricInvest’s £1.62 billion offer for the Northern Ireland utility company Viridian PLC.

Jones Day’s London M&A team is advising Dresdner Kleinwort Limited in connection with the recommended £1.62 billion cash offer by ElectricInvest Acquisitions Limited for Viridian Group plc, the Irish energy business that owns Northern Ireland Electricity (NIE), Energia, Huntstown Power Station and Powerteam. The offer was announced on 6 October and posted to Viridian shareholders on 27 October.

The London finance team is also advising Dresdner Kleinwort Limited, as Mandated Lead Arranger, and Dresdner Bank AG, London branch, in connection with the acquisition finance facilities to be made available in connection with the offer.

The offer will be made on the basis of £13.25 in cash per share. Viridian shareholders will also be entitled to receive an interim dividend of 11p per share. A guaranteed loan note alternative will also be made available.

ElectricInvest is beneficially owned by Arcapita Bank, an international investment firm based in Bahrain with offices in London and Atlanta.

Michael J. Hanlon Joins Board of Leading Healthcare Provider
Blank Rome LLP is pleased to announce that Michael J. Hanlon has been named to the Board of Directors of the Crozer-Keystone Health System. Based in Blank Rome’s Philadelphia office, Mr. Hanlon serves as the Firm’s Employment, Labor, and Benefits Practice Group Leader.

The Board of Directors is comprised of 21 members and is responsible for the overall strategic direction of the Crozer-Keystone Health System. Its membership includes representatives from the business community, clinical staff and various professionals.

At Blank Rome, Mr. Hanlon counsels large publicly traded corporations, government entities, and other employers in all areas of employment law. In addition, Mr. Hanlon provides guidance on matters of traditional labor law, union avoidance and acting as chief negotiator in collective bargaining. Mr. Hanlon’s practice also includes litigation before courts and various federal and state agencies on matters involving discrimination, harassment, safety including OSHA; and Fair Labor Standards Act claims.

Mr. Hanlon frequently lectures, develops and delivers training to management regarding personnel issues, litigation avoidance and the use of organization development tools, including Total Quality Management and other similar systems.

Admitted to practice in Pennsylvania, Mr. Hanlon received his law degree from Villanova University School of Law and a Bachelor of Science from the Wharton School of the University of Pennsylvania.

AKERMAN SENTERFITT REACHES 500 ATTORNEYS AND CONSULTANT
Akerman Senterfitt has reached a new milestone, having now grown to 500 attorneys and consultants in its twelve offices across the country. The firm's ongoing recruitment and the addition in 2006 of its New York, Los Angeles and Northern Virginia offices contributed to the achievement.
