Nestor J. Rivera Reappointed to Membership and Diversity Co-Chairperson for the Commercial and Business Litigation Committee of the Litigation Section of the American Bar Association
The law firm of Carlton Fields is pleased to announce that Nestor J. Rivera has recently been reappointed to Membership and Diversity Co-Chair for the Commercial and Business Litigation Committee of the Litigation Section of the ABA.

Rivera’s practice includes representation of health care providers of all sizes in both operations/regulatory and litigation matters. He has advised clients on health care operations and regulatory matters, including: HIPAA and related federal and state privacy laws, health care provider reimbursement and insurance coverage, guardianship, contract negotiation and implementation, debt collection and credit reporting requirements, and other issues encountered by health care providers on a daily basis. Rivera’s litigation experience includes representation of health care providers of all sizes in breach of contract, tortious interference, payment of billed charges, and other business claims. He received his J.D. from Emory University School of Law in 2000 and his B.B.A., with honors, from the University of Miami in 1997.

Baker & McKenzie Advises on Landmark Hotel Deal in Japan
Baker & McKenzie GJBJ Tokyo Aoyama Aoki Law Office (Gaikokuho Joint Enterprise) advised InterContinental Hotels Group ("IHG"), the world's largest hotel group, on its hotel operating joint venture partnership with All Nippon Airways ("ANA"), Japan's largest domestic carrier. ANA was represented by leading domestic firm, Nagashima Ohno and Tsunematsu.

The joint venture will become the largest international hotel operator in Japan, the world's second largest hotel market. IHG will invest GBP8 million to acquire a 75 percent stake in the cobranded joint venture company, to be named IHG ANA Hotels Group Japan LLC.

As part of the joint venture arrangements, ANA will sign new 15-year management contracts with the joint venture company for its 13 owned and leased hotels. On completion of the deal, which is expected in December, it will add these hotels to IHG's system. All 13 hotels will over time re-brand to one of three co-brands created for Japan – ANA-InterContinental, ANA-Crowne Plaza and ANA-Holiday Inn.

In addition, the joint venture will operate an additional 18 hotels in Japan under management, franchise and marketing referral arrangements with third party owners, who will also be offered the opportunity to co-brand.

The Baker & McKenzie team was led by partners Chris Hodgens and Hideo Ohta, who were assisted by Kengo Nishigaki and Elizabeth Ticehurst in Tokyo, and the Sydney office Hotels and Resorts team, notably Hanna Lee and Rupert Maloney.

Mr. Hodgens said, "The transaction is significant not only because of the parties and the scale of the joint venture undertaking, but also because of the enormous time and effort that went into planning and documenting the integration of the existing ANA hotels and resorts and associated infrastructure with the IHG organization and systems to maximize the success of the business going forward. This was on top of the usual complexities that attend any international business undertaking in Japan and showcases the firm's capabilities in helping clients negotiate complex cross-border transactions in Japan."

Mr. Ohta said, "The transaction is also remarkable for its innovative structure. It is probably the first joint venture undertaking in Japan of this size to adopt the new Japanese LLC introduced only five months ago.

NY LAW FIRM PHILLIPS NIZER LLP ANNOUNCES NEW DEPARTMENT CHAIRS
Phillips Nizer LLP announces that Elliot J. Wiener, partner, has assumed the role of Chair of the Matrimonial & Family Law Department and Marc A. Landis, previously counsel and now partner, will assume the role of Chair of the Real Estate Department.

Mr. Wiener, who joined Phillips Nizer in September 2003, is a fellow of the American Academy of Matrimonial Lawyers, co-chair of the Matrimonial Section of the New York County Lawyers’ Association, and is a member of the Executive Committee of the New York State Bar Association’s Family Law Section. Mr. Wiener’s practice encompasses divorce, custody/visitation, support and related matters. He is also a trained family law mediator.

Mr. Landis’ practice includes the acquisition, development and preservation of affordable housing, the acquisition and sale of residential, commercial and hotel properties, the private placement of investment securities, commercial leasing matters, and representation of co-op corporations and condominium associations. He also provides general corporate and estate planning counseling to individuals and closely-held businesses. He joined Phillips Nizer in January 2006.

Clifford Chance advises CA Immo International AG on its listing on the Vienna Stock Exchange
The international law firm Clifford Chance advised the Austrian real estate investment company CA Immo International AG, a subsidiary of CA Immobilien Anlagen AG listed on the Vienna Stock Exchange, in relation to its initial public offer.

Clifford Chance advised the issuer jointly with the Vienna-based law firm Doralt Seist Csoklich. Clifford Chance's Frankfurt office led he project and its offices in Warsaw, Prague, Budapest, Bucharest and Amsterdam assisted due to the international structure of the real estate portfolio.

CA Immo International AG owns, leases, manages and develops commercial real estate in South and Eastern Europe. Its real estate portfolio consists of 17 properties in seven countries with a value of approximately EUR 500 million (as of 30 June 2006).

Within the framework of the transaction, the share offering consisted of approximately 21.3 million shares in total worth some EUR 287 million. The public offering of CA Immo International AG shares in Austria was accompanied by private placements of shares in other countries, including a private placement in the United States in reliance on Rule 144A under the U.S. Securities Act of 1933.

Bank Austria Creditanstalt, Merrill Lynch International and Sal. Oppenheim jr. & Cie. KGaA acted as joint lead managers and joint bookrunners.

The Clifford Chance team consisted of partners David Detweiler and Markus Pfüller and associates Dr. Dietmar Anders, Mark Brewer (both Banking & Capital Markets, Frankfurt) and Elzbieta Lis (Real Estate, Warsaw).

Clifford Chance advises Tishman Speyer on the acquisition of a real estate portfolio of DIFA
The international law firm Clifford Chance advised the US investor Tishman Speyer on the acquisition of the office properties "Nautilus 1" for approximately 670 million Euros. The portfolio, consisting of ten properties belonging to DIFA-Fonds Nr. 1, will be acquired by several property companies of the Tishman Speyer Group.

The properties are located in Berlin, Düsseldorf, Hamburg, Frankfurt am Main, Stuttgart and Munich. They include the Frankfurt office buildings "Westend Carrée" and "Aculeum".

The completion of the transaction remains subject to the approval of the antitrust agencies.

The Clifford Chance team was lead by partner Dr. Christian Keilich (Real Estate) and included partner Rainer Schmitt (Tax), Counsel Rolf Hünermann (Antitrust) as well as associates Dr. Gregor Evenkamp (Banking & Capital Markets), Thomas Reischauer, Stefanie Ann Krieger, Dr. Jens Christoph Luckas and Christina-Julia Feigk (all Real Estate) - Frankfurt.

Ashurst advised Royal Bank of Scotland and EIB as funders to the SITA Consortium on Cornwall waste PFI
Ashurst advised Royal Bank of Scotland and EIB as funders to the SITA Consortium on the Cornwall waste public finance initiative (PFI) project.

Cornwall County Council has completed a procurement project that aims to deliver, in partnership with the District and Borough Councils, an integrated waste management infrastructure for the future management of Cornwall's municipal solid waste.

Instead of sending more than 80 per cent of municipal waste to landfill, which is a costly and unsustainable process, in future it will be dealt with via an Integrated Waste Management (IWM) system which will include a state of the art energy from waste plant.

The Ashurst team comprised infrastructure partner Jan Sanders and head of project finance Nick Avery, assisted by infrastructure solicitor Nikhil Markanday. Senior assistant Patrick Boyle acted for EIB.

A&O acted for the sponsors, Lovells acted for Cornwall County Council and Baker & McKenzie acted for the EPC contractor.

CRAVATH PARTNERS, ASSOCIATES, LEGAL ASSISTANTS AND STAFF RECEIVE LEGAL AID SOCIETY 2006 PRO BONO AWARDS
On November 6, Cravath will be honored with the following Legal Aid Society 2006 Pro Bono Awards for its participation in several projects:

Partners Richard W. Clary and Elizabeth L. Grayer, associates Jeffrey B. Korn, Marek P. Krzyzowski and Jessica L. Richman, discovery attorney Charles W. Bradley, and legal assistants John Cleaver, Lynn Cole, Ryan Coughlan, Julia Deming, Allyson Heady, Amanda Hollis and Lucas Karasavidis will receive the Pro Bono Award for the outstanding service they have provided, in connection with the homeless families with children litigation, to clients of the Juvenile Rights Division of the Legal Aid Society.

Cravath will also be honored for the outstanding service the Firm’s legal assistants have provided to clients of the Juvenile Rights Division of the Legal Aid Society who are transitioning out of foster care.

Jeffrey Franchetti, Cravath’s Director of IT, will be honored for his participation on the advisory committee which led Legal Aid through a complete overhaul and modernization of its technology infrastructure and applications.

The awards will be presented in New York City at a ceremony presided over by the Hon. Judith S. Kaye, Chief Judge of the State of New York.
