Skadden Prevails in the Eleventh Circuit Court of Appeals
In a significant victory before the United States Court of Appeals for the Eleventh Circuit, Skadden secured an affirmance of the dismissal of a securities class action complaint against NDCHealth Corporation. The decision may have significant implications for the manner in which plaintiffs in securities class actions try to plead scienter. Skadden had previously won the dismissal of the complaint before the United States District Court for the Northern District of Georgia. The complaint alleged that NDCHealth had engaged in various wrongful revenue recognition practices, including "channel stuffing" and failing adequately to reserve for returns, had improperly capitalized costs that should have been recorded as expenses and had failed timely to write down the value of a significant asset, all of which caused the company's financial statements to be materially false and misleading and artificially inflated the price of NDCHealth's common stock. The District Court dismissed the complaint, holding that the plaintiffs failed to plead the necessary scienter with the particularity required by the Federal Rules of Civil Procedure and the Private Securities Litigation Reform Act, and the Eleventh Circuit agreed that the complaint was inadequate. The Court of Appeals also held that a Sarbanes-Oxley certification is only probative of scienter if the person signing was severely reckless in so doing.
